Citigroup Inc., New York, USA hat uns nach § 21 Abs.1a WpHG Folgendes
mitgeteilt:
On 24 May 2007, the day of first time admission of shares of SFC Smart Fuel
Cell AG (the Company) to the official market (prime standard segment) of
the Frankfurt stock exchange, Citigroup Global Markets Deutschland AG & Co.
KGaA, Frankfurt am Main, Germany held 18.90% of the voting rights in the
Company. The general partner (Komplementär) of Citigroup Global Markets
Deutschland AG & Co. KGaA managing its business is Citigroup Global Markets
Management AG, Frankfurt am Main, Germany. All shares in Citigroup Global
Markets Deutschland AG & Co. KGaA are, however, held by Citicorp
Deutschland GmbH, Düsseldorf, Germany. All shares in Citicorp Deutschland
GmbH are held by Citigroup Global Markets Finance Corporation & Co
beschränkt haftende KG, Düsseldorf, Germany. The general partner
(Komplementär) of Citigroup Global Markets Finance Corporation & Co
beschränkt haftende KG managing its business is Citigroup Global Markets
Finance LLC, Wilmington, USA, which also holds 1.2% of the shares in
Citigroup Global Markets Finance Corporation & Co beschränkt haftende KG.
The remaining 98.8% of shares in Citigroup Global Markets Finance
Corporation & Co beschränkt haftende KG are held by Citi Overseas
Investment Bahamas Inc, Nassau, Bahamas. 99.78% of the shares in Citi
Overseas Investment Bahamas Inc are held by Citibank Overseas Investment
Corporation, New Castle, USA. All shares in Citibank Overseas Investment
Corporation are held by Citibank N.A., New York, USA. All shares in
Citibank N.A. are held by Citicorp Holdings Inc., Wilmington, USA. All
shares in Citicorp Holdings Inc. are held by CITIGROUP Inc., Wilmington,
USA.
1. Herewith, we notify you pursuant to § 21 sec. 1a WpHG and § 24 WpHG on
behalf of Citigroup Global Markets Deutschland AG & Co. KGaA that its
holding of voting rights of SFC Smart Fuel Cell AG, Eugen-Sänger-Ring
4, 85649 Brunnthal-Nord, amounted to 18.90% (1,317,990 voting rights)
on 24 May 2007. The voting rights were held directly by Citigroup
Global Markets Deutschland AG & Co. KGaA.
2. Herewith, we notify you pursuant to § 21 sec. 1a WpHG and § 24 WpHG on
behalf of Citigroup Global Markets Management AG that its holding of
voting rights of SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649
Brunnthal-Nord, amounted to 18.90% (1,317,990 voting rights) on 24 May
2007. The voting rights were attributed to Citigroup Global Markets
Management AG pursuant to § 22 sec. 1 no. 1 WpHG.
3. Herewith, we notify you pursuant to § 21 sec. 1a WpHG and § 24 WpHG on
behalf of Citicorp Deutschland GmbH that its holding of voting rights
of SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649 Brunnthal-Nord,
amounted to 18.90% (1,317,990 voting rights) on 24 May 2007. The voting
rights were attributed to Citicorp Deutschland GmbH pursuant to § 22
sec. 1 no. 1 WpHG.
4. Herewith, we notify you pursuant to § 21 sec. 1a WpHG and § 24 WpHG on
behalf of Citigroup Global Markets Finance Corporation & Co. beschränkt
haftende KG that its holding of voting rights of SFC Smart Fuel Cell
AG, Eugen-Sänger-Ring 4, 85649 Brunnthal-Nord, amounted to 18.90%SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649
Brunnthal-Nord, amounted to 18.90% (1,317,990 voting rights) on 24 May
2007. The voting rights were attributed to Citigroup Global Markets
Finance LLC pursuant to § 22 sec. 1 no. 1 WpHG.
6. Herewith, we notify you pursuant to § 21 sec. 1a WpHG and § 24 WpHG on
behalf of Citi Overseas Investment Bahamas Inc. that its holding of
voting rights of SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649
Brunnthal-Nord, amounted to 18.90% (1,317,990 voting rights) on 24 May
2007. The voting rights were attributed to Citi Overseas Investment
Bahamas Inc. pursuant to § 22 sec. 1 no. 1 WpHG.
7. Herewith, we notify you pursuant to § 21 sec. 1a WpHG and § 24 WpHG on
behalf of Citibank Overseas Investment Corporation that its holding of
voting rights of SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649
Brunnthal-Nord, amounted to 18.90% (1,317,990 voting rights) on 24 May
2007. The voting rights were attributed to Citibank Overseas Investment
Corporation pursuant to § 22 sec. 1 no. 1 WpHG.
8. Herewith, we notify you pursuant to § 21 sec. 1a WpHG and § 24 WpHG on
behalf of Citibank N.A. that its holding of voting rights of SFC Smart
Fuel Cell AG, Eugen-Sänger-Ring 4, 85649 Brunnthal-Nord, amounted to
18.90% (1,317,990 voting rights) on 24 May 2007. The voting rights were
attributed to Citibank N.A. pursuant to § 22 sec. 1 no. 1 WpHG.
9. Herewith, we notify you pursuant to § 21 sec. 1a WpHG and § 24 WpHG on
behalf of Citicorp Holdings Inc. that its holding of voting rights of
SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649 Brunnthal-Nord,
amounted to 18.90% (1,317,990 voting rights) on 24 May 2007. The voting
rights were attributed to Citicorp Holdings Inc. pursuant to § 22 sec.
1 no. 1 WpHG.
10. Herewith, Citigroup Inc. notify you pursuant to § 21 sec. 1a WpHG that
our holding of voting rights of SFC Smart Fuel Cell AG, Eugen-Sänger-Ring
4, 85649 Brunnthal-Nord, amounted to 18.90% (1,317,990 voting rights) on 24
May 2007. The voting rights were attributed to Citigroup Inc. pursuant to §
22 sec. 1 no. 1 WpHG.
Weiterhin hat uns PRICAP Venture Partners AG, Hamburg, Deutschland nach §
21 Abs. 1a WpHG Folgendes mitgeteilt:
Hiermit teilen wir gemäß § 21 Abs. 1a WpHG mit, dass unser
Stimmrechtsanteil an der SFC Smart Fuel Cell AG (WKN: 756857) per
24.05.2007 17,33 % (1.208.708 Stimmrechte) beträgt.
Weiterhin hat uns Dr. Manfred Stefener, Deutschland nach § 21 Abs. 1a WpHG
Folgendes mitgeteilt:
1. Hiermit teilen wir, die Manfred Stefener GmbH & Co. KG, München,
Deutschland, gemäß § 21 Abs. 1a WpHG mit, dass unser Stimmrechtsanteil an
der SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649 Brunnthal, am 24.
Mai 2007 8,60% (600.000 Stimmrechte) beträgt.
2. Hiermit teilen wir, die Manfred Stefener Verwaltungs GmbH, München,
Deutschland, gemäß § 21 Abs. 1a WpHG mit, dass unser Stimmrechtsanteil an
der SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649 Brunnthal, am 24.
Mai 2007 8,60% (600.000 Stimmrechte) beträgt. Davon sind uns 8,60% (600.000
Stimmrechte) nach § 22 Abs. 1 Satz 1 Nr. 1 WpHG zuzurechnen. Uns
zugerechnete Stimmrechte werden dabei über folgendes von uns kontrolliertes
Unternehmen, dessen Stimmrechtsanteil an der SFC Smart Fuel AG AG jeweils
3% oder mehr beträgt, gehalten: Manfred Stefener GmbH & Co. KG, München,
Deutschland.
3. Hiermit teile ich, Dr. Manfred Stefener, Deutschland, gemäß § 21 Abs. 1a
WpHG mit, dass mein Stimmrechtsanteil an der SFC Smart Fuel Cell AG,
Eugen-Sänger-Ring 4, 85Außerdem wurde uns gem. § 21 Abs.1a WpHG Folgendes mitgeteilt:
1. Die 3i Group Investments LP, London, England hielt am 24. Mai 2007 einen
Stimmrechtsanteil an der SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649
Brunnthal-Nord, der 12,59 % entsprechend 878.292 Stimmrechte betrug, welche
von ihr zur Gänze direkt gehalten wurden.
2. Die 3i 2004 GmbH & Co. KG, München, Deutschland hielt am 24. Mai 2007
einen Stimmrechtsanteil an der SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4,
85649 Brunnthal-Nord, der 12,59 % entsprechend 878.292 Stimmrechte betrug,
welche ihr zur Gänze gem. § 22 Abs. 1 Satz 1 Nr. 1 WpHG zuzurechnen waren.
Die Stimmrechte wurden über folgende Gesellschaft gehalten:
- 3i Group Investments LP.
3. Die 3i Deutschland Gesellschaft für Industriebeteiligungen mbH,
Frankfurt, Deutschland hielt am 24. Mai 2007 einen Stimmrechtsanteil an der
SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649 Brunnthal-Nord, der
12,59 % entsprechend 878.292 Stimmrechte betrug, welche ihr zur Gänze gem.
§ 22 Abs. 1 Satz 1 Nr. 1 WpHG zuzurechnen waren. Die Stimmrechte wurden
über folgende Gesellschaften gehalten:
- 3i Group Investments LP und
- 3i 2004 GmbH & Co. KG.
4. Die 3i International Holdings plc, London, England, hielt am 24. Mai
2007 einen Stimmrechtsanteil an der SFC Smart Fuel Cell AG,
Eugen-Sänger-Ring 4, 85649 Brunnthal-Nord, der 12,59 % entsprechend 878.292
Stimmrechte betrug, welche ihr zur Gänze gem. § 22 Abs. 1 Satz 1 Nr. 1 WpHG
zuzurechnen waren. Die Stimmrechte wurden über folgende Gesellschaften
gehalten:
- 3i Group Investments LP,
- 3i 2004 GmbH & Co. KG und
- 3i Deutschland Gesellschaft für Industriebeteiligungen mbH.
5. Die 3i Holdings plc, London, England, hielt am 24. Mai 2007 einen
Stimmrechtsanteil an der SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649
Brunnthal-Nord, der 12,59 % entsprechend 878.292 Stimmrechte betrug, welche
ihr zur Gänze gem. § 22 Abs. 1 Satz 1 Nr. 1 WpHG zuzurechnen waren. Die
Stimmrechte wurden über folgende Gesellschaften gehalten:
- 3i Group Investments LP,
- 3i 2004 GmbH & Co. KG,
- 3i Deutschland Gesellschaft für Industriebeteiligungen mbH und
- 3i International Holdings plc.
6. Die 3i Group plc, London, England hielt am 24. Mai 2007 einen
Stimmrechtsanteil an der SFC Smart Fuel Cell AG, Eugen-Sänger-Ring 4, 85649
Brunnthal-Nord, der 12,59 % entsprechend 878.292 Stimmrechte betrug, welche
ihr zur Gänze gem. § 22 Abs. 1 Satz 1 Nr. 1 WpHG zuzurechnen waren. Die
Stimmrechte wurden über folgende Gesellschaften gehalten:
- 3i Group Investments LP,
- 3i 2004 GmbH & Co. KG,
- 3i Deutschland Gesellschaft für Industriebeteiligungen mbH,
- 3i International Holdings plc. und
- 3i Holdings plc.
