| W nawiązaniu do raportu bieżącego nr 3/2026 z dnia 29 stycznia 2026 r. oraz raportu bieżącego nr 4/2026 z dnia 4 lutego 2026 r., Rada Dyrektorów Allegro.eu („Spółka”) niniejszym informuje, że w dniu 30 lipca 2026 r., za pośrednictwem Portalu Informacyjnego Sądów Powszechnych, powzięła informację o wydaniu na posiedzeniu niejawnym w dniu 29 lipca 2026 r. przez Sąd Apelacyjny w Warszawie („Sąd Apelacyjny”) postanowienia rozstrzygającego zażalenie wniesione w dniu 2 lutego 2026 r. przez Allegro sp. z o.o. („Allegro PL”) na postanowienie Sądu Okręgowego w Warszawie z dnia 26 stycznia 2026 r. o udzieleniu zabezpieczenia na rzecz Fundacji Forum Konsumentów z siedzibą w Warszawie („Postanowienie o Zabezpieczeniu”). Sąd Apelacyjny uwzględnił zażalenie Allegro w zakresie sposobu naliczania kary finansowej, jaką Sąd Okręgowy zagroził Allegro PL na rzecz Fundacji Forum Konsumentów na wypadek naruszenia obowiązków określonych w Postanowieniu o Zabezpieczeniu. W szczególności Sąd w sposób precyzyjny ustalił, że kara dotyczy każdego dnia naruszenia obowiązków określonych w Postanowieniu o Zabezpieczeniu oraz określił jej maksymalną wysokość na 20 000 zł za dzień. Spółka jest usatysfakcjonowana doprecyzowaniem klauzuli dotyczącej kary finansowej. Sąd Apelacyjny oddalił zażalenie Allegro PL w pozostałej części, w szczególności w odniesieniu do wymaganych tymczasowych zmian w sposobie prezentowania metod dostawy. Oddalenie zażalenia w pozostałym zakresie oznacza, że nałożone na czas trwania postępowania zakazy i nakazy dotyczące sposobu prezentowania metod dostawy w ramach usługi „Allegro Smart!” w procesie zakupowym, szczegółowo opisane w raporcie bieżącym nr 3/2026, pozostają w mocy. Wydanie postanowienia przez Sąd Apelacyjny oznacza, że Postanowienie o Zabezpieczeniu stało się prawomocne, a wstrzymanie jego wykonania, o którym Spółka informowała w raporcie bieżącym nr 4/2026, ustało. Spółka podtrzymuje swoje dotychczasowe stanowisko, że roszczenia Fundacji Forum Konsumentów są całkowicie bezpodstawne. Spółka podkreśla, że powyższe postanowienie dotyczy wyłącznie kwestii zabezpieczenia powództwa i nie rozstrzyga sprawy wszczętej przez Fundację Forum Konsumentów co do meritum. Główna sprawa będzie się nadal toczyć przed Sądem Okręgowym w Warszawie, a Allegro PL będzie podejmować dalsze kroki prawne w celu obrony swoich praw w toku procesu głównego. | Current report No. 38/2026 Date: July 30, 2026 Subject: Decision of the Court of Appeal in Warsaw regarding Allegro’s appeal against the preliminary injunction order in favor of the Forum Konsumentów Foundation Legal basis: Art. 17 MAR – inside information With reference to current report No. 3/2026 dated January 29, 2026, and current report No. 4/2026 dated February 4, 2026, the Board of Directors of Allegro.eu (the “Company”) hereby informs that on July 30, 2026, via the Information Portal of Common Courts (Portal Informacyjny Sądów Powszechnych), it learned that on July 29, 2026, the Court of Appeal in Warsaw (the “Court of Appeal”) issued an order in camera resolving the appeal filed on February 2, 2026, by Allegro sp. z o.o. (“Allegro PL”) against the order of the District Court in Warsaw dated January 26, 2026, granting a preliminary injunction in favor of the Forum Konsumentów Foundation with its registered office in Warsaw (the “Order”). The Court of Appeal upheld Allegro’s appeal in respect to the method of calculating the financial penalty with which the District Court had threatened Allegro PL in favor of the Forum Konsumentów Foundation in the event of a breach of the obligations specified in the Order. Specifically, the Court provided a precise determination that the penalty applies to each day of breach of the Order and set its maximum amount at PLN 20,000 per day. The Company is satisfied with the clarification of the penalty clause. The Court of Appeal dismissed the remaining parts of Allegro PL’s appeal, in particular, regarding the required interim changes to the method of presenting delivery options.The dismissal of the appeal in the remaining scope means that the prohibitions and orders imposed for the duration of the proceedings regarding the method of presenting delivery options under the “Allegro Smart!” service in the purchasing process, as described in detail in current report No. 3/2026, remains in force. The issuance of the decision by the Court of Appeal means that the Order has become final and legally binding, and the suspension of its enforcement, as reported by the Company in current report No. 4/2026, has ceased. The Company maintains its position that the claims of the Forum Konsumentów Foundation are entirely groundless. The Company emphasizes that the above order concerns solely the matter of interim relief and does not resolve the lawsuit initiated by the Forum Konsumentów Foundation on the merits. The main case will proceed before the District Court in Warsaw, and Allegro PL will take further legal steps to defend its rights in the course of the main proceedings.
