| W nawiązaniu do raportu ESPI nr 29/2025 z dnia 8 sierpnia 2026 roku, Zarząd Spółki Vivid Games S.A. (dalej jako: „Spółka”, „Emitent”) informuje o zawarciu w dniu 29 czerwca 2026 r. aneksu do umowy pożyczki (dalej jako: “aneks”) zawartej pomiędzy Spółką a Gemini Grupa UAB. Zgodnie z aneksem, Spółka otrzyma drugą transzę pożyczki, w wysokości 1 000 000 Euro w terminie do 31 lipca 2026, niezależnie od spełnienia celów biznesowych. Wypłata trzeciej transzy pozostaje powiązana z realizacją przez Spółkę celów biznesowych, ustalonych przez Emitenta wspólnie z Akcjonariuszem, spójnych z realizowaną przez Emitenta strategią i harmonogramem produkcji gry Real Boxing 3. Jednocześnie, aneks przewiduje zwiększenie oprocentowania pożyczki od daty 26 czerwca 2026 do wysokości 12% rocznie (zwiększenie z 11,5% rocznie). Pozostałe postanowienia umowy pozostały niezmienione. | ||||||||||||

| With reference to ESPI Report No. 29/2025 dated August 8, 2026, the Management Board of Vivid Games S.A. (hereinafter referred to as: “the Company,” “the Issuer”) announces that on June 29, 2026, it entered into an amendment to the loan agreement (hereinafter referred to as the “Amendment”) concluded between the Company and Gemini Grupa UAB. Pursuant to the amendment, the Company will receive the second tranche of the loan, in the amount of 1,000,000 euros, by July 31, 2026, regardless of whether the business objectives are met. The disbursement of the third tranche remains contingent upon the Company’s achievement of business objectives, established by the Issuer jointly with the Shareholder, consistent with the Issuer’s strategy and production schedule for the game Real Boxing 3. At the same time, the amendment provides for an increase in the loan’s interest rate effective June 26, 2026, to 12% per annum (up from 11.5% per annum).
