| W ramach trwającej od 2020 r. współpracy Allegro z DPD, strony podpisały najnowszą umowę dotyczącą doręczeń przesyłek w ramach programu Allegro Delivery, obejmującą: (i) dostawy do sieci automatów paczkowych („APM”) i punktów odbioru („PUDO”) DPD, (ii) dostawy pod adres oraz (iii) aktualizację stawek i docelowego modelu integracji dla dostaw do sieci automatów paczkowych i punktów odbioru Allegro One - One Box i One Point. Podstawowy cennik usług DPD jest uzależniony od wolumenu nadawanych przesyłek i pozostanie niezmienny do końca marca 2026 roku. Po tym terminie ceny będą korygowane co 12 miesięcy za pomocą wzoru waloryzacyjnego. Wzór ten uwzględnia zmiany wskaźnika inflacji oraz przeciętnych wynagrodzeń w sektorze przedsiębiorstw. Umowa zawarta na czas oznaczony do końca kwietnia 2030 roku z 6-miesięcznym okresem wypowiedzenia, przy czym wypowiedzenie nie jest możliwe wcześniej niż po upływie 24 miesięcy od dnia podpisania umowy. DPD zobowiązany jest do utrzymania określonego poziomu wydajności i poziomu usług przez okres obowiązywania Umowy inwestując w dalszy rozwój sieci automatów paczkowych (APM) i punktów odbioru i nadania (PUDO) w Polsce w zakresie niezbędnym do umożliwienia realizacji usług, na podstawie prognoz wolumenu od Allegro. Umowa nie nakłada na Allegro obowiązku zapewnienia określonego wolumenu przesyłek. Ponadto Strony zobowiązały się do dalszej współpracy w zakresie rozwoju nowych usług i identyfikowania synergii operacyjnych, jak również do świadczenia wzajemnych usług marketingowych przez okres obowiązywania Umowy, w tym umieszczania marki Allegro na automatach paczkowych DPD. Umowa wpisuje się w trwające działania Spółki mające na celu skalowanie i dywersyfikację programu Allegro Delivery poprzez rozszerzenie współpracy z partnerami logistycznymi. | Current report No. 24/2025 15 September 2025 Title: Allegro sp. z o.o. signed an agreement with DPD Polska Sp. z o.o. on cooperation under the Allegro Delivery programme Legal basis: Article 17 of MAR - inside information The Board of Directors of Allegro.eu SA (the "Company”) hereby informs that Allegro sp. o.o., a wholly owned indirect subsidiary of the Company, signed an agreement on 15 September 2025 (the “Agreement”) with DPD Polska sp. z o.o. (the “DPD”), which offers DPD delivery services. As part of the ongoing cooperation between Allegro and DPD, in operation since 2020, the Parties signed the latest Agreement concerning parcel delivery within the Allegro Delivery programme, covering (i) deliveries to DPD’s out-of-home network of automated parcel machines (“APMs”) and pick-up drop-off points (“PUDOs”), (ii) deliveries to addresses by DPD, and (iii) an update on rates and the target integration model for deliveries to Allegro’s out-of-home network of One Box and One Point. DPD’s baseline price list for their services varies based on volumes shipped and will remain fixed until the end of March 2026. Thereafter, prices will be adjusted by an indexation formula every 12 months. The formula reflects changes in the inflation rate and average corporate salaries. The Agreement is concluded for a definite term until the end of April 2030 with a 6-month termination period, whereas termination is not possible earlier than 24 months from the date of signing the contract. In turn, DPD shall maintain certain capacity and service levels for the term of the Agreement, investing in further APM and PUDO network development in Poland as necessary to enable service delivery, based on volume forecasts from Allegro. Allegro makes no volume commitments under the Agreement. Furthermore, both Parties committed to further strengthening their cooperation in developing new services and identifying operational synergies. The parties also agreed to provide mutual marketing services throughout the Agreement, including placing the Allegro brand on DPD lockers. The Agreement is part of the Company's ongoing efforts to scale and diversify the Allegro Delivery programme by expanding cooperation with its logistics partners.
