Capitalised terms used in this notice and not otherwise defined herein shall have the same meanings ascribed to them in the Final Terms (as defined below).

The Issuer expects that the Aggregate Nominal Amount of the Notes held by UCB AG (the "Authorised Offeror") will be sold by the end of 07 December 2023.

As a consequence, pursuant to the item Part B - Other Information - 8. Distribution - (viii) Non-exempt Offer: - Offer Period of the Final Terms dated 13 November 2023 and related to the issue of €75,000,000 6.30 per cent Fixed Rate Senior Notes due 14 November 2036 (the "Final Terms") under the €60,000,000,000 Euro Medium Term Note Programme dated 10 May 2023, as supplemented by the supplements dated 4 August 2023 and 30 October 2023 which together constitute a base prospectus for the purposes of the Prospectus Regulation (the "Base Prospectus"), UniCredit S.p.A. (the "Issuer"), in conjunction with the Authorised Offeror, hereby gives notice that it intends to exercise the right to close the Offer Period early and notice is hereby given that the early closure of the Offer Period shall be effective from 07 December 2023, at the time of closure of the negotiations on MOT and EuroTLX.

Therefore, the last day of the Offer Period is 07 December 2023.

For the avoidance of doubt, the Notes will continue being negotiated on MOT and EuroTLX, both organised and managed by Borsa Italiana S.p.A..
