| Zarząd spółki Energa SA („Spółka") informuje, że w dniu 30 marca 2026 roku Rada Nadzorcza Spółki podjęła uchwały o: - powierzeniu, w miejsce dotychczasowej funkcji Wiceprezesa Zarządu ds. Finansowych, od 1 kwietnia 2026 roku Pani Magdalenie Kamińskiej funkcji Prezesa Zarządu Energa S.A. VIII Kadencji. - powołaniu, od 1 kwietnia 2026 roku, Pana Przemysława Janiaka w skład Zarządu Spółki VIII kadencji i powierzeniu funkcji Wiceprezesa Zarządu. Przemysław Janiak to menedżer z kilkunastoletnim doświadczeniem zawodowym w sektorze energetycznym. Karierę rozpoczął w 2010 roku w międzynarodowej firmie doradczej EY, realizując projekty dla kluczowych podmiotów z branży energetycznej. Od 2016 roku związany z Grupą Kapitałową ORLEN, gdzie w ramach segmentu energetyki odpowiadał za obszar strategicznych analiz inwestycyjnych i rynkowych oraz rynek mocy. Był zaangażowany w realizację inwestycji w bloki gazowo-parowe, morskie farmy wiatrowe, elektrociepłownie przemysłowe, farmy fotowoltaiczne oraz magazyny energii. Od 2020 roku ściśle współpracował z Grupą Energa w obszarze strategii, przygotowania i realizacji inwestycji w źródła gazowe, ciepłownicze oraz morską energetykę wiatrową. Jest absolwentem studiów ekonomicznych w Szkole Głównej Handlowej w Warszawie oraz studiów podyplomowych w zakresie morskiej energetyki wiatrowej na Politechnice Gdańskiej. Ukończył szereg kursów menedżerskich realizowanych przez m.in. Harvard Business School, NYU Stern School of Business i University of Oxford. Posiada kwalifikacje FRM i PMP. Pan Przemysław Janiak nie wykonuje działalności konkurencyjnej wobec działalności Energa SA, nie uczestniczy w spółce konkurencyjnej wobec Energa SA jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej oraz nie uczestniczy w innej konkurencyjnej osobie prawnej jako członek jej organów, jak również nie figuruje w Rejestrze Dłużników Niewypłacalnych prowadzonym na podstawie ustawy o KRS. Wymagane prawem informacje o Pani Magdalenie Kamińskiej zostały przekazane w raporcie bieżącym nr 20/2025 i zachowują aktualność. | ||||||||||||

| Current Report No. 13/2026 Date: 30 March 2026 Subject: Appointment of the President and Vice-President of the Management Board of Energa SA Legal basis: Art. 56 section 1 point 2 of the Act on Offerings - current and periodic information The Management Board of Energa SA (the “Company”) announces that on 30 March 2026 the Company’s Supervisory Board adopted resolutions on: • entrusting Ms. Magdalena Kamińska, as of 1 April 2026, with the position of President of the Management Board of Energa S.A. for the eighth term of office, replacing her previous role as Vice President of the Management Board for Finance; • appointing Mr. Przemysław Janiak, as of 1 April 2026, to the Company’s Management Board for the eighth term of office and entrusting him with the role of Vice President of the Management Board. Przemysław Janiak is a manager with over a decade of professional experience in the energy sector. He began his career in 2010 at the international consulting firm EY, where he carried out projects for key entities in the energy industry. Since 2016, he has been associated with the ORLEN Group, where, within the energy segment, he was responsible for strategic investment and market analyses as well as the capacity market. He was involved in the development of gas-fired combined cycle units, offshore wind farms, industrial CHP plants, photovoltaic farms, and energy storage facilities. Since 2020, he has been working closely with the Energa Group in the areas of strategy, preparation, and execution of investments in gas, heating, and offshore wind power projects. He holds a degree in economics from the Warsaw School of Economics (SGH) and a postgraduate diploma in offshore wind energy from Gdańsk University of Technology. He has completed a number of executive courses offered by, among others, Harvard Business School, NYU Stern School of Business, and the University of Oxford. He holds FRM and PMP qualifications. Mr. Przemysław Janiak is not engaged in any activities competitive to the business of Energa SA, does not participate in a company competitive to Energa SA as a partner of a civil law partnership, a partnership or as a member of a capital company body and does not participate in any other competitive legal person as a member of its corporate bodies as well as she is not listed in the Register of Insolvent Debtors maintained under the National Register Court Act. The information on Ms. Magdalena Kamińska required by law was provided in current report No. 20/2025 and remains valid. | |||
