Kierownictwo SERINUS ENERGY plc („Spółka”) informuje, że w dniu 20 maja 2025 roku jedyny wspólnik Spółki – Xtellus Capital Partners, Inc podjął uchwałę o zmianie statutu Spółki.
Zgodnie z prawem siedziby Spółki, zmiana nie wymaga rejestracji i jest skuteczna z chwilą podjęcia uchwały.
Jednocześnie Spółka informuje, że zmiana jej firmy i formy prawnej na Serinus Energy Limited będzie skuteczna z chwilą rejestracji na Jersey, o czym Spółka poinformuje odrębnym raportem.
Nowy tekst jednolity statut stanowi załącznik do niniejszego raportu.

The Management of SERINUS ENERGY plc (“Company”) announces that that on 20 May 2025, the Company's sole shareholder - Xtellus Capital Partners, Inc adopted a resolution on adoption of new Memorandum of Association and Articles of Association.
In accordance with the laws of the Company's registered office, the change does not need to be registered and is effective upon the adoption of the resolution.
At the same time, the Company announces that the change of its name and legal form to Serinus Energy Limited will be effective upon registration in Jersey, which the Company will announce in a separate report.
The new consolidated text of the Memorandum of Association and Articles of Association is attached to this report.
