| Zarząd „DINO POLSKA” S.A. („Spółka”), w nawiązaniu do raportu bieżącego nr 8/2023 dotyczącego zawarcia ze spółką eZebra.pl sp. z o.o. z siedzibą w Lublinie („eZebra”) oraz jej wspólnikami („Założyciele”) Przedwstępnej warunkowej umowy sprzedaży udziałów i umowy wspólników („Umowa”) oraz niezależnie od okoliczności wskazanych w raporcie bieżącym nr 10/2023, które pozostają aktualne, informuje, że 6 listopada 2023 r. Spółka otrzymała zgodę Prezesa Urzędu Ochrony Konkurencji i Konsumentów na nabycie Udziałów, oraz że 19 grudnia 2023 r. powzięła informację o uzyskaniu przez Założycieli zgody banku kredytującego JTG Polska sp. z o.o. z siedzibą w Lublinie na przeprowadzenie transakcji oraz na dokonanie innych czynności wymaganych umowami z tym bankiem. | ||||||||||||

| Current Report no 12/2023 – Fulfillment of the conditions precedent stipulated in the agreement to acquire a 75% equity stake in the internet drug store doing business as eZebra.pl sp. z o.o. In reference to current report no. 8/2023 concerning the execution of the Preliminary Conditional Share Purchase Agreement and Shareholder Agreement (“Agreement”) with the company doing business as eZebra.pl sp. z o.o. with its registered office in Lublin (“eZebra”) and its shareholders (“Founders”) and regardless of the circumstances indicated in current report no. 10/2023 which are still valid, the Management Board of „DINO POLSKA” S.A. (“Company”) reports that on 6 November 2023 the Company obtained the consent of the President of the Office of Competition and Consumer Protection to acquire the Shares and that on 19 December 2023 it learned that the Founders obtained the consent of the bank acting as the lender to JTG Polska sp. z o.o. with its registered office in Lublin to execute the transaction and perform other activities required under the agreements with this bank.
