Zarząd Mabion S.A. („Spółka”) informuje, iż w dniu 7 maja 2026 roku zawarł ze spółką Oddifact SAS z siedzibą we Francji list intencyjny („List intencyjny”) dotyczący nawiązania współpracy w zakresie zbadania i oceny możliwości zastosowania leku MabionCD20 w nowych wskazaniach klinicznych w obszarze chorób sierocych (ang. orphan diseases).

List intencyjny nie jest wiążący i stanowi wyraz intencji stron do prowadzenia negocjacji oraz zawarcia partnerstwa mającego na celu współpracę nad lekiem MabionCD20, w celu jego dalszego rozwoju i rejestracji jako leku innowacyjnego na choroby sieroce. List intencyjny przewiduje, że w pierwszym etapie strony będą współpracować przy przygotowywaniu materiałów niezbędnych do interakcji regulacyjnych oraz materiałów na potrzeby potencjalnych inwestorów, partnerów i innych możliwych źródeł finansowania. Strony będą uczestniczyć wspólnie w spotkaniach z organami regulacyjnymi, w tym w szczególności z amerykańską Agencją Żywności i Leków (FDA), a także uzgadniać kluczowe decyzje dotyczące leku, w tym strategię regulacyjną i dalszego rozwoju. W trakcie pierwszego etapu, który strony zamierzają zakończyć do 30 września 2026 roku, każda ze stron będzie ponosić koszty związane ze swoim udziałem w projekcie.

Po ustaleniu możliwości i warunków stosowania leku MabionCD20 w nowych wskazaniach, w drugim etapie strony podejmą decyzję i ustalą dalsze kroki, w tym wkład materialny i finansowy każdej ze stron. Warunki współpracy w drugim etapie zostaną określone w umowie o współpracy (ang. Cooperation Agreement) oraz odpowiednim oświadczeniu o zakresie prac (ang. Statement of Work, SOW). Strony planują zawrzeć umowę o współpracy do końca 2026 roku, przy czym czas trwania negocjacji może zostać przedłużony.

Podjęcie działań w celu zbadania potencjału i rozwoju leku MabionCD20 w nowych wskazaniach stanowi realizację Strategii Spółki Mabion S.A. na lata 2025 – 2030, o której Spółka informowała w raporcie bieżącym nr 33/2025 z dnia 17 listopada 2025 roku. Podpisanie niniejszego listu stanowi dla Spółki w ocenie Zarządu istotne zdarzenie, ponieważ daje możliwość reaktywacji kluczowego dla Spółki Mabion we wcześniejszych latach projektu MabionCD20 i utylizacji wypracowanej wiedzy oraz umiejętności, co może być przełomowym osiągnięciem Spółki i wpłynąć znacząco na jej przyszłą działalność biznesową.

Oddifact SAS to firma biotechnologiczna wykorzystująca sztuczną inteligencję do tworzenia nowych terapii chorób sierocych poprzez identyfikację możliwości i przygotowywanie programów rozwojowych dla partnerów farmaceutycznych.

O zawarciu umowy o współpracy bądź odstąpieniu od realizacji projektu Spółka poinformuje odrębnym raportem bieżącym.

Conclusion of a letter of intent regarding cooperation to explore the potential use of the drug MabionCD20 in the field of orphan diseases

The Management Board of Mabion S.A. (“the Company”) announces that on 7 May 2026, it entered into a letter of intent (“Letter of Intent”) with Oddifact SAS, headquartered in France, regarding the establishment of cooperation to investigate and evaluate the potential use of the MabionCD20 drug in new clinical indications in the field of orphan diseases.

The Letter of Intent is non-binding and expresses the parties’ intention to conduct negotiations and enter into a partnership aimed at collaborating on the MabionCD20 drug for its further development and registration as an innovative drug for orphan diseases. The letter of intent provides that, in the first stage, the parties will collaborate on preparing materials necessary for regulatory interactions and materials for potential investors, partners, and other possible sources of financing. The parties will jointly participate in meetings with regulatory authorities, including in particular the U.S. Food and Drug Administration (FDA), and will agree on key decisions regarding the drug, including the regulatory strategy and further development. During the first phase, which the parties intend to complete by 30 September 2026, each party will bear the costs associated with its participation in the project.

Once the feasibility and conditions for the use of MabionCD20 in new indications have been established, in the second phase the parties will make a decision and determine further steps, including the material and financial contributions of each party. The terms of cooperation in the second phase will be set forth in a Cooperation Agreement and a corresponding Statement of Work (SOW).The parties plan to enter into a Cooperation Agreement by the end of 2026, although the duration of negotiations may be extended.

Taking steps to explore the potential and development of the MabionCD20 drug in new indications constitutes the implementation of Mabion S.A.’s Strategy for 2025–2030, which the Company disclosed in Current Report No. 33/2025 dated November 17, 2025. In the Management Board’s view, the signing of this letter constitutes a significant event for the Company, as it provides an opportunity to revive the MabionCD20 project—which was crucial for Mabion in previous years—and to put the knowledge and skills developed to use, which could represent a breakthrough for the Company and have a significant impact on its future business operations.

Oddifact SAS is a biotechnology company that uses artificial intelligence to create new therapies for orphan diseases by identifying opportunities and preparing development programs for pharmaceutical partners.

The Company will announce the conclusion of a cooperation agreement or the withdrawal from the project in a separate current report.
