| Zarząd BNP Paribas Bank Polska S.A. („Bank”) informuje, że 6 maja 2026 r. powziął informację o zarejestrowaniu 5 maja 2026 r. przez Sąd Rejonowy dla m. st. Warszawy w Warszawie, XIII Wydział Gospodarczy Krajowego Rejestru Sądowego podwyższenia kapitału zakładowego Banku do kwoty 147 949 302 zł (słownie: sto czterdzieści siedem milionów dziewięćset czterdzieści dziewięć tysięcy trzysta dwa złote) w wyniku objęcia przez uprawnione osoby akcji serii M oraz akcji serii N na warunkach wskazanych w § 29a ust. 2 pkt d) oraz § 29b ust. 2 pkt a) Statutu BNP Paribas Bank Polska S.A. W związku z powyższym zmianie uległ § 29 ust. 1 Statutu Banku. Poniżej zmieniona treść § 29 ust. 1 Statutu Banku: „Kapitał zakładowy Banku wynosi 147 949 302 zł (słownie: sto czterdzieści siedem milionów dziewięćset czterdzieści dziewięć tysięcy trzysta dwa złote) i dzieli się na 147 949 302 (słownie: sto czterdzieści siedem milionów dziewięćset czterdzieści dziewięć tysięcy trzysta dwie) akcje imienne oraz akcje na okaziciela o wartości nominalnej 1 (jeden) złoty każda, w tym: a) 15.088.100 (piętnaście milionów osiemdziesiąt osiem tysięcy sto) akcji serii A od numeru 00000001 do numeru 15088100; b) 7.807.300 (siedem milionów osiemset siedem tysięcy trzysta) akcji serii B od numeru 0000001 do numeru 7807300; c) 247.329 (dwieście czterdzieści siedem tysięcy trzysta dwadzieścia dziewięć) akcji serii C od numeru 000001 do numeru 247329; d) 3.220.932 (trzy miliony dwieście dwadzieścia tysięcy dziewięćset trzydzieści dwie) akcje serii D od numeru 0000001 do numeru 3220932; e) 10.640.643 (dziesięć milionów sześćset czterdzieści tysięcy sześćset czterdzieści trzy) akcje serii E od numeru 00000001 do numeru 10640643; f) 6.132.460 (sześć milionów sto trzydzieści dwa tysiące czterysta sześćdziesiąt) akcji serii F od numeru 0000001 do numeru 6132460; g) 8.000.000 (osiem milionów) akcji serii G od numeru 0000001 do numeru 8000000; h) 5.002.000 (pięć milionów dwa tysiące) akcji serii H od numeru 0000001 do numeru 5002000; i) 28.099.554 (dwadzieścia osiem milionów dziewięćdziesiąt dziewięć tysięcy pięćset pięćdziesiąt cztery) akcje serii I od numeru 00000001 do numeru 28099554; j) 2.500.000 (dwa miliony pięćset tysięcy) akcji serii J od numeru 0000001 do numeru 2500000; k) 10.800.000 (dziesięć milionów osiemset tysięcy) akcji serii K od numeru 00000001 do numeru 10800000; l) 49.880.600 (czterdzieści dziewięć milionów osiemset osiemdziesiąt tysięcy sześćset) akcji serii L od numeru 00000001 do numeru 49880600; m) 330.415 (trzysta trzydzieści tysięcy czterysta piętnaście) akcji serii M; n) 199.969 (sto dziewięćdziesiąt dziewięć tysięcy dziewięćset sześćdziesiąt dziewięć) akcji serii N.” Ogólna liczba głosów wynikająca ze wszystkich akcji Banku wynosi 147 949 302 głosy (słownie: sto czterdzieści siedem milionów dziewięćset czterdzieści dziewięć tysięcy trzysta dwa). Jednocześnie, w załączeniu, Bank przekazuje tekst jednolity Statutu Banku, uwzględniający zmiany zarejestrowane przez Sąd 5 maja 2026 r. Podstawa prawna § 5 pkt 1) i § 6 Rozporządzenia Ministra Finansów z dnia 6 czerwca 2025 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (tekst jednolity: Dz. | Entry of the Amendments to the Articles of Association of BNP Paribas Bank Polska S.A. into the National Court Register current report no. 24/2026 date: 6 May 2026 The Management Board of BNP Paribas Bank Polska S.A. (“the Bank”) hereby announces that on 6 May 2026 the Bank obtained information that on 5 May 2026 the District Court for the capital city of Warsaw in Warsaw, XIII Business Division of the National Court Register registered the increase of the share capital of the Bank up to PLN 147,949,302 (in words: one hundred forty-seven million nine hundred forty-nine thousand three hundred two zlotys), as a result of taking up the series M shares and series N shares by the eligible persons, under the terms and conditions set forth in para. 29a, item 2, section d) and para. 29b, item 2, section a) of the Articles of Association of BNP Paribas Bank Polska S.A. In connection with the above, § 29 item 1 of the Bank's Articles of Association has been amended. Amended provisions of § 29 item 1 the Bank’s Articles of Association are as follows: “1. The share capital of the Bank shall amount to PLN 147,949,302 (in words: one hundred forty-seven million nine hundred forty-nine thousand three hundred two zlotys) and shall be divided into 147,949,302 (in words: one hundred forty-seven million nine hundred forty-nine thousand three hundred two) inscribed shares and bearer shares with nominal value of PLN 1 (in words: one zloty) each, including: a) 15,088,100 (fifteen million eighty eight thousand, one hundred) A series shares, from number 00000001 to number 15088100; b) 7,807,300 (seven million eight hundred and seven thousand, three hundred) B series shares, from number 0000001 to number 7807300; c) 247,329 (two hundred and forty seven thousand, three hundred and twenty- nine) C series shares, from number 000001 to number 247329; d) 3,220,932 (three million two hundred and twenty thousand, nine hundred and thirty two) D series shares, from number 0000001 to number 3220932; e) 10,640,643 (ten million six hundred and forty thousand, six hundred and forty three) E series shares, from number 00000001 to number 10640643; f) 6,132,460 (six million one hundred and thirty-two thousand, four hundred and sixty) F series shares, from number 0000001 to number 6132460; g) 8,000,000 (eight million) G series shares, from number 0000001 to number 8000000; h) 5,002,000 (five million two thousand) H series shares from number 0000001 to number 5002000; i) 28,099,554 (twenty-eight million ninety-nine thousand five hundred fifty-four) I series shares from number 00000001 to number 28099554; j) 2,500,000 (two million five hundred thousand) J series shares from number 0000001 to number 2500000; k) 10,800,000 (ten million eight hundred thousand) K series shares from number 00000001 to number 10800000; l) 49,880,600 (forty-nine million eight hundred eighty thousand six hundred) L series shares, from number 00000001 to number 49880600; m) 330,415 (three hundred thirty thousand four hundred fifteen) series M shares; n) 199,969 (one hundred ninety-nine thousand nine hundred sixty nine) series N shares." The total number of votes carried by the shares of the Bank amounts to 147,949,302 votes (in words: one hundred forty-seven million nine hundred forty-nine thousand three hundred two). At the same time, the Bank encloses the consolidated text of the Bank's Articles of Association, taking into account the amendments registered by the Court on 5 May 2026.
