| Rada Dyrektorów Allegro.eu („Spółka”, a wraz ze swoimi spółkami zależnymi – „Grupa”) niniejszym informuje, że w dniu 27 lutego 2026 r. Grupa pomyślnie sfinalizowała transakcję („Zamknięcie”) na podstawie wiążącej umowy sprzedaży udziałów z dnia 7 stycznia 2026 r., zawartej z Mutares SE & Co. KGaA („Kupujący”), działającym przez swoją spółkę zależną mutares Holding-101 GmbH. Zamknięcie nastąpiło po spełnieniu wszystkich warunków zawieszających, w tym po uzyskaniu odpowiednich zgód organów antymonopolowych. W ramach Zamknięcia na Kupującego zostały formalnie przeniesione wszystkie (100%) udziały w spółkach Mimovrste d.o.o. (Słowenia) oraz Internet Mall d.o.o. (Chorwacja), wraz z dedykowanymi aktywami technologicznymi i wspierającymi tę działalność zespołami z siedzibą w Czechach, które przejdą do Kupującego. Ostateczny wpływ finansowy transakcji nie odbiega w istotny sposób od szacunków przedstawionych przez Spółkę w raporcie bieżącym nr 1/2026. Zamknięcie formalnie kończy proces sprzedaży segmentu Mall South. W konsekwencji ze skutkiem od dnia Zamknięcia Grupa zaprzestaje konsolidacji wyników finansowych i operacyjnych segmentu Mall South, które do dnia Zamknięcia prezentowane były w ramach działalności zaniechanej. | Current Report No. 6/2026 Date: 27 February 2026 Subject: Completion of the sale of the Group’s operations in Slovenia and Croatia Legal basis: Article 17 MAR - inside information The Board of Directors of Allegro.eu (the "Company", and together with its subsidiaries, the "Group") hereby informs that on February 27, 2026, the Group successfully completed the transaction (the "Closing") under the binding Share Purchase Agreement dated January 7, 2026, concluded with Mutares SE & Co. KGaA (the "Buyer"), acting through its subsidiary mutares Holding-101 GmbH. The Closing occurred following the satisfaction of all conditions precedent, including obtaining the relevant antitrust clearances. As part of the Closing, 100% of the shares in Mimovrste d.o.o. (Slovenia) and Internet Mall d.o.o. (Croatia), along with the dedicated technology assets and teams based in the Czech Republic supporting these operations, were formally transferred to the Buyer. The final financial impact of the transaction do not differ materially from the estimates presented by the Company in Current Report No. 1/2026. The Closing formally completes the divestment of the Mall South segment. Consequently, the Group ceases the consolidation of the Mall South segment's financial and operational results effective from the Closing date, which were presented under discontinued operations till the closing date.
