Zarząd Eurocash S.A. („Eurocash” lub „Spółka”), działając na podstawie art. 17 ust. 1 Rozporządzenia Parlamentu Europejskiego i Rady UE Nr 596/2014 w sprawie nadużyć na rynku oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE („MAR”), w nawiązaniu do raportu bieżącego nr 2/2024 z 19.02.2024 r., informuje o tym, że w dniu 27 stycznia 2026 r. Sąd Apelacyjny w Warszawie wydał wyrok oddalający apelację Prezesa Urzędu Ochrony Konkurencji i Konsumentów („UOKiK”) od wyroku Sądu Ochrony Konkurencji i Konsumentów z dnia 19 lutego 2024 r. („SOKiK”). W wyroku z 19 lutego 2024 r. SOKiK uchylił w całości decyzję Prezesa UOKiK z dnia 30 listopada 2021 r., zgodnie z którą Prezes UOKiK nałożył na Spółkę karę w wysokości 76 019 901,23 zł za rzekome stosowanie praktyk nieuczciwie wykorzystujących przewagę kontraktową, polegających na wymaganiu od dostawców produktów rolnych lub spożywczych opłat za niektóre usługi.
Tym samym także Sąd Apelacyjny podzielił stanowisko Spółki w sprawie ww. decyzji Prezesa UOKIK (patrz raport bieżący nr 15/2021 z dnia 01.12.2021 r.).
Na skutek oddalenia apelacji Prezesa UOKiK, wyrok SOKiK stał się prawomocny, a ww. decyzja Prezesa UOKiK została prawomocnie uchylona.
Prezes UOKIK może złożyć skargę kasacyjną od wyroku Sądu Apelacyjnego.
W związku z ww. decyzją Prezesa UOKiK Spółka nie tworzyła rezerw.

MESSAGE (ENGLISH VERSION)

The Management Board of Eurocash S.A. (“Eurocash” or “Company”), acting pursuant to art. 17 sec. 1 of the Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16th April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"), with reference to the current report No. 2/2024 of 19.02.2024, informs that on 27 January 2026, the Court of Appeal in Warsaw issued a judgment dismissing the appeal of the President of the Office of Competition and Consumer Protection ("UOKiK") against the judgment of the Court of Competition and Consumer Protection of 19 February 2024 ("SOKiK"). In its judgment of 19 February 2024, SOKiK repealed in its entirety the decision of the President of UOKiK of 30 November 2021, according to which the President of UOKiK imposed a penalty of PLN 76,019,901.23 on the Company for allegedly using practices that unfairly exploited a contractual advantage, consisting in requiring suppliers of agricultural or food products to pay for certain services.
Thus, also the Court of Appeal agreed with the Company's position on the above-mentioned decision of the President of UOKiK (see the current report no. 15/2021 of 01.12.2021).
As a result of the dismissal of the appeal of the President of UOKiK, the judgment of the SOKiK became final and the above-mentioned decision of the President of UOKiK was finally repealed.
The President of UOKiK may file a cassation appeal against the judgment of the Court of Appeal.
In connection with the above-mentioned decision of the President of UOKiK, the Company did not create provisions.
