| Rada Dyrektorów Allegro.eu („Spółka”) informuje, że w dniu 19 grudnia 2025 roku, Allegro Pay sp. z o.o. („Allegro Pay”), spółka zależna należąca w całości do Spółki, podpisała Umowę udziału w finansowaniu należności dotyczącą kredytów konsumenckich („Umowa”) z Santander Factoring sp. z o.o. („Santander Factoring”), spółka zależna Santander Bank Polska S.A. Umowa pod względem celu i kluczowych warunków jest zasadniczo podobna do umowy udziału w finansowaniu z dnia 21 marca 2024 roku, zawartej przez Allegro Pay z Banco Santander S.A. (por. raport bieżący Spółki nr 7/2024). W wyniku zawarcia Umowy, Allegro Pay będzie mogło współpracować w zakresie finansowania wierzytelności z Banco Santander i Santander Factoring. Zgodnie z Umową, Allegro Pay może zwrócić się do Santander Factoring z wnioskiem o udział w finansowaniu należności, wybranych przez Allegro Pay i zaakceptowanych przez Santander Factoring. Należności objęte finansowaniem, wiążące się z prawem do otrzymywania spłat kapitału głównego kredytów konsumenckich udzielanych przez Allegro Pay, muszą spełniać określone kryteria zdefiniowane w Umowie. Allegro Pay pozostanie odpowiedzialna za windykację należności, monitorowanie, rozliczanie i przekazywanie spłat z finansowanych należności do Santander Factoring, biorąc pod uwagę, że Allegro Pay będzie działać na rzecz Santander Factoring wyłącznie w odniesieniu do rozliczania i przekazywania spłat z finansowanych należności. Współpraca w sprawie udziału w finansowaniu należności polega na otrzymywaniu przepływów pieniężnych z tytułu wierzytelności powstałych w Allegro Pay i skutkuje wyłączeniem tych wierzytelności z bilansu Allegro Pay. W ramach Umowy Santander Factoring będzie uczestniczyć w finansowaniu oferowanych należności do łącznej kwoty 2,5 mld PLN. Wstępny gwarantowany odnawialny limit ustalono na 1,5 mld PLN. Dodatkowy limit w wysokości 1 mld PLN jest opcjonalny dla Santander Factoring. Wykonywanie Umowy przez Santander Factoring zostanie zabezpieczone przez Santander Bank Polska S.A. Umowa jest komplementarna w stosunku do umowy udziału w finansowaniu z dnia 21 marca 2024 roku, zawartej przez Allegro Pay z Banco Santander S.A., w związku z czym wykorzystywanie gwarantowanego odnawialnego limitu z jednej z tych umów, obniża poziom tego limitu przewidziany w drugiej umowie. W konsekwencji jednoczesne, łączne wykorzystanie gwarantowanych odnawialnych limitów z tych umów nie przekroczy 1,5 mld PLN. Spółka nie jest stroną Umowy, lecz będzie działać jako gwarant, gwarantując wyłącznie wykonanie zobowiązań przez Allegro Pay, a nie wykonanie świadczeń klientów będących dłużnikami z tytułu kredytów konsumenckich. Umowa została zawarta na czas nieoznaczony, przy czym limit gwarantowany udostępniony jest do czerwca 2027 roku. Umowa przewiduje 6-miesięczny okres wypowiedzenia zastrzeżony dla obydwu stron i nie zawiera postanowień dotyczących wyłączności. | Current report No. 35/2025 December 19, 2025 Title: Conclusion of the Participation Agreement related to receivables from consumer credits between Allegro Pay sp. z o.o. and Santander Factoring sp. z o.o. Legal basis: Article 17 of Market Abuse Regulation The Board of Directors of Allegro.eu (the “Company”), hereby announces that on 19 December 2025, Allegro Pay sp. z o.o. (“Allegro Pay”), a wholly owned subsidiary of the Company, signed a Participation Agreement related to the receivables from consumer credits (the “Agreement”) with Santander Factoring sp. z o.o. (“Santander Factoring”), a subsidiary of Santander Bank Polska S.A. The Agreement is substantially equivalent in its purpose and key terms to the participation agreement dated March 21, 2024, concluded by Allegro Pay with Banco Santander S.A. (see: the Company's current report no. 7/2024). The effect of the Agreement is that Allegro Pay will be allowed to cooperate under participation in financing receivables with Banco Santander and Santander Factoring. According to the Agreement, Allegro Pay may request Santander Factoring to participate in certain financed receivables, selected by Allegro Pay and accepted by Santander Factoring. The financed receivables, meaning the right to payment related to the principal amount of consumer credit granted by Allegro Pay, shall meet the eligibility criteria defined in the Agreement. Allegro Pay will remain responsible for debt collection, tracking, reconciliation and transfer of the proceeds of the financed receivables to Santander Factoring, whereas Allegro Pay shall act for the benefit of Santander Factoring only concerning reconciliation and transfer of collected proceeds of financed receivables. Participation is in effect receiving the cash flows from receivables originated by Allegro Pay and results in those receivables being derecognised from Allegro Pay's balance sheet. The basis of cooperation and economic effects are the same in both the Agreement and agreement dated March 21, 2024. Under the Agreement, Santander Factoring shall participate in the proposed financed receivables on a revolving basis up to a total amount of PLN 2.5 billion. The initial limit granted is PLN 1.5 billion. An additional PLN 1 billion is optional for Santander Factoring. The performance of the Agreement by Santander Factoring will be secured by Santander Bank Polska S.A. The Agreement is complementary to the participation agreement of March 21, 2024, concluded by Allegro Pay with Banco Santander S.A., and therefore the use of the guaranteed limit under one of these agreements is to reduce the level of this limit provided for in the other agreement. Consequently, the simultaneous total use of guaranteed limits under these agreements will not exceed PLN 1.5 billion. The Company is not a party to the Agreement, but it will act as a Guarantor, solely guaranteeing obligations of Allegro Pay but not the performance of the customers who are debtors under the consumer credits. The Agreement is concluded for an indefinite period, with the guaranteed limit available until June 2027. The Agreement provides a 6-month notice period reserved for both parties and with no exclusivity established.
