| W nawiązaniu do raportu bieżącego nr 19/2025 z dnia 9 czerwca 2025. Zarząd Vivid Games (dalej jako: “Emitent”, “Spółka”) informuje, że dokonał przeglądu postępu prac nad przygotowaniem i wydaniem gry Real Boxing 3 i wraz z zespołem projektowym zaktualizował harmonogram realizacji projektu. W obliczu przesunięcia premiery Real Boxing 3 oraz słabnących przychodów z dystrybucji pozostałych gier, w tym zwłaszcza Real Boxing 2, Zarząd postanowił w dniu 26 czerwca 2025 r., o rozpoczęciu przeglądu opcji strategicznych, w wyniku których wyłoni, do końca lipca 2025, najbardziej optymalne źródło finansowania Spółki do czasu rozpoczęcia dystrybucji Real Boxing 3. W ramach przeglądu opcji strategicznych Zarząd Spółki zamierza dokonać oceny m.in. następujących opcji: - Sprzedaż praw do gry Real Boxing 2 podmiotowi z branży, z wyłączeniem udziału w przyszłych zyskach z dystrybucji gry (kontynuacja negocjacji, o których Emitent informował raportem bieżącym ESPI nr 11/2025). - Sprzedaż części lub całości praw do gier Real Boxing 2 i/lub Real Boxing 3 podmiotowi, który zapewni finansowanie dalszych prac nad Real Boxing 3 oraz pokryje lub będzie partycypował w wydatkach na marketing i user acquisition. - Zawarcie umowy pożyczki lub zwiększenie aktualnego limitu kredytowego w mBank. Zarząd Spółki nie podjął na dzień publikacji niniejszego raportu żadnych decyzji związanych z wyborem konkretnej opcji, a ponadto nie ma pewności, czy przystąpi do realizacji którejkolwiek z przedstawionych opcji. O dalszym przebiegu ww. procesu oraz wyborze konkretnych możliwości Spółka poinformuje w odrębnych raportach. | ||||||||||||

| With reference to Current Report No. 19/2025 dated June 9, 2025, the Management Board of Vivid Games (hereinafter referred to as the “Issuer” or “Company”) announces that it has reviewed the progress of the development and release of Real Boxing 3 and, together with the project team, has updated the project schedule. In view of the postponement of the release of Real Boxing 3 and the declining revenue from the distribution of the other games, especially Real Boxing 2, the Management Board decided on June 26, 2025, to initiate a review of strategic options, as a result of which it will determine, by the end of July 2025, the most optimal source of financing for the Company until the distribution of Real Boxing 3 begins. As part of the review of strategic options, the Company's Management Board intends to evaluate, among other things, the following options: - Sale of the rights to the Real Boxing 2 game to an industry entity, excluding participation in future profits from the distribution of the game (continuation of negotiations reported by the Issuer in ESPI Current Report No. 11/2025). - Sale of part or all of the rights to Real Boxing 2 and/or Real Boxing 3 games to an entity that will provide financing for further work on Real Boxing 3 and cover or participate in marketing and user acquisition expenses. - Entering into a loan agreement or increasing the current credit limit with mBank. As of the date of publication of this report, the Company's Management Board has not made any decisions related to the selection of a specific option, and it is uncertain whether it will proceed with any of the options presented. The Company will inform about the further execution of the aforementioned process and the selection of specific options in separate reports.
