| Zarząd XTPL S.A. („Spółka”, „Emitent”), informuje, że w dniu 19 marca 2026 roku pan Dr Filip Granek - Prezes Zarządu Emitenta zawarł ze Spółką umowę objęcia 3.000 (trzech tysięcy) akcji zwykłych na okaziciela serii Y w ramach przeprowadzonej przez Spółkę oferty publicznej tych akcji, za łączną cenę emisyjną 195.000 zł (sto dziewięćdziesiąt pięć tysięcy złotych). Spółka uznała, że udział w emisji akcji przez Dr Filipa Granka, Prezesa Zarządu, współzałożyciela Spółki i jednego z jej głównych akcjonariuszy długoterminowo zaangażowanego w Spółkę jest informacją istotną z punktu widzenia inwestorów. W konsekwencji Emitent uznał informację o objęciu akcji serii Y przez pana Dr Filipa Granka jako spełniającą kryteria informacji poufnej w rozumieniu art. 7 MAR w ramach szerszego procesu pozyskania finansowania przez Spółkę poprzez emisję akcji serii Y. | ||||||||||||

| Title: Subscription of series Y shares by the Issuer's CEO Filip Granek, PhD Legal basis: Article 17(1) MAR – inside information Content of the Report: The Management Board of XTPL S.A. (the “Company”, the “Issuer”), hereby reports that on March 19, 2026, Filip Granek, PhD, President of the Issuer's Management Board (CEO) entered into an agreement with the Company to take up (subscription) 3,000 (three thousand) series Y ordinary bearer shares, as part of the Company's public offering of these shares, for a total issue price of PLN 195,000 (one hundred and ninety five thousand zlotys). The Company has decided that the fact that Filip Granek, PhD, CEO, co-founder and one of the main shareholders of the Company with a long-standing involvement in the business, participates in the issue represents material information from the point of view of investors. In consequence, the Issuer has decided that the information on the acquisition of the series Y shares by Filip Granek, PhD meets the criteria of inside information within the meaning of Article 7 MAR as part of a wider process of obtaining financing by the Company through the issue of series Y shares. | |||
