| Zarząd XTPL S.A. ["Emitent", "Spółka", "XTPL"] informuje, że w dniu 23 lutego 2026 pomiędzy Emitentem a Manz Asia ["Manz", "Partner"] z siedzibą na Tajwanie została podpisana niewyłączna umowa o partnerstwie strategicznym ["Umowa"]. Przedmiot i zakres Umowy Na mocy podpisanej Umowy strony nawiązują wielowymiarową współpracę, obejmującą dwa główne obszary: 1. Zgodnie z Umową Manz Asia zakupił od XTPL urządzenie Delta Printing System ["DPS"], które zostanie zainstalowane w Semiconductor Innovation R&D Center Manz w Taoyuan na Tajwanie w pierwszej połowie 2026 roku. W ramach tego centrum XTPL i Manz Asia będą wspólnie prowadzić demonstracje i ewaluacje technologii Ultra-Precise Dispensing ["UPD"] dla klientów przemysłowych z branży zaawansowanego pakowania półprzewodników (ang. advanced packaging). Obaj partnerzy wnoszą do współpracy własne bazy klientów zainteresowanych technologią precyzyjnego druku, a centrum innowacyjne Manz stanowić będzie punkt dostępu do tamtejszego środowiska przemysłowego i decydentów technologicznych. W perspektywie długoterminowej partnerstwo obejmuje możliwość integracji technologii UPD w maszynach Manz Asia pod dedykowane projekty wdrożeniowe u klientów. 2. Manz Asia obejmie rolę dystrybutora produktów i usług XTPL na Tajwanie oraz w Indiach, gdzie działa od blisko 20 lat i posiada wyspecjalizowany zespół sprzedaży i wsparcia technicznego dla branży zaawansowanej mikroelektroniki. Umowa ma charakter niewyłączny. Spółka oraz Partner zachowują pełną swobodę w nawiązywaniu kolejnych partnerstw z innymi podmiotami na rynkach azjatyckich i globalnych. Znaczenie Umowy dla Spółki Tajwan jest jednym z kluczowych globalnych rynków dla technologii półprzewodnikowych i jednym ze strategicznych rynków XTPL. Spółka prowadzi aktualnie zaawansowany projekt ewaluacyjny z czołowym tajwańskim producentem półprzewodników. Partnerstwo z Manz Asia istotnie skraca dystans do decydentów i innowatorów w tamtejszym ekosystemie przemysłowym. Wspólne centrum demonstracyjne w Taoyuan umożliwia prowadzenie ewaluacji technologii XTPL blisko potencjalnych klientów, co jest kluczowym czynnikiem w procesach zakupowych dużych graczy przemysłowych w regionie. Dla XTPL partnerstwo z uznanym lokalnym podmiotem stanowi optymalny model wejścia na rynki azjatyckie, który jest komplementarny wobec modelu wholly-owned subsidiary zastosowanego z powodzeniem w USA (XTPL Inc., Boston) i pozwala na szybszą penetrację rynku przy istotnie niższym zaangażowaniu kapitałowym. O Manz Asia Manz Asia to wyspecjalizowany producent zaawansowanych maszyn dla przemysłu półprzewodnikowego, zatrudniający ok. 380 inżynierów i specjalistów, z ponad 40-letnim doświadczeniem w automatyzacji procesów produkcyjnych dla branży półprzewodnikowej i wyświetlaczy. Firma specjalizuje się w panel-level packaging, w tym w technologiach Fan-Out Panel-Level Packaging ["FOPLP"], Through Glass Via ["TGV"] oraz IC substrates. Posiada struktury operacyjne na Tajwanie (Taoyuan), w Chinach (Suzhou) i w Indiach (New Delhi) oraz dedykowane Semiconductor Innovation R&D Center w Taoyuan. Zarząd Emitenta uznał fakt zawarcia przedmiotowej Umowy za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację finansową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na postrzeganie Emitenta przez inwestorów. W związku z powyższym, w opinii Zarządu, informacja o zawarciu Umowy spełnia kryteria wskazane w art. 7 ust. 1 rozporządzenia MAR. | ||||||||||||

| Title: Execution of a non-exclusive strategic partnership agreement with Manz Asia – entry into a semiconductor innovation center in Taiwan, expansion of the distribution network in Taiwan and India, and sale of the DPS device. Legal basis: Article 17(1) MAR – inside information Content of the Report: The Management Board of XTPL S.A. (the “Issuer”, the “Company”, “XTPL”) hereby reports that on February 23, 2026 a non-exclusive strategic partnership agreement (the “Agreement”) was signed between the Issuer and Manz Asia (the “Manz”, the “Partner”), with its registered office in Taiwan. Subject matter and scope of the Agreement Pursuant to the Agreement, the parties establish a multi-dimensional cooperation covering two main areas: 1. Under the Agreement, Manz Asia has purchased from XTPL a Delta Printing System device (the “DPS”), which will be installed at the Manz Semiconductor Innovation R&D Center in Taoyuan, Taiwan, in the first half of 2026. Within this center, XTPL and Manz Asia will jointly conduct demonstrations and evaluations of the Ultra-Precise Dispensing (the “UPD”) technology for industrial clients in the advanced packaging sector. Both partners contribute their respective client networks interested in precision printing technology. The Manz innovation center will serve as a gateway to the local industrial ecosystem and technology decision-makers. In the long term, the partnership includes the possibility of integrating the UPD technology into Manz Asia’s machines for dedicated customer implementation projects. 2. Manz Asia will assume the role of distributor of XTPL’s products and services in Taiwan and India, where it has been operating for nearly 20 years and maintains a specialized sales and technical support team serving the advanced microelectronics sector. The Agreement is non-exclusive in nature. The Company and the Partner retain full freedom to enter into additional partnerships with other entities in Asian and global markets. Significance of the Agreement for the Company Taiwan is one of the key global markets for semiconductor technologies and one of XTPL’s strategic markets. The Company is currently conducting an advanced evaluation project with a leading Taiwanese semiconductor manufacturer. The partnership with Manz Asia significantly shortens the distance to decision-makers and innovators within the local industrial ecosystem. The joint demonstration center in Taoyuan enables the evaluation of XTPL’s technology in close proximity to potential clients, which is a critical factor in the procurement processes of major industrial players in the region. For XTPL, the partnership with a recognized local entity represents an optimal model for entering Asian markets. It complements the wholly-owned subsidiary model successfully implemented in the United States (XTPL Inc., Boston) and enables faster market penetration with significantly lower capital commitment. About Manz Asia Manz Asia is a leading manufacturer of advanced semiconductor equipment, employing approximately 380 engineers and specialists, with more than 40 years of experience in automating manufacturing processes for the semiconductor and display sectors. The company specializes in panel-level packaging, including Fan-Out Panel-Level Packaging (the “FOPLP”), Through Glass Via (the “TGV”), and IC substrates technologies. It maintains operational structures in Taiwan (Taoyuan), China (Suzhou), and India (New Delhi), as well as a dedicated Semiconductor Innovation R&D Center in Taoyuan. The Management Board of the Issuer has classified the execution of the Agreement as inside information, as its implementation may have a material impact on the Issuer’s future financial position, the adoption of the Company’s technological solutions, and the Issuer’s perception among investors. For this reason, in the opinion of the Management Board, the information about the execution of the Agreement meets the criteria set out in Article 7(1) of the MAR. | |||
