| W nawiązaniu do raportów bieżących nr 24/2025 z dnia 12 maja 2025 r. oraz 26/2025 z dnia 16 czerwca 2025 r., Zarząd Santander Bank Polska S.A. („Bank”) informuje, że w dniu 19 grudnia 2025 r., uzyskał informację od nabywcy o wydaniu przez Komisję Nadzoru Finansowego w dniu 17 grudnia 2025 r. decyzji o stwierdzeniu braku podstaw do zgłoszenia sprzeciwu wobec bezpośredniego nabycia przez Santander Consumer Finance S.A. 3 120 000 akcji Santander Consumer Bank S.A. („Transakcja”) oraz że w związku z powyższym zostały spełnione warunki do zamknięcia Transakcji. O zamknięciu Transakcji i zawarciu ostatecznej umowy sprzedaży w/w akcji, Bank poinformuje odrębnym raportem bieżącym, zgodnie z przepisami. Podstawa prawna: Art. 17 ust. 1 MAR | ||||||||||||

| current report no.: 39/2025 19-12-2025 Re: Decision of the Polish Financial Supervision Authority not to object to the planned sale of shares held by the Bank in Santander Consumer Bank S.A. and fulfilment of the conditions for closing the Transaction With reference to current reports No. 24/2025 of 12 May 2025, and No. 26/2025 of 16 June 2025, the Management Board of Santander Bank Polska S.A. (the “Bank”) informs that on 19 December 2025, it was notified by the buyer that the Polish Financial Supervision Authority (Komisja Nadzoru Finansowego) on 17 December 2025 issued a decision confirming that there were no grounds for objecting to the direct acquisition by Santander Consumer Finance S.A. from the Bank of 3,120,000 shares in Santander Consumer Bank S.A. (the “Transaction”) and that in connection with the above, the conditions for closing the Transaction have been met. The Bank will announce the closing of the Transaction and the conclusion of the final agreement for the sale of the aforementioned shares in a separate current report, in accordance with the regulations.
