| Zarząd spółki PGE Polska Grupa Energetyczna S.A. („PGE”, „Spółka”) informuje, że w dniu 15 grudnia 2025 r. Spółka otrzymała zaświadczenie o dokonaniu wpisu zmian statutu Spółki do Rejestru Przedsiębiorców Krajowego Rejestru Sądowego. Sąd Rejonowy Lublin Wschód w Lublinie z siedzibą w Świdniku, VI Wydział Gospodarczy Krajowego Rejestru Sądowego dokonał wpisu zmian statutu Spółki w dniu 15 grudnia 2025 r., na podstawie uchwały nr 4 Nadzwyczajnego Walnego Zgromadzenia Spółki z dnia 4 grudnia 2025 r. W załączeniu do niniejszego raportu Spółka przekazuje informację o treści zmienionych lub nowych postanowień statutu oraz tekst jednolity statutu uwzględniający zmiany. Podstawa prawna: § 5 pkt 1 oraz § 6 Rozporządzenia Ministra Finansów z dnia 6 czerwca 2025 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz.U. 2025 poz. 755). | |||||||||||

| Registration of the changes to the Statutes The Management Board of PGE Polska Grupa Energetyczna S.A. ("PGE", the "Company") informs that on December 15, 2025 the Company has received the confirmation of the entry of amendments to the Company’s Statutes to the Register of the Entrepreneurs of the National Court Register. The District Court Lublin East in Lublin with its seat in Świdnik, 6th Commercial Division of National Court Register registered the changes to the Company's Statutes on December 15, 2025, on the ground of resolution no. 4 of the Extraordinary General Meeting of the Company of December 4, 2025. The Company attaches to this report the information about amended or new provisions of the Statutes and consolidated text of the Statutes which includes the changes. Legal ground: § 5 point 1 and § 6 of the Regulation of the Minister of Finance dated June 6, 2025 on current and periodic information published by issuers of securities and on conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state (Dziennik Ustaw of 2025, item 755). | |||
