| Zarząd Medicalgorithmics S.A. („Spółka”, „Medicalgorithmics”) informuje, że w dniu 3 listopada 2025 r. Spółka zawarła umowę („Umowa”) z partnerem z Anglii („Kontrahent”). Na mocy Umowy Medicalgorithmics S.A. udostępni Kontrahentowi oprogramowanie DeepRhythmPlatform (DRP) z algorytmami sztucznej inteligencji DeepRhythmAI (DRAI) („Produkt EKG”) w modelu usługowym, umożliwiające wykonywanie badań ECG dla pacjentów Kontrahenta na terytorium Zjednoczonego Królestwa i Irlandii. Umowa obejmuje również świadczenie usług wdrożeniowych, serwisowych oraz bieżącego wsparcia technicznego. Zgodnie z warunkami Umowy, wartość wynagrodzenia (określonego w GBP) za świadczone usługi będzie zależała od liczby sesji EKG analizowanych za pomocą oprogramowania Spółki w danym miesiącu przy ustalonej stawce za sesje zależne od długości badania z gwarantowanym minimalnym miesięcznym wynagrodzeniem (w GBP). Gwarantowane kontraktowo minimalne miesięczne wynagrodzenie za wykonane przez Partnera badania diagnostyczne wyniesie 36,6 tys. PLN (7,5 tys. GBP) i będzie obowiązywało po upływie trzech miesiący od zakończenia etapu pilotażowego, przy czym w pierwszych trzech miesiącach od zakończenia etapu pilotażowego Kontrahent zapłaci Spółce 43,9 tys. PLN (9,0 tys. GBP). Etap pilotażowy oznacza okres początkowy Umowy, który rozpoczyna się w dniu 10 listopada 2025 r. i obowiązuje przez okres trzech miesięcy od daty rozpoczęcia etapu pilotażowego lub do momentu wykonania przez Kontrahenta pięciuset (500) płatnych badań EKG w ramach programu pilotażowego. Po zakończeniu okresu początkowego, Umowa zostanie automatycznie przedłużona i będzie obowiązywała przez czas nieokreślony, chyba że Kontrahent przekaże Medicalgorithmics pisemne zawiadomienie o braku zamiaru przedłużenia Umowy po okresie początkowym. Przy założeniu świadczenia usług przez okres kolejnych dwunastu miesięcy od momentu spełnienia warunku otrzymania minimalnego miesięcznego wynagrodzenia (7,5 tys GBP; 36,6 tys. PLN), minimalny gwarantowany roczny przychód z tytułu kontraktu wyniesie 439,2 tys. PLN. Po upływie pierwszych dwunastu miesięcy strony przewidziały możliwość renegocjacji minimalnej opłaty miesięcznej z uwzględnieniem rozwoju wolumenu badań i zakresu świadczeń objętych Umową. Po etapie pilotażu umowa zostaje przedłużona na czas nieokreślony, z możliwością jej wypowiedzenia przez każdą ze stron z zachowaniem 6-miesięcznego okresu wypowiedzenia. Ponadto Umowa przewiduje możliwość jej natychmiastowego rozwiązania w przypadku rażącego naruszenia przez jedną ze stron, po wcześniejszym bezskutecznym wezwaniu do usunięcia uchybień. Umowa została zawarta zgodnie z prawem Anglii i Walii i zawiera standardowe postanowienia dotyczące oświadczeń i zapewnień, poufności oraz indemnifikacji, zgodne z branżowymi standardami.Szczegółowe warunki Umowy nie odbiegają od powszechnie stosowanych na rynku praktyk dla tego typu usług. W opinii Zarządu, zawarcie Umowy stanowi istotny krok w realizacji strategii ekspansji Medicalgorithmics na rynku Wielkiej Brytanii i Irlandii, umożliwiając dalsze skalowanie rozwiązań DeepRhythm AI i zwiększenie przychodów z licencji oprogramowania i usług B2B. Wartości w GBP wskazane w tym raporcie zostały przeliczone na PLN według kursu 4.8800 PLN/GBP. | ||||||||||||

| Subject: Medicalgorithmics S.A. signs a contract with a minimum annual value of PLN 439.2 thousand for the provision of ECG diagnostic service Current Report No: 34 / 2025 Date: November 3, 2025 Legal Basis: Article 17(1) of the MAR Regulation – Confidential Information The Management Board of Medicalgorithmics S.A. (“Company”, “Medicalgorithmics”) announces that on November 3, 2025, the Company signed an agreement (“Agreement”) with a partner from England (“Contractor”). Under the Agreement, Medicalgorithmics S.A. will provide the Contractor with access to the DeepRhythmPlatform (DRP) software with DeepRhythmAI (DRAI) artificial intelligence algorithms (“ECG Product”) in a service-based model, enabling the Contractor to conduct ECG tests for its patients in the United Kingdom and Ireland. The Agreement also includes implementation services, maintenance, and ongoing technical support. According to the terms of the Agreement, the compensation (denominated in GBP) for the services provided will depend on the number of ECG sessions analyzed using the Company's software in a given month, at a fixed rate per session based on the test duration, with a contractually guaranteed minimum monthly payment (in GBP). The contractually guaranteed minimum monthly payment for diagnostic tests performed by the Partner will amount to PLN 36.6 thousand (GBP 7.5 thousand) and will apply three months after the conclusion of a pilot phase. During the first three months after the end of the pilot phase, the Contractor will pay the Company PLN 43.9 thousand (GBP 9.0 thousand) per month. The pilot phase refers to the initial period of the Agreement, starting on November 10, 2025 that will last for three months from the pilot phase start, or until the Contractor completes five hundred (500) paid ECG tests under the pilot program. After the initial period ends, the Agreement will be automatically extended and will remain in force for an indefinite period, unless the Company provides written notice to the Contractor of its intention not to extend the Agreement beyond the initial period. Assuming services are provided for twelve consecutive months from the moment the minimum monthly payment condition (GBP 7.5 thousand; PLN 36.6 thousand) is met, the guaranteed minimum annual revenue from the contract will amount to PLN 439.2 thousand. After the first twelve months, the parties have agreed to renegotiate the minimum monthly payment, taking into account the growth in examination volume and the scope of services covered by the Agreement. Following the pilot phase, the Agreement will be extended for an indefinite period, with the possibility of termination by either party with six months’ notice. Furthermore, the Agreement allows for immediate termination in the event of a material breach by either party, following an unsuccessful request to remedy the breach. The Agreement was concluded under the laws of England and Wales and includes standard provisions on representations and warranties, confidentiality, and indemnification, consistent with industry standards. In the opinion of the Management Board, the conclusion of the Agreement constitutes a significant step in implementing Medicalgorithmics’ expansion strategy in the UK and Irish markets, enabling further scaling of DeepRhythm AI solutions and increasing revenue from software licensing and B2B services. The GBP values presented in this report have been converted to PLN using an exchange rate of 4.8800 PLN/GBP. | |||
