| W nawiązaniu do raportu bieżącego nr 13/2025 z dnia 31 lipca 2025 r., w którym Zabka Group SA z siedzibą w Luksemburgu („Spółka”, „Emitent”) ogłosiła program skupu akcji własnych Emitenta („Program Skupu”) w celu realizacji zobowiązań wynikających z długoterminowego programu motywacyjnego, Spółka informuje, że w wyniku złożonego w dniu 6 sierpnia 2025 r. za pośrednictwem Trigon Dom Maklerski S.A. zlecenia maklerskiego, w dniach od 11 sierpnia 2025 r. do 14 sierpnia 2025 r. na rachunek Spółki nabytych zostało 2.070.000 akcji własnych Emitenta, po średniej cenie ważonej wynoszącej 21,75025891 złotych za akcję. W wyniku wszystkich transakcji przeprowadzonych w ramach Programu Skupu, czyli okresie od 7 sierpnia 2025 r. do 14 sierpnia 2025 r., Spółka nabyła łącznie 3.174.000 akcji własnych Emitenta, stanowiących ok. 0,32% kapitału zakładowego Spółki oraz ok. 0,32% ogólnej liczby głosów na Walnym Zgromadzeniu Spółki. W załączeniu do niniejszego raportu bieżącego Spółka przekazuje zagregowane i szczegółowe informacje o transakcjach nabycia akcji własnych przeprowadzonych w dniach od 11 sierpnia do 2025 r. do 14 sierpnia 2025 r. Podstawa prawna: Art. 2 ust. 2 i 3 Rozporządzenia Delegowanego Komisji (UE) 2016/1052 z dnia 8 marca 2016 r. uzupełniającego Rozporządzenie Parlamentu Europejskiego i Rady (UE) nr 596/2014 w odniesieniu do regulacyjnych standardów technicznych dotyczących warunków mających zastosowanie do programów odkupu i środków stabilizacji z dnia 8 marca 2016 r., w zw. z art. 5 ust. 3 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylające dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE. | |||||||||||

| Current Report no. 15/2025 dated 18 August 2025 Information on transactions executed under the share buyback programme With reference to the current report no. 13/2025 dated 31 July 2025, in which Zabka Group SA with its registered office in Luxembourg (the “Company”, the “Issuer”) announced the share buyback programme (the “Buyback”) to satisfy awards under the long-term incentive plan, the Company hereby informs that, as a result of a brokerage order placed on 6 August 2025 through Trigon Dom Maklerski S.A., a total of 2,070,000 own shares of the Issuer were acquired on the Company’s account during the period from 11 August 2025 to 14 August 2025, at an average weighted purchase price of PLN 21.75025891 per share. As a result of all transactions carried out under the Buyback during the period from 7 August 2025 to 14 August 2025, the Company acquired in aggregate 3,174,000 own shares of the Issuer, representing approx. 0.32% of the Company’s issued share capital and approx. 0.32% of the total number of votes at the Company’s General Meeting. The Company attaches to this current report both aggregated and detailed information on the transactions related to the acquisition of own shares carried out during the period from 11 August 2025 to 14 August 2025. Legal basis: Article 2(2) and (3) of Commission Delegated Regulation (EU) 2016/1052 of 8 March 2016 supplementing Regulation (EU) No 596/2014 of the European Parliament and of the Council with regard to regulatory technical standards for the conditions applicable to buy-back programmes and stabilisation measures, in conjunction with Article 5(3) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market Abuse Regulation), repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC. | |||
