| W raporcie bieżącym nr 18/2021 z dnia 30 listopada 2021 r. Rada Dyrektorów Allegro.eu („Spółka”) poinformowała o ustanowieniu programu emisji obligacji rządzonego prawem polskim do łącznej wartości nominalnej niewykupionych obligacji do kwoty 3.000.000.000 PLN (trzy miliardy złotych) w dowolnym czasie w ramach programu („Program”). Spółka niniejszym informuje, że w dniu 21 maja 2025 r. podpisała umowę zmieniającą i ujednolicającą ("Umowa Zmieniająca"). Umowa ta zmienia umowę programową zawartą w dniu 30 listopada 2021 r. z Santander Bank Polska S.A. jako, między innymi, organizatorem oraz dealerem, oraz Powszechną Kasą Oszczędności Bank Polski S.A. jako, między innymi, dealerem oraz agentem technicznym. Zmiany wprowadzone Umową Zmieniającą są zasadniczo natury technicznej. Umowa Zmieniająca nie zmienia podstawowych założeń Programu, ani parametrów, w ramach których mogłyby być emitowane obligacje. Obligacje będą nadal oferowane wyłącznie inwestorom kwalifikowanym, bez obowiązku publikacji prospektu emisyjnego. Obligacje mogą być denominowane w PLN lub EUR i będą emitowane jako obligacje uprzywilejowane niezabezpieczone. Program umożliwi emisję obligacji typu plain vanilla, zielonych obligacji i obligacji zrównoważonego rozwoju. Obligacje mogą być oprocentowane według zmiennej lub stałej stopy procentowej. Zmieniony Program jest dostosowany do zmian w prawie, które weszły w życie od czasu ustanowienia Programu, w tym do ustawy o obligacjach. W rezultacie Spółka będzie gotowa do emisji obligacji na podstawie zaktualizowanego Programu, jeśli uzna, że sprzyjają temu warunki rynkowe. | Current report No. 10/2025 Date: 21 May 2025 Title: Update of the bond issuance programme Legal basis: Article 17 of MAR - inside information In its current report No. 18/2021 of 30 November 2021, the Board of Directors of Allegro.eu (the “Company”) informed about the establishment of a Polish law governed bond issuance programme up to the aggregate nominal value of outstanding bonds up to PLN 3,000,000,000 (three billion zloty) at any time under the programme (the ''Programme''). The Company hereby informs that on 21 May 2025 the Company signed an amendment and restatement agreement (the "Amendment Agreement"). This agreement modifies the programme agreement entered into on 30 November 2021 with Santander Bank Polska S.A. as, inter alia, arranger and dealer and Powszechna Kasa Oszczędności Bank Polski S.A. as, inter alia, dealer and technical agent. The changes implemented by the Amendment Agreement are essentially of technical nature. The Amendment Agreement does not change the basic assumptions of the Programme or the parameters within which bonds could be issued. The bonds will still be offered solely to qualified investors, without the obligation to publish a prospectus. The bonds may be denominated in PLN or EUR and will be issued on a senior unsecured basis. The Programme will allow for the issuance of plain vanilla bonds, green bonds and sustainability bonds. The bonds may bear a floating or a fixed interest rate. The amended Programme is adapted to the changes in the law that have come into force since the establishment of the Programme, including the Act on Bonds. As a result, the Company will be ready to issue bonds on the basis of the updated Programme if and when it deems that the market conditions are favourable.
