| Zarząd XTPL S.A. [“Emitent", “Spółka", "XTPL"] informuje, że w dniu 10 maja 2024 roku pomiędzy Emitentem a CDS ELECTRONIQUE, z siedzibą we Francji ["CDS ELECTRONIQUE", "Dystrybutor"] została podpisana niewyłączna umowa dystrybucji rozwiązań technologicznych Emitenta ["Umowa"]. Na mocy podpisanej Umowy Dystrybutor będzie reklamował i sprzedawał rozwiązania XTPL z obszaru linii biznesowej High-Performance Materials (HPM) na terenie Francji. Współpraca ma na celu wsparcie XTPL w pozyskiwaniu nowych zastosowań dla swoich technologii i produktów w korporacjach technologicznych, centrach badawczo-rozwojowych i jednostkach naukowych i będzie skupiać się na wprowadzaniu rozwiązań z obszaru elektroniki, technologii półprzewodnikowych i zaawansowanych płytek PCB. To krok umożliwiający jeszcze lepsze zaspokajanie potrzeb klientów XTPL na rynku europejskim. CDS ELECTRONIQUE to renomowany ekspert w dziedzinie dostarczania na terenie Francji rozwiązań związanych z technologią addytywną i wysoko wydajnymi materiałami wykorzystywanymi do produkcji elektroniki. Dzięki swojemu bogatemu zapleczu technologicznemu opartemu na trzydziestoletnim doświadczeniu zespołu, firma CDS ELECTRONIQUE stała się zaufanym partnerem dla licznych organizacji działających w sektorze elektronicznym. W ramach współpracy Dystrybutor będzie promował materiały XTPL wśród swoich obecnych i nowych klientów. Zarząd Emitenta uznał fakt zawarcia przedmiotowej Umowy dystrybucji na znaczący rynek za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na perspektywę postrzegania Emitenta przez inwestorów. W związku z powyższym, w opinii Zarządu informacja o zawarciu Umowy spełnia kryteria wskazane w art. 7 ust. 1 Rozporządzenia MAR. | ||||||||||||

| Title: Entering into a non-exclusive agreement for the distribution of the Issuer's technological solutions in France. Legal basis: Article 17 (1) MAR - confidential information Content of the Report: The Management Board of XTPL S.A. ["Issuer", "Company", "XTPL"] announces that on May 10, 2024, a non-exclusive agreement for the distribution of the Issuer's technological solutions ["Agreement"] was signed between the Issuer and CDS ELECTRONIQUE based in France ["CDS ELECTRONIQUE", "Distributor"]. Under the signed Agreement, the Distributor will advertise and sell XTPL's solutions from the High-Performance Materials (HPM) business line in France. The cooperation is intended to support XTPL in opening new applications for its technologies and products in technology corporations, research and development centers and academic units, and will focus on introducing solutions in the electronics, semiconductor, and advanced PCB fields. CDS ELECTRONIQUE is a renowned expert company in the French market providing solutions related to additive technology and high-performance materials used in electronics manufacturing. With its rich technological background built on thirty years of team experience, CDS ELECTRONIQUE has become a trusted partner for numerous French organizations operating in the electronics sector. The Issuer's Management Board considered the fact that the Distribution Agreement in question was concluded for a significant market to be confidential information, as its implementation may have a significant impact on the Issuer's future revenue situation, the popularization of the Company's technological solutions, as well as the prospect of investors' perception of the Issuer. That is a step enabling even better fulfillment of XTPL customers' needs on the European market. In view of the above, in the opinion of the Management Board, the information on the conclusion of the Agreement meets the criteria indicated in Article 7(1) of the MAR Regulation. | |||
