| Zarząd Shoper S.A. z siedzibą w Krakowie („Spółka”, „Emitent”), informuje, że w dniu 6 marca 2024 roku została zawarta umowa zakupu 220 udziałów, stanowiących 20% udziału w kapitale zakładowym spółki Apilo sp. z o.o. Stroną sprzedającą były osoby fizyczne. Po rozliczeniu transakcji Emitent będzie posiadał 100 % udziałów w Apilo sp. z o.o. W dniu transakcji cena za udziały wyniosła: 2,4 mln zł. W ramach umowy sprzedającym przysługuje wynagrodzenie dodatkowe w wysokości uzależnionej od osiągnięcia celów finansowych (mechanizm tzw. earn out) określonych odrębnie dla roku 2025 oraz 2027, których rozliczenie nastąpi na podstawie zatwierdzonych wyników Apilo odpowiednio - w roku 2026 i 2028. Maksymalne, łączne wynagrodzenie dodatkowe może wynieść nie więcej niż 8 mln zł, z czego 2 mln zł związane jest z realizacją celów w roku 2025, a 6 mln zł – w roku 2027. Umowa przewiduje ponadto cele minimalne oraz pośrednie dla każdego z wyżej wymienionych lat, z których osiągnięciem, w danym roku, wiążą się odpowiednio niższe kwoty wynagrodzenia dodatkowego, a w przypadku nieosiągnięcia celu minimalnego - sprzedającym nie będzie przysługiwało dodatkowe wynagrodzenie za ten rok. Pozostałe zapisy umowy nie odbiegają od standardowych zapisów przewidzianych dla tego typu umów. Platforma Apilo pozwala na kompleksowe zarządzanie z jednego miejsca sprzedażą internetową, w tym w szczególności poprzez integrację z: platformami e-commerce (np. Shoper), platformami handlowymi (np. Allegro, eBay, Amazon), hurtowniami czy systemami magazynowo-księgowymi. Zakup pozostałych udziałów w Apilo Sp. z o.o. i objęcie pełnej kontroli nad spółką zapewni dalszy, dynamiczny rozwój platformy Apilo i wzmocnienie pozycji Grupy Shoper jako wiodącego dostawcy rozwiązań dla rynku e-commerce i jest zgodne ze strategią rozwoju Emitenta. W skonsolidowanym sprawozdaniu finansowym spółka Apilo jest konsolidowana metodą pełną, w związku z tym niniejsza transakcja nie wpłynie na prezentację wyników spółki Apilo oraz aktywów z nią związanych w skonsolidowanym sprawozdaniu finansowym. | ||||||||||||

| Date of drafting: March 6th, 2024 The Management Board of Shoper S.A. with its registered office in Krakow ("Company", "Issuer"), informs that on March 6th, 2024, an agreement was concluded to purchase 220 shares, constituting 20% of the share capital in the company Apilo sp. z o.o. The selling party were natural persons. Upon settlement of the transaction, the Issuer will own 100% of the shares in Apilo sp. z o.o. On the day of the transaction, the price per share was PLN 2.4 million. Under the agreement, the seller is entitled to additional remuneration dependent on the achievement of financial goals (earn-out mechanism) separately specified for the years 2025 and 2027, which will be settled based on the approved results of Apilo respectively - in 2026 and 2028. The maximum total additional remuneration may not exceed PLN 8 million, of which PLN 2 million is associated with achieving goals in 2025, and PLN 6 million in 2027. The agreement also provides for minimum and intermediate targets for each of the years, achievement of which in a given year is associated with lower amounts of additional remuneration, and in the event of not achieving the minimum target - the seller will not be entitled to additional remuneration for that year. The remaining provisions of the agreement do not deviate from the standard provisions envisaged for this type of agreements. The Apilo platform allows comprehensive management of online sales from one place, including integration with e-commerce platforms (e.g. Shoper), marketplaces (e.g. Allegro, eBay, Amazon), wholesalers, or warehouse-accounting systems. The acquisition of the remaining shares in Apilo Sp. z o.o. and taking full control of the company will ensure further dynamic development of the Apilo platform and strengthen the position of the Shoper Group as a leading provider of solutions for the e-commerce market, in line with the Issuer's development strategy. In the consolidated financial statements, the company Apilo has been consolidated using the full method, therefore this transaction will not affect the presentation of the results of the Apilo company and related assets in the consolidated financial statements. | |||
