| Zarząd R.Power S.A. z siedzibą w Warszawie („Emitent”) informuje, że w dniu 14 lipca 2026 roku spółka zależna od Emitenta zawarła umowę o generalną realizację inwestycji („Umowa”) ze spółką ONDE S.A. z siedzibą w Toruniu. Przedmiotem Umowy jest realizacja oraz uruchomienie magazynu energii elektrycznej (BESS) o mocy 300 MW / 1200 MWh, wraz z pracami typu Balance of Plant oraz budową głównego punktu odbioru (GPO) 400 kV i linii wysokiego napięcia. Zakres prac obejmuje w szczególności przygotowanie dokumentacji wykonawczej, dostawę materiałów i urządzeń (z wyłączeniem systemu magazynów energii), wykonanie robót budowlano-montażowych, rozruchu i testów funkcjonalnych instalacji oraz przekazanie gotowego obiektu do eksploatacji. Łączna wartość Umowy nie przekracza 10% kapitałów własnych Emitenta. | ||||||||||||

| ESPI – Current Report No. 24/2026 – Execution of a General Investment Implementation Agreement with ONDE S.A. The Management Board of R.Power S.A., with its registered office in Warsaw (the “Issuer”), hereby announces that on 14 July 2026, a subsidiary of the Issuer entered into a general investment implementation agreement (the “Agreement”) with ONDE S.A., with its registered office in Toruń. The subject matter of the Agreement is the construction and commissioning of a battery energy storage system (BESS) with a capacity of 300 MW / 1,200 MWh, including Balance of Plant works, as well as the construction of a 400 kV main grid connection point and a high-voltage transmission line. The scope of works includes, in particular, the preparation of detailed design documentation, the supply of materials and equipment, excluding the battery energy storage system itself, the performance of construction and installation works, commissioning and functional testing of the installation, and the handover of the completed facility for operation. The total value of the Agreement does not exceed 10% of the Issuer’s equity. | |||
