| Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 18 lutego 2026 r. Emitent zawarł z Shark Aviation Danısmanlik Sanayi ve Ticaret Limited Sirketi z siedzibą w Konya, Republika Turcji („Shark Aviation”) umowę o reprezentacji i autoryzacji w formule niewyłącznej współpracy dealerskiej („Umowa”). Na mocy zawartej umowy Emitent uzyskał status niewyłącznego autoryzowanego przedstawiciela i dealera produktów Shark Aviation na terytorium Rzeczypospolitej Polskiej, z możliwością rozszerzenia współpracy na inne uzgodnione obszary. Umowa reguluje zasady promocji, dystrybucji oraz wsparcia sprzedaży produktów i rozwiązań technologicznych partnera, a także ramy współpracy w zakresie marketingu, prezentacji systemów oraz obsługi klientów instytucjonalnych i przemysłowych. Strony przewidują bieżącą współpracę w zakresie wspólnych działań promocyjnych, demonstracyjnych oraz wzajemnym rozwoju projektów o charakterze cywilnym i dual-use. Zawarcie powyższej umowy stanowi konsekwencję podpisanej przez Strony w dniu 17 lutego 2026 r. umowy o zachowaniu poufności (NCNDA), która ustanowiła ramy prawne dla wymiany informacji technicznych, handlowych oraz operacyjnych w związku z analizą możliwości współpracy. NCNDA określa zasady ochrony informacji poufnych, w tym dokumentacji technologicznej, know-how oraz danych projektowych, a także kwestie zgodności z przepisami eksportowymi. Podpisanie umowy o reprezentacji i autoryzacji jest bezpośrednim następstwem uzgodnień prowadzonych w oparciu o powyższe porozumienie. Shark Aviation jest podmiotem technologicznym działającym w sektorze bezzałogowych systemów powietrznych (UAV), oferującym własne platformy dronowe, autorskie systemy sterowania lotem (Flight Control Unit), oprogramowanie wspierające planowanie i zarządzanie misjami, a także usługi integracyjne, serwisowe i szkoleniowe dla operatorów BSP. Spółka pozycjonuje się jako dostawca kompleksowych rozwiązań obejmujących zarówno warstwę sprzętową, jak i programistyczną, rozwijając zastosowania w obszarach przemysłowych, rolnictwa precyzyjnego, inspekcji infrastruktury oraz zastosowań specjalistycznych. Zarząd Spółki informuje, że Umowa zostanie niezwłocznie wdrożona operacyjnie, w szczególności w kontekście planowanych działań promocyjnych związanych z nadchodzącymi targami Drone World Expo 2026, podczas których Emitent zamierza prezentować rozwiązania partnera w ramach swojej oferty projektów technologicznych konsorcjum (Iryda Plus, Mallard, Ares). Zarząd Emitenta zakłada, że współpraca może przyczynić się do wzmocnienia pozycji Spółki w segmencie technologii bezzałogowych oraz poszerzenia portfolio oferowanych rozwiązań. Jednocześnie Emitent informuje, że prowadzone są wstępne rozmowy dotyczące potencjalnego udziału Shark Aviation w procesie komercjalizacji systemu Iryda Plus na rynku tureckim. O ewentualnym zawarciu porozumień o charakterze strategicznym lub finansowym w tym zakresie Emitent poinformuje odrębnym raportem bieżącym, zgodnie z obowiązującymi przepisami prawa oraz regulacjami MAR. Zarząd Emitenta uznał informację o zawarciu przedmiotowej umowy za informację poufną z uwagi na jej znaczenie dla dalszego rozwoju działalności operacyjnej Spółki w segmencie technologii bezzałogowych oraz jej potencjalny wpływ na sytuację gospodarczą Emitenta. | ||||||||||||

| The Management Board of MBF Group S.A. with its registered office in Warsaw (the “Issuer,” “Company”) hereby announces that on February 18, 2026, the Issuer entered into a non-exclusive dealer cooperation agreement (‘Agreement’) with Shark Aviation Danısmanlik Sanayi ve Ticaret Limited Sirketi with its registered office in Konya, Republic of Turkey (“Shark Aviation”). The conclusion of the above agreement is a consequence of the non-disclosure agreement (NCNDA) signed by the Parties on February 17, 2026, which established the legal framework for the exchange of technical, commercial, and operational information in connection with the analysis of cooperation opportunities. The NCNDA sets out the rules for the protection of confidential information, including technical documentation, know-how, and design data, as well as issues of compliance with export regulations. The signing of the representation and authorization agreement is a direct consequence of the arrangements made on the basis of the above agreement. Under the agreement, the Issuer has obtained the status of a non-exclusive authorized representative and dealer of Shark Aviation products in the territory of the Republic of Poland, with the possibility of extending cooperation to other agreed areas. The agreement regulates the rules for the promotion, distribution, and sales support of the partner's products and technological solutions, as well as the framework for cooperation in the field of marketing, system presentations, and institutional and industrial customer service. The parties anticipate ongoing cooperation in the field of joint promotional and demonstration activities and the mutual development of civil and dual-use projects. Shark Aviation is a technology company operating in the unmanned aerial vehicle (UAV) sector, offering its own drone platforms, proprietary flight control systems (Flight Control Unit), mission planning and management software, as well as integration, maintenance, and training services for UAV operators. The company positions itself as a provider of comprehensive solutions covering both hardware and software, developing applications in the areas of industry, precision agriculture, infrastructure inspection, and specialized applications. The Company's Management Board announces that the Agreement will be implemented immediately, in particular in the context of planned promotional activities related to the upcoming Drone World Expo 2026, during which the Issuer intends to present its partner's solutions as part of its consortium's technological projects (Iryda Plus, Mallard, Ares). The Issuer's Management Board assumes that the cooperation may contribute to strengthening the Company's position in the unmanned technology segment and expanding the portfolio of solutions offered. At the same time, the Issuer announces that preliminary talks are underway regarding Shark Aviation's potential participation in the commercialization of the Iryda Plus system on the Turkish market. The Issuer will announce any strategic or financial agreements in this regard in a separate current report, in accordance with applicable laws and MAR regulations. The Issuer's Management Board considered the information on the conclusion of the agreement in question to be confidential due to its significance for the further development of the Company's operations in the unmanned technology segment and its potential impact on the Issuer's economic situation. | |||
