| The Management Board of Nova Kreditna banka Maribor d.d. (the "Company") informs that the Company will not comply with the following rules of the Best Practices of WSE Listed Companies: •Recommendation I.1 regarding the composition of its website. Nova KBM already has an IR section of its website in place for its shareholders which is in line with Slovenian market standards. Nova KBM does not intend to enable on-line broadcasts of general meetings over the Internet, record general meetings, and publish the recordings on the company website. •Rule IV.6 regarding the period between the date of setting the right to dividend and the date of dividend payment. Nova KBM has usually paid out dividends within a longer period of time after the date of setting the right to dividend than 15 days indicated in the WSE Corporate Governance Code. •Rule IV.10 regarding enabling any on-line broadcasts of general meetings or voting via means of electronic communication. Nova KBM does not envisage enabling any on-line broadcasts of general meetings or voting via means of electronic communication in the foreseeable future. In addition the following rules will not be complied with as a result of Slovenian regulations: •Rule II.1.7 regarding posting shareholder\'s questions to the agenda of a general meeting on the company\'s website. Nova KBM will not post such questions on its website as shareholders are not entitled to submit questions to the agenda of a general meeting under Slovenian law. •Rule IV.2 regarding amendments to the rules of a general meeting. Rules of a general meeting are not mandatory under Slovenian law and Nova KBM does not have such rules. •Rule IV.7 regarding conditional dividend payment. Conditional dividend payment is not foreseen under Slovenian law. Furthermore, rules regarding remuneration and nomination committees will be applied accordingly since as there is only one committee acting in this role.
