| In accordance with the provisions of the Ljubljana Stock Exchange Rules and the Financial Instruments Market Act, Nova KBM d.d., Maribor, hereby gives the following notice: Nova KBM d.d., as the issuer of KBMR shares, received on 7 May 2013 the P-DEL form (Notice of change in significant shareholdings), which was sent to it by Slovenska od¹kodninska dru¾ba d.d. on behalf of the REPUBLIC OF SLOVENIA, Gregorèièeva ulica 20, Ljubljana (as the shareholder of the Bank), informing it that the Republic of Slovenia obtained a total 98,522,167 KBMR shares on 29 April 2013. Prior to the issuance of 98,522,167 new KBMR shares arising from the conversion of the €100 million hybrid loan facility, which was provided to Nova KBM d.d. by the Republic of Slovenia in accordance with the Hybrid Loan Facility Agreement dated 31 December 2012, into Bank equity, the Republic of Slovenia held 10,822,805 KBMR shares, which accounted for 27.66% of the voting rights in and share capital of Nova KBM d.d. Following the issuance of 98,522,167 new KBMR shares arising from the conversion of the €100 million hybrid loan facility, which was provided to Nova KBM d.d. by the Republic of Slovenia in accordance with the Hybrid Loan Facility Agreement dated 31 December 2012, into Bank equity, the Republic of Slovenia now holds 109,344,972 KBMR shares, which accounts for 79.44% of the voting rights in and share capital of Nova KBM d.d.
