Date: May 23, 2013 Current Report No. 35 /2013 Subject: Resolution on the conditional registration of UniCredit shares with the NDS Pursuant to � 34 Section 1 Item 1 of the Polish Ordinance of the Minister of Finance dated February 19, 2009 regarding current and periodic information submitted by the issuers of securities (Dz. U. 2009, No. 33, item 259, as amended) UniCredit S.p.A. (the “Company") hereby gives notice that the Management Board of the Polish National Depository for Securities (Krajowy Depozyt Papier�w Warto�ciowych S.A.) by its resolution No. 371/13 of May 22, 2013 resolved to register in the Polish National Depository for Securities up to 2,181,610 (two million one hundred and eighty-one thousand six hundred and ten) registered ordinary shares of the Company, subject to their registration by Clearstream Banking Luxemburg SA under the code IT0004781412 on the NDS account and subject to the adoption by the company operating that regulated market of a decision to introduce such shares to trading on the same regulated market to which other shares of the Company with code IT0004781412 have been introduced. The registration with the Polish National Depository for Securities will commence within three days of the Polish National Depository for Securities receiving documents confirming that the company operating the regulated market made a decision to introduce the shares to trading, but no earlier than on the day indicated in that decision as the day of the introduction of the shares to trading on that market.
