| Appointment of new Management Board Members of Agora S.A. Regulatory filing The Management Board of Agora SA with its registered seat in Warsaw ("The Company") hereby informs that on the basis of the resolutions passed on the basis of § 28 section 1 and § 29 section 2 of the Company’s Statutes the Extraordinary General Meeting of Shareholders held on November 8, 2017 appointed Ms Anna Kryńska-Godlewska and Mr Grzegorz Kania to the Management Board of the Company for the common term of office which will expire on the day the General Meeting of Shareholders approves the financial statements for the fiscal year 2017.
Anna Kryńska-Godlewska has more than twenty years of experience in the field of capital investment management. For the past 20 years, she has been associated with the Media Development Investment Fund, where she has been the Chief Investment Officer and Management Board Member, specializing in direct investments in media companies in Europe, Asia, Africa and South America for the past nine years. Previously, she worked at, among others, Fidea Management, the management company X NFI, CIECH S.A. and Bank Handlowy in Warsaw. Anna Kryńska-Godlewska is a graduate of the Warsaw School of Economics, Faculty of Finance and Banking System and the Institute Francais de Gestion, and has undertaken further professional training, i.a. at Harvard Business School. Anna Kryńska-Godlewska was a Member of the Supervisory Board of Agora SA. Pursuant to the resignation from membership in the Supervisory Board submitted on 24th of October, 2017 Anna Kryńska-Godlewska will no longer perform this function with effect on the closure of the Extraordinary General Meeting of Shareholders convened for the 8th of November, 2017. Ms Anna Kryńska-Godlewska is not engaged in any activities competitive to the business of the Company. She is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of an incorporated company or any other legal entity which would conduct activities competitive to the Company's business. Ms Anna Kryńska-Godlewska has not been entered in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act. Grzegorz Kania specializes in financial management and has nearly twenty years of experience in international companies. He started his career at PricewaterhouseCoopers, specializing in consulting and auditing services for companies in the new technology, media and entertainment industries. In 2003-2008, he was Deputy Chief Financial Officer of UPC Polska. In 2008-2011, he was responsible for finances of the Scandinavian BLStream Capital Group (now Intive), a provider of mobile applications and other IT solutions. Since 2012 he has been CFO at Ringier Axel Springer Poland and since 2014 he worked as CFO in Onet-RAS Poland Group. Grzegorz Kania graduated the Faculty of Computer Science and Management at the Wrocław University of Science and Technology and has been an ACCA member since 2001. Mr Grzegorz Kania is not engaged in any activities competitive to the business of the Company. He is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of an incorporated company or any other legal entity which would conduct activities competitive to the Company's business. Mr Grzegorz Kania has not been entered in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.
