| W nawiązaniu do raportu bieżącego RB 42/2018 z dnia 26.07.2018 r. (Umowa Zakupu Udziałów – TELE PIZZA, S.A.U.) AmRest Holdings SE (“AmRest”) informuje, że Umowa Zakupu Udziałów zawarta w dniu 26 lipca 2018 roku (“SPA”) pomiędzy AmRest Sp. z o.o. oraz TELE PIZZA, S.A.U. uległa rozwiązaniu z powodu niespełnienia się w przewidzianym terminie warunków zawieszających określonych w SPA (nieuzyskanie w terminie zgody UOKiK na koncentrację). | ||||||||||||

RB 6/2019 Termination of the Share Purchase Agreement with TELE PIZZA, S.A.U.;With reference to the regulatory announcement RB 42/2018 dated 26.07.2018 (Share Purchase Agreement – TELE PIZZA, S.A.U.) AmRest Holdings SE (“AmRest”) informs that the Share Purchase Agreement concluded on July 26th, 2018 (“SPA”) between AmRest Sp. z o.o. and TELE PIZZA, S.A.U. was automatically terminated due to failure to meet the conditions precedent specified in the SPA before the Long Stop Date (i.e. failure to obtain the consent for the concentration from the Office of Competition and Customer Protection before the Long Stop Date).;Legal act: Art. 17 Sec. 1 of Regulation (EU) No 596/2014 of The European Parliament and of The Council of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC. | |||
