| Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 31 marca 2026 r. Emitent zawarł z Advanced Digital Manufacturing LLC z siedzibą w Santa Ana, Kalifornia, USA („ADM Works”) Memorandum of Understanding („MOU”) dotyczące współpracy przy przygotowaniu i rozwoju projektu symulatora szkoleniowego dla śmigłowca AH-64E Apache. Zawarcie MOU stanowi kolejny etap rozwoju relacji pomiędzy Stronami i jest następstwem podpisania w dniu 3 marca 2026 r. wzajemnej umowy o zachowaniu poufności (Mutual Non-Disclosure Agreement), o której Emitent informował w raporcie bieżącym nr 9/2026 z dnia 3 marca 2026 r., dotyczącym współpracy technologicznej oraz potencjalnego transferu technologii na rynek Stanów Zjednoczonych. Przedmiotem MOU jest określenie ram współpracy pomiędzy Stronami w zakresie opracowania koncepcji, założeń technicznych oraz potencjalnych modeli wdrożenia systemu symulatorowego przeznaczonego dla platformy AH-64E Apache, z wykorzystaniem technologii symulacyjnych, w tym rozwiązań typu Mixed Reality. Dokument obejmuje w szczególności współpracę w obszarze prac koncepcyjnych, analitycznych oraz oceny możliwości opracowania prototypu systemu szkoleniowego, jak również przygotowania potencjalnej oferty skierowanej do odbiorców instytucjonalnych. Emitent wskazuje, że w ramach realizacji projektu, jako jego lider i koordynator, będzie odpowiedzialny za prowadzenie działań związanych z przygotowaniem oraz kierowaniem koncepcji oraz potencjalnych rozwiązań do wybranych odbiorców instytucjonalnych, w szczególności w Polsce oraz w państwach NATO. Działania te mogą obejmować w szczególności podmioty sektora obronnego, w tym Siły Zbrojne Rzeczypospolitej Polskiej, Agencję Uzbrojenia, a także wybrane instytucje i ośrodki szkoleniowe funkcjonujące w ramach struktur sojuszniczych. Jednocześnie Emitent będzie odpowiedzialny za koordynację aspektów organizacyjnych i biznesowych projektu, w tym współpracę z partnerami technologicznymi oraz analizę możliwości wdrożenia rozwiązania w środowisku operacyjnym. Dokument potwierdza również możliwość zaangażowania w projekt podmiotów współpracujących z Emitentem w ramach istniejącego konsorcjum technologiczno-przemysłowego (Squadron ASE Group i Polskie Lobby Przemysłowe). Strony przewidują etapowy charakter projektu, przy czym ewentualne dalsze działania, w tym opracowanie prototypu, finansowanie lub wdrożenie rozwiązania, będą wymagały odrębnych uzgodnień i zawarcia dodatkowych umów. MOU ma charakter niewiążący, z wyjątkiem postanowień dotyczących poufności oraz obowiązków wynikających z przepisów prawa. Jednocześnie Strony uzgodniły okres współpracy i prowadzenia rozmów dotyczących projektu wynoszący 18 miesięcy, w trakcie którego ADM Works zobowiązała się nie podejmować działań zmierzających do rozwoju tożsamego projektu na terytorium Europy z innym partnerem bez uprzednich konsultacji ze Spółką. Zarząd Emitenta wskazuje, że zawarcie MOU wpisuje się w realizację strategii rozwoju działalności Spółki w obszarze technologii obronnych i symulacyjnych oraz umiędzynarodowienia projektów, w szczególności poprzez współpracę z partnerami z rynku amerykańskiego. Jednocześnie wszelkie przyszłe działania będą prowadzone z uwzględnieniem obowiązujących regulacji prawnych, w tym przepisów dotyczących kontroli eksportu technologii, właściwych dla odpowiednich jurysdykcji. Jednocześnie Zarząd Spółki wskazuje, że nawiązanie współpracy z podmiotem o tak dużych kompetencjach technologicznych jak ADM Works może w przyszłości potencjalnie sprzyjać rozwojowi wybranych projektów własnych Spółki w obszarze systemów bezzałogowych i symulacyjnych, w tym platform IRYDA Plus oraz Mallard, przy czym ewentualne działania w tym zakresie wymagałyby odrębnych uzgodnień i zawarcia stosownych umów Zarząd Emitenta uznał informację o zawarciu MOU za informację poufną w rozumieniu art. 7 Rozporządzenia MAR, ze względu na jej potencjalne znaczenie dla dalszego rozwoju działalności Spółki oraz realizacji projektów technologicznych w obszarze systemów szkoleniowych i symulacyjnych. | ||||||||||||

| The Management Board of MBF Group S.A., with its registered office in Warsaw (the “Issuer”, the “Company”), announces that on 31 March 2026, the Issuer entered into a a Memorandum of Understanding (“MOU”) concerning cooperation in the preparation and development of a training simulator project for the AH-64E Apache helicopter. The conclusion of the MOU represents the next stage in the development of relations between the Parties and follows the signing on 3 March 2026 of a mutual non-disclosure agreement (Mutual Non-Disclosure Agreement), which the Issuer reported in Current Report No. 9/2026 of 3 March 2026, concerning technological cooperation and the potential transfer of technology to the US market. The subject of the MOU is to define the framework for cooperation between the Parties regarding the development of concepts, technical specifications and potential implementation models for a simulation system intended for the AH-64E Apache platform, utilising simulation technologies, including Mixed Reality solutions. The document covers, in particular, cooperation in the area of conceptual and analytical work and the assessment of the feasibility of developing a prototype training system, as well as the preparation of a potential offer addressed to institutional customers. The Issuer indicates that, as the project leader and coordinator, it will be responsible for carrying out activities related to the preparation and presentation of the concept and potential solutions to selected institutional customers, particularly in Poland and NATO countries. These activities may include, in particular, entities in the defence sector, including the Armed Forces of the Republic of Poland, the Armaments Agency, as well as selected institutions and training centres operating within the Alliance’s structures. At the same time, the Issuer will be responsible for coordinating the organisational and business aspects of the project, including cooperation with technology partners and analysing the feasibility of implementing the solution in an operational environment. The document also confirms the possibility of involving entities cooperating with the Issuer within the existing technology and industry consortium (Squadron ASE Group and the Polish Industrial Lobby) in the project. The Parties envisage the project as a phased undertaking, although any further actions, including the development of a prototype, financing or implementation of the solution, will require separate agreements and the conclusion of additional contracts. The MOU is non-binding, with the exception of the provisions regarding confidentiality and obligations arising from legal regulations. At the same time, the Parties have agreed on a period of cooperation and discussions regarding the project lasting 18 months, during which ADM Works has undertaken not to take any steps aimed at developing an identical project within Europe with another partner without prior consultation with the Company. The Issuer’s Management Board notes that the conclusion of the MOU is in line with the implementation of the Company’s business development strategy in the field of defence and simulation technologies and the internationalisation of projects, in particular through cooperation with partners from the US market. At the same time, all future activities will be conducted in accordance with applicable legal regulations, including provisions on technology export controls, specific to the relevant jurisdictions. At the same time, the Company’s Management Board notes that establishing cooperation with an entity possessing such extensive technological expertise as ADM Works may, in the future, potentially facilitate the development of selected in-house projects in the field of unmanned and simulation systems, including the IRYDA Plus and Mallard platforms, although any actions in this regard would require separate arrangements and the conclusion of relevant agreements The Issuer’s Management Board has classified the information regarding the conclusion of the MOU as confidential within the meaning of Article 7 of the MAR Regulation, due to its potential significance for the further development of the Company’s operations and the implementation of technological projects in the field of training and simulation systems. | |||
