Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 3 marca 2026 r. Emitent podpisał z Advanced Digital Manufacturing LLC z siedzibą w Santa Ana, Kalifornia, USA („ADM Works”) wzajemną umowę o zachowaniu poufności (Mutual Non-Disclosure Agreement). Podpisanie dokumentu nastąpiło podczas branżowego wydarzenia Drone World Expo 2026 w Warszawie.

Umowa określa zasady wymiany informacji poufnych pomiędzy Stronami w związku z prowadzonymi rozmowami dotyczącymi modeli współpracy w obszarze systemów bezzałogowych oraz technologii podwójnego zastosowania (dual-use). Dokument nie tworzy zobowiązania do zawarcia umowy definitywnej ani realizacji określonego projektu, a ewentualne dalsze działania będą wymagały odrębnych uzgodnień i umów.

Firma ADM Works działa w obszarze zaawansowanej inżynierii i produkcji dla sektora aerospace oraz realizowała projekty związane z konstrukcjami lotniczymi i platformami autonomicznymi, w tym przedsięwzięcia realizowane na rzecz Sierra Nevada Corporation (konstrukcja pełnowymiarowej platformy lotniczej typu „Freedom Trainer”). Projekty te były prowadzone w środowisku podlegającym regulacjom dotyczącym kontroli eksportu technologii, w tym regulacjom ITAR (International Traffic in Arms Regulations). ADM Works brała udział w projekcie realizowanym na rzecz Uber Technologies oraz Safran, obejmującym opracowanie i wykonanie elementów konstrukcyjnych kabiny koncepcyjnej platformy autonomicznej.

Zawarcie umowy jest rezultatem kilkumiesięcznych rozmów oraz wymiany informacji koncepcyjnych dotyczących projektów rozwijanych przez Emitenta w obszarze systemów bezzałogowych, w tym platformy IRYDA Plus oraz rodziny systemów Mallard. Celem podpisanej umowy jest stworzenie formalnych ram umożliwiających dalszą analizę modeli współpracy, w tym w zakresie adaptacji technologicznej, integracji systemowej oraz transferu lub licencjonowania wybranych technologii Emitenta na rynek amerykański, z uwzględnieniem obowiązujących regulacji eksportowych.

Zarząd Emitenta wskazuje, że rynek Stanów Zjednoczonych stanowi jeden z kluczowych kierunków potencjalnej ekspansji technologicznej Spółki. Jednocześnie wszelkie przyszłe działania będą uzależnione od dalszych uzgodnień biznesowych oraz pełnej zgodności z obowiązującymi regulacjami prawnymi, w tym przepisami dotyczącymi kontroli eksportu technologii właściwymi dla odpowiednich jurysdykcji, w szczególności regulacjami ITAR.

Zarząd Emitenta uznał informację o zawarciu umowy za informację poufną w rozumieniu art. 7 Rozporządzenia MAR ze względu na jej duże znaczenie dla dalszego rozwoju działalności Spółki oraz realizacji strategii umiędzynarodowienia projektów technologicznych.

MESSAGE (ENGLISH VERSION)

The Management Board of MBF Group S.A. with its registered office in Warsaw (the ‘Issuer’, ‘Company’) hereby announces that on 3 March 2026, the Issuer signed a mutual non-disclosure agreement with Advanced Digital Manufacturing LLC with its registered office in Santa Ana, California, USA (‘ADM Works’). The document was signed during the Drone World Expo 2026 industry event in Warsaw.

The agreement sets out the rules for the exchange of confidential information between the Parties in connection with ongoing discussions on models of cooperation in the field of unmanned systems and dual-use technologies. The document does not create an obligation to conclude a definitive agreement or implement a specific project, and any further actions will require separate arrangements and agreements.

ADM Works operates in the field of advanced engineering and manufacturing for the aerospace sector and has carried out projects related to aircraft structures and autonomous platforms, including projects for Sierra Nevada Corporation (construction of a full-scale ‘Freedom Trainer’ aircraft platform). These projects were conducted in an environment subject to technology export control regulations, including ITAR (International Traffic in Arms Regulations). ADM Works participated in a project for Uber Technologies and Safran, involving the development and manufacture of structural components for the concept cabin of an autonomous platform.

The conclusion of the agreement is the result of several months of discussions and exchange of conceptual information on projects developed by the Issuer in the field of unmanned systems, including the IRYDA Plus platform and the Mallard family of systems. The purpose of the signed agreement is to create a formal framework for further analysis of cooperation models, including technological adaptation, system integration and the transfer or licensing of selected Issuer technologies to the US market, taking into account applicable export regulations.

The Issuer's Management Board indicates that the US market is one of the key directions for the Company's potential technological expansion. At the same time, any future actions will depend on further business arrangements and full compliance with applicable legal regulations, including technology export control regulations applicable to the relevant jurisdictions, in particular ITAR regulations.

The Issuer's Management Board has classified the information about the conclusion of the agreement as confidential within the meaning of Article 7 of the MAR Regulation due to its significant importance for the further development of the Company's operations and the implementation of its strategy of internationalising its technology projects.
