Zarząd Carbon Studio S.A. z siedzibą w Chorzowie [„Spółka”, „Emitent”] w nawiązaniu do raportu nr 5/2025 z dnia 15 grudnia 2025 roku, niniejszym informuje o zawarciu w dniu 17 lutego 2026 roku, umowy z Vivid Games S.A. z siedzibą w Bydgoszczy (dalej “Wydawca”).

Na podstawie zawartej umowy Emitent wyprodukuje grę “Real Boxing VR: Road to Riyadh”. Produkcja gry zostanie w całości sfinansowana przez Wydawcę. Łączne wynagrodzenie Emitenta z tytułu produkcji wyniesie 1 800 000 zł netto, przy czym wynagrodzenie Emitenta będzie płatne w pięciu ratach, zgodnie z harmonogramem określonym w umowie.

Gra zostanie wydana wspólnie przez Wydawcę i Emitenta. Zgodnie z przyjętym harmonogramem prac, tytuł trafi do dystrybucji w kanałach dedykowanych grom na VR w I połowie 2027 roku. Przygotowanie i dystrybucja gry „Real Boxing VR: Road to Riyadh” są istotne z punktu widzenia realizowanej strategii oraz mogą wpłynąć na wysokość przychodów Spółki w roku 2026 i w latach kolejnych.

Zarząd Emitenta uznał powyższą informację za informację poufną ze względu na jej potencjalny wpływ na sytuację gospodarczą i finansową Emitenta.

MESSAGE (ENGLISH VERSION)

Title:

Conclusion of an agreement for the development and publishing of the game “Real Boxing VR: Road to Riyadh.

Content:
The Management Board of Carbon Studio S.A. with its registered office in Chorzów (“Company”, “Issuer”), with reference to current report No. 5/2025 dated 15 December 2025, hereby informs that on 17 February 2026 it concluded an agreement with Vivid Games S.A. with its registered office in Bydgoszcz (the “Publisher”).

Under the concluded agreement, the Issuer will produce the game “Real Boxing VR: Road to Riyadh”. The production of the game will be fully financed by the Publisher. The Issuer’s total remuneration for the production will amount to PLN 1,800,000 net, with the remuneration payable in five installments in accordance with the schedule specified in the agreement.

The game will be published jointly by the Publisher and the Issuer. According to the adopted work schedule, the title will be distributed through channels dedicated to VR games in the first half of 2027. The development and distribution of “Real Boxing VR: Road to Riyadh” are significant from the perspective of the Company’s strategy and may affect the Company’s revenues in 2026 and in subsequent years.

The Management Board of the Issuer has recognized the above information as inside information due to its potential impact on the Issuer’s economic and financial situation.
