| Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 3 listopada 2025 r. zostały podpisane dwie umowy ramowe ze spółką Spider UAV Co., Ltd. z siedzibą w Hangzhou (Chiny) ("Spider UAV") - wzajemna umowa o zachowaniu poufności i nieomijaniu (Mutual NDA/NCNDA) oraz list intencyjny / memorandum of understanding (LoI/MoU). Zarząd zawiadamia, że strony ustaliły, iż współpraca prowadzona będzie wyłącznie w obszarze projektów o charakterze cywilnym, w tym tzw. dual-use, rozumianych w niniejszym kontekście jako rozwiązania o podwójnym zastosowaniu technologicznym, które mają pierwotnie charakter cywilny, lecz mogą potencjalnie znaleźć zastosowanie w sektorach przemysłowych, infrastrukturalnych lub bezpieczeństwa publicznego, bez wykorzystania bojowego i militarnego. Uzgodniono, że wszystkie wspólne prace, testy i demonstracje będą mieć profil cywilny, a ich realizacja będzie prowadzona w zgodzie z przepisami prawa Unii Europejskiej oraz regulacjami eksportowymi Chińskiej Republiki Ludowej. W ramach LoI/MoU ustalono, że Spider UAV może pełnić rolę dostawcy platform VTOL/heavy-lift wraz ze wsparciem technicznym, szkoleniami oraz doradztwem w zakresie konfiguracji i obsługi systemów bezzałogowych, natomiast Spółka będzie pełnić funkcję lidera i integratora technologicznego w Unii Europejskiej. Strony uzgodniły etapowy przepływ informacji. Udostępnienie rozszerzonej dokumentacji technicznej możliwe będzie dopiero na dalszych etapach współpracy, w ramach odrębnych umów i po spełnieniu wymogów licencyjnych wynikających z regulacji eksportowych. Firma Spider UAV potwierdziła wolę przystąpienia do MBF Advisory Alliance (MAA) – platformy doradczo-eksperckiej powołanej przez MBF Group S.A. – po zakończeniu etapu próbnego i dostarczeniu pierwszej jednostki testowej. Udział partnera będzie miał charakter tzw. „light-touch”, obejmujący konsultacje techniczne, wymianę doświadczeń oraz okresowe spotkania eksperckie bez ustanawiania wyłączności ani stałych zobowiązań po stronie Spider UAV. Emitent uznaje niniejszą informację za poufną w rozumieniu art. 17 ust. 1 MAR z uwagi na jej wpływ na dalsze etapy rozwoju programów UAV/C-UAS Spółki, potencjalny wpływ na przyszłe przychody oraz na budowę łańcuchów dostaw i kompetencji technologicznych Emitenta. | ||||||||||||

| The Management Board of MBF Group S.A. with its registered office in Warsaw (the ‘Issuer’, ‘Company’) hereby announces that on 3 November 2025, two framework agreements were signed with Spider UAV Co., Ltd. with its registered office in Hangzhou (China) – a mutual non-disclosure and non-circumvention agreement (Mutual NDA/NCNDA) and a letter of intent / memorandum of understanding (LoI/MoU). The Management Board announces that the parties have agreed that the cooperation will be conducted exclusively in the area of civil projects, including so-called dual-use projects, understood in this context as solutions with dual technological applications, which are primarily civil in nature, but which can potentially be used in industrial, infrastructure or public safety sectors, without combat or military use. It has been agreed that all joint work, tests and demonstrations will be of a civil nature and will be carried out in accordance with European Union law and the export regulations of the People's Republic of China. Under the LoI/MoU, it was agreed that Spider UAV could act as a supplier of VTOL/heavy-lift platforms, together with technical support, training and advice on the configuration and operation of unmanned systems, while the Company would act as a leader and technology integrator in the European Union. The parties agreed on a phased flow of information. Extended technical documentation will only be made available at later stages of cooperation, under separate agreements and after meeting the licensing requirements under export regulations. Spider UAV has confirmed its intention to join the MBF Advisory Alliance (MAA) – an advisory and expert platform established by MBF Group S.A. – after completing the trial phase and delivering the first test unit. The partner's participation will be of a ‘light-touch’ nature, including technical consultations, exchange of experiences and periodic expert meetings without establishing exclusivity or permanent obligations on the part of Spider UAV. The Issuer considers this information to be confidential within the meaning of Article 17(1) of MAR due to its impact on the further stages of development of the Company's UAV/C-UAS programmes, its potential impact on future revenues and on the development of the Issuer's supply chains and technological competences. | |||
