| Zarząd spółki MBF Group SA z siedzibą w Warszawie („Emitent", „Spółka") informuje, że w dniu 12 sierpnia 2025 r. zawarł z firmą NW TEKNOLOJI VE DANIŞMANLIK LİMİTED ŞİRKETİ z siedzibą w Republice Turcji („Partner") ramową umowę o strategicznym partnerstwie, współpracy technologicznej, zachowaniu poufności i nieujawnianiu informacji („Umowa"). Przedmiotem Umowy jest nawiązanie ścisłej współpracy w zakresie integracji technologii drona kamikadze NWF10, opracowanej przez Partnera, z uzbrojeniem produkowanym w Polsce, a także polonizacja wyrobu poprzez opracowanie, testowanie, wdrożenie i komercjalizacja polskiej wersji tego systemu, określanej jako narodowy dron kamikadze. Współpraca obejmuje również rozwój i implementację rozwiązań w sektorze systemów bezzałogowych UAV, systemów przeciwdziałania zagrożeniom z powietrza C-UAS, autonomicznych platform mobilnych, technologii obserwacyjnych i sensorów oraz innych rozwiązań o podwójnym zastosowaniu. Strony zamierzają także prowadzić wspólne działania w zakresie koordynacji kontaktów i zawierania umów z polskimi producentami uzbrojenia i instytucjami sektora obronnego, przy zachowaniu pełnej poufności i ochrony interesów każdej ze stron. Umowa ma charakter ramowy i stanowi pierwszy etap współpracy, którego efektem będzie podpisanie odrębnej umowy konsorcjum lub strategicznego partnerstwa, z udziałem Polskiego Lobby Przemysłowego im. Eugeniusza Kwiatkowskiego w ramach Projektu COP 2. Rozważana jest również możliwość powołania w przyszłości wspólnej spółki (joint venture) w celu skalowania produkcji i sprzedaży. Partner jest tureckim deweloperem i właścicielem technologii NWF10, działającym w strefie naukowo-technologicznej TÜBİTAK, posiadającym licencję R&D i doświadczenie w projektowaniu, testach i wdrażaniu nowoczesnych systemów uzbrojenia oraz ich integracji z komponentami renomowanych producentów. Czas obowiązywania Umowy ustalono na 12 miesięcy od dnia podpisania lub do momentu zawarcia umowy konsorcjum (w zależności od tego, które zdarzenie nastąpi wcześniej). Umowa zawiera standardowe postanowienia dotyczące zakazu konkurencji, nieomijania stron, poufności oraz kar umownych. Zarząd Emitenta uznaje niniejszą informację za poufną z uwagi na istotne znaczenie projektu dla rozwoju kompetencji Spółki w sektorze wysokich technologii obronnych oraz potencjalny wpływ na przyszłe przychody i wartość rynkową Emitenta. | ||||||||||||

| The Management Board of MBF Group SA with its registered office in Warsaw (the ‘Issuer’, ‘Company’) hereby announces that on 12 August 2025, it entered into a framework agreement with NW TEKNOLOJI VE DANIŞMANLIK LİMİTED ŞİRKETİ with its registered office in the Republic of Turkey (the ‘Partner’) a framework agreement on strategic partnership, technological cooperation, confidentiality and non-disclosure (‘Agreement’). The subject of the Agreement is to establish close cooperation in the integration of the NWF10 kamikaze drone technology developed by the Partner with weapons manufactured in Poland, as well as the Polish adaptation of the product through the development, testing, implementation and commercialisation of a Polish version of this system, referred to as the national kamikaze drone. The cooperation also includes the development and implementation of solutions in the field of unmanned aerial vehicle (UAV) systems, counter-unmanned aerial system (C-UAS) systems, autonomous mobile platforms, observation technologies and sensors, and other dual-use solutions. The parties also intend to conduct joint activities in the field of coordinating contacts and concluding agreements with Polish arms manufacturers and defence sector institutions, while maintaining full confidentiality and protecting the interests of each party. The agreement is a framework agreement and constitutes the first stage of cooperation, which will result in the signing of a separate consortium agreement or strategic partnership agreement with the participation of the Eugeniusz Kwiatkowski Polish Industrial Lobby as part of the COP 2 Project. The possibility of establishing a joint venture in the future to scale up production and sales is also being considered. The partner is a Turkish developer and owner of the NWF10 technology, operating in the TÜBİTAK science and technology zone, with an R&D licence and experience in the design, testing and implementation of modern weapon systems and their integration with components from renowned manufacturers. The term of the Agreement is 12 months from the date of signing or until the conclusion of a consortium agreement (whichever occurs first). The Agreement contains standard provisions regarding non-competition, non-circumvention, confidentiality and contractual penalties. The Issuer's Management Board considers this information to be confidential due to the significant importance of the project for the development of the Company's competences in the high-tech defence sector and its potential impact on the Issuer's future revenues and market value. | |||
