| Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dn. 4 sierpnia 2025 roku otrzymał podpisany zwrotnie list intencyjny z dn. 31 lipca 2025 roku, pomiędzy MBF Group S.A. a spółką Binary Helix S.A. z siedzibą w Katowicach, której przedmiotem działalności jest m.in. projektowanie systemów autonomicznych, sterowania oraz nowoczesnych rozwiązań informatycznych i elektronicznych. Celem podpisanego listu intencyjnego jest rozpoczęcie negocjacji w sprawie utworzenia konsorcjum technologicznego, którego przedmiotem działalności będzie projektowanie, rozwój oraz wdrażanie urządzeń bezzałogowych o zastosowaniu cywilnym i wojskowym, w tym realizacja projektów w obszarze modernizacji sprzętu wojskowego, badań i rozwoju (B+R) oraz wdrażania technologii dual-use. Strony ustaliły termin zakończenia negocjacji do dnia 10 sierpnia 2025 roku, z intencją zawarcia do tego dnia ostatecznej umowy konsorcjum. W przypadku braku zawarcia umowy w określonym terminie, strony będą uprawnione do kontynuowania działań strategicznych w tym obszarze z innymi podmiotami. W ocenie Zarządu Emitenta, zawarcie niniejszego listu intencyjnego wpisuje się w strategię dywersyfikacji działalności Spółki oraz wejścia w sektor wysokich technologii związanych z bezpieczeństwem, obronnością oraz zastosowaniami komercyjnymi urządzeń bezzałogowych. O postępach prac oraz o zawarciu umowy konsorcjum Spółka będzie informować w kolejnych raportach bieżących. | ||||||||||||

| The Management Board of MBF Group S.A. with its registered office in Warsaw (the “Issuer,” “Company”) hereby announces that on August 4, 2025, it received a signed letter of intent dated July 31, 2025, between MBF Group S.A. and Binary Helix S.A. with its registered office in Katowice, whose business includes the design of autonomous systems, control systems, and modern IT and electronic solutions. The purpose of the signed letter of intent is to commence negotiations on the establishment of a technology consortium whose business will include the design, development, and implementation of unmanned devices for civil and military use, including the implementation of projects in the field of military equipment modernization, research and development (R&D), and the implementation of dual-use technologies. The parties have set the deadline for the conclusion of negotiations for August 10, 2025, with the intention of concluding a final consortium agreement by that date. If the agreement is not concluded within the specified time limit, the parties will be entitled to continue their strategic activities in this area with other entities. In the opinion of the Issuer's Management Board, the conclusion of this letter of intent is in line with the Company's strategy of diversifying its activities and entering the high-tech sector related to security, defense, and commercial applications of unmanned devices. The Company will provide information on the progress of the work and the conclusion of the consortium agreement in subsequent current reports. | |||
