| Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Spółka”) informuje, że w dniu 17 lipca 2025 roku została podpisana umowa patronacka pomiędzy MBF Group S.A. a Polskim Lobby Przemysłowym im. Eugeniusza Kwiatkowskiego („PLP”). Umowa została zawarta na czas nieokreślony, a szczegółowe zasady współpracy będą rozwijane na podstawie odrębnych porozumień i harmonogramów projektowych. Jednocześnie Zarząd Spółki zawiadamia, że na mocy zawartej Umowy, PLP objęło patronatem działalność Spółki w obszarze realizacji idei Centralnego Okręgu Przemysłowego 2 (COP2), w szczególności w zakresie rozwoju i wdrażania technologii bezzałogowych statków powietrznych (UAV) oraz systemów przeciwdziałania dronom (C-UAS) o podwójnym zastosowaniu – cywilnym i militarnym. W pierwszym etapie współpraca koncentruje się na budowie zintegrowanego zespołu projektowego odpowiedzialnego za projektowanie, integrację i komercjalizację tych technologii. Zgromadzenie w ramach projektu grona ekspertów o wysokich kwalifikacjach – w tym naukowców, inżynierów, praktyków przemysłu oraz wojskowych – zapewni przedsięwzięciu wysoki poziom merytoryczny, wiarygodność i transparentność. Polskie Lobby Przemysłowe im. Eugeniusza Kwiatkowskiego to niezależna, ponadpartyjna organizacja ekspercka działająca od 1993 roku na rzecz rozwoju i ochrony polskiego przemysłu oraz suwerenności gospodarczej państwa. W ciągu ponad 30 lat działalności organizacja przygotowała setki ekspertyz, analiz i rekomendacji dla rządu, parlamentu oraz przedsiębiorstw z sektorów wysokich technologii, obronności, energetyki i transportu. Zarząd Emitenta wskazuje, że objęcie patronatem przez tak uznane środowisko jest wyróżnieniem o dużym znaczeniu wizerunkowym, merytorycznym i strategicznym. Daje Spółce unikalny dostęp do wiedzy eksperckiej oraz wzmacnia wiarygodność planowanych działań w sektorze technologii podwójnego zastosowania i projektów związanych z bezpieczeństwem narodowym. Polskie Lobby Przemysłowe wyraziło pełne zaangażowanie i akceptację dla kierunków rozwoju obranych przez MBF Group, deklarując wsparcie osobowe oraz eksperckie w zakresie projektów dronowych (UAV oraz C-UAS) oraz militarnych (broń, amunicja, pojazdy), a także powiązanych działań produkcyjnych, integracyjnych i handlowych. W ramach umowy patronackiej PLP zobowiązało się do udzielania Emitentowi wsparcia merytorycznego, w tym w formie analiz, rekomendacji i ekspertyz, a także do udziału w zespołach doradczych, debatach i wydarzeniach branżowych. Spółka uzyskała również prawo do wykorzystywania nazwy i logotypu Polskiego Lobby Przemysłowego im. Eugeniusza Kwiatkowskiego w materiałach informacyjnych, promocyjnych i przetargowych. Finansowanie projektów realizowanych w ramach umowy patronackiej będzie możliwe m.in. dzięki wpływom z bieżących kontraktów handlowych Spółki. Dodatkowo Emitent rozważa wspólne pozyskiwanie finansowania dłużnego, grantów i dofinansowań w ramach programów krajowych i unijnych, jak również kapitału zewnętrznego w formie inwestycji ze strony inwestorów instytucjonalnych i indywidualnych. Zarząd Spółki dodatkowo informuje, że od kilku tygodni prowadzi rozmowy z uznanymi projektantami, producentami i integratorami systemów bezzałogowych (UAV) oraz technologii przeciwdronowych (C-UAS), zarówno na rynku krajowym, jak i międzynarodowym. Celem tych działań jest nawiązanie trwałych relacji technologicznych i przemysłowych, które umożliwią realizację projektów o wysokim stopniu zaawansowania technicznego i zastosowania dual-use. Spółka dokłada starań, aby tworzyć konsorcja, porozumienia i modele współpracy pozwalające na szybkie przejście od koncepcji do wdrożenia rynkowego. O postępach w tym zakresie oraz o kolejnych etapach realizacji strategii Spółka będzie informować za pośrednictwem raportów bieżących. Podpisanie umowy stanowi realizację kluczowych założeń Strategii Rozwoju Emitenta na lata 2024–2026, ogłoszonej w marcu 2024 r., w której jednym z głównych celów jest wejście na rynek produktów militarnych i uzyskanie koncesji MSWiA na obrót produktami podwójnego przeznaczenia. | ||||||||||||

| Conclusion of a patronage agreement with the Polish Industrial Lobby for the support of drone projects (UAV and C-UAS) and the development of industrial competences The Management Board of MBF Group S.A. with its registered office in Warsaw (the “Company”) hereby announces that on 17 July 2025, a patronage agreement was signed between MBF Group S.A. and the Eugeniusz Kwiatkowski Polish Industrial Lobby (“PLP”). The agreement was concluded for an indefinite period, and detailed rules of cooperation will be developed on the basis of separate agreements and project schedules. At the same time, the Management Board of the Company announces that, pursuant to the Agreement, PLP has taken patronage over the Company's activities in the area of implementation of the Central Industrial District 2 (COP2) concept, in particular in the development and implementation of unmanned aerial vehicle (UAV) technologies and counter-drone systems (C-UAS) for dual use – civil and military. In the first stage, the cooperation will focus on building an integrated project team responsible for the design, integration and commercialisation of these technologies. The project will bring together a group of highly qualified experts, including scientists, engineers, industry practitioners and military personnel, ensuring a high level of expertise, credibility and transparency. The Eugeniusz Kwiatkowski Polish Industrial Lobby is an independent, non-partisan expert organisation that has been working since 1993 to develop and protect Polish industry and the country's economic sovereignty. In over 30 years of operation, the organisation has prepared hundreds of expert opinions, analyses and recommendations for the government, parliament and companies from the high-tech, defence, energy and transport sectors. The Issuer's Management Board points out that being taken under the patronage of such a renowned organisation is a distinction of great importance in terms of image, substance and strategy. It gives the Company unique access to expert knowledge and strengthens the credibility of its planned activities in the dual-use technology sector and projects related to national security. The Polish Industrial Lobby has expressed its full commitment and acceptance of the development directions chosen by MBF Group, declaring personal and expert support in the field of drone projects (UAV and C-UAS) and military projects (weapons, ammunition, vehicles), as well as related production, integration and commercial activities. Under the patronage agreement, the PLP undertook to provide the Issuer with substantive support, including in the form of analyses, recommendations and expert opinions, as well as to participate in advisory teams, debates and industry events. The Company has also obtained the right to use the name and logo of the Eugeniusz Kwiatkowski Polish Industrial Lobby in information, promotional and tender materials. The financing of projects implemented under the patronage agreement will be possible, among other things, thanks to revenues from the Company's current commercial contracts. In addition, the Issuer is considering joint acquisition of debt financing, grants and subsidies under national and EU programmes, as well as external capital in the form of investments from institutional and individual investors. The Company's Management Board also informs that for several weeks it has been in talks with renowned designers, manufacturers and integrators of unmanned aerial vehicles (UAVs) and counter-drone technologies (C-UAS), both on the domestic and international market. The aim of these activities is to establish long-term technological and industrial relationships that will enable the implementation of projects with a high degree of technical advancement and dual-use applications. The company is making every effort to create consortia, agreements and cooperation models that will enable a quick transition from concept to market implementation. The company will keep you updated on progress in this area and the next steps in the strategy through current reports. The signing of the agreement constitutes the implementation of the key assumptions of the Issuer's Development Strategy for 2024-2026, announced in March 2024, in which one of the main objectives is to enter the military products market and obtain a licence from the Ministry of Internal Affairs and Administration for the trade in dual-use products. | |||
