| Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Spółka”, „Emitent”) informuje, że w dniu 2 czerwca 2026 roku zawarł umowę konsorcjum i współpracy projektowej z podmiotem typu limited liability company (LLC) z siedzibą w Kijowie, Ukraina, działającym w sektorze technologii obronnych oraz systemów bezzałogowych. Zgodnie z postanowieniami umowy dane identyfikujące partnera technologicznego oraz szczegółowe dane techniczne rozwijanych technologii objęte są zobowiązaniami poufności. Przedmiotem zawartej umowy jest ustanowienie formalnych zasad współpracy pomiędzy stronami w związku z przygotowaniem, złożeniem oraz realizacją wspólnej aplikacji do programu „Sentinel Strike Challenge” realizowanego przez European Defence Agency (EDA) w ramach inicjatywy Hub for European Defence Innovation (HEDI), a także stworzenie ram dla dalszej współpracy przy projektach związanych z sektorem obronnym, amunicją krążącą oraz programami finansowanymi przez instytucje Unii Europejskiej i NATO. Na podstawie zawartej umowy Emitent został wskazany jako Lead Applicant oraz podmiot odpowiedzialny za koordynację procesu aplikacyjnego i reprezentację projektu wobec EDA. Partner technologiczny odpowiada za dostarczenie technologii, dokumentacji technicznej oraz wsparcia merytorycznego wymaganego w procesie kwalifikacji projektu. Umowa reguluje ponadto zasady ochrony informacji poufnych, własności intelektualnej, reprezentacji projektu wobec instytucji europejskich oraz możliwość wspólnego ubiegania się o granty, dofinansowania, projekty badawczo-rozwojowe i inne programy wspierające rozwój technologii obronnych i dual-use. Bieżący projekt dotyczy zaawansowanego bezzałogowego systemu amunicji krążącej klasy VTOL (Vertical Take-Off and Landing), przeznaczonego do realizacji misji rozpoznawczych oraz precyzyjnego zwalczania celów na współczesnym polu walki. Rozwiązanie obejmuje między innymi autonomiczne funkcje lotu, zaawansowane systemy nawigacji i łączności oraz zdolność działania w warunkach zakłóceń środowiska elektromagnetycznego. Projekt znajduje się obecnie na poziomie gotowości technologicznej TRL-8, co oznacza zakończenie zasadniczych prac rozwojowych oraz przeprowadzenie testów i walidacji systemu w warunkach zbliżonych do operacyjnych. Zarząd Emitenta zwraca uwagę, że program Sentinel Strike Challenge stanowi element szerszego ekosystemu europejskich programów wspierających rozwój technologii obronnych. Aktualny konkurs przewiduje dwuetapową ścieżkę wsparcia obejmującą finansowanie projektów o łącznym budżecie około 2 mln EUR, w tym około 200 tys. EUR w ramach pierwszego etapu oraz do około 1,8 mln EUR w ramach etapu drugiego dla projektów zakwalifikowanych do dalszych prac. Strony prowadzą intensywne działania związane z przygotowaniem kompletnej dokumentacji aplikacyjnej wymaganej przez EDA. Termin składania aplikacji w ramach programu Sentinel Strike Challenge upływa w dniu 4 czerwca 2026 roku. W przypadku pozytywnej oceny projektu oraz przejścia do kolejnych etapów rozwoju technologii kierunkami dalszej współpracy Stron będą programy European Defence Fund (EDF) oraz NATO Defence Innovation Accelerator for the North Atlantic (DIANA). EDF dysponuje budżetem około 8 mld EUR na lata 2021–2027, przy czym wartość pojedynczych projektów finansowanych w jego ramach często wynosi od kilku do kilkudziesięciu milionów euro. Z kolei NATO DIANA wspiera rozwój przełomowych technologii podwójnego zastosowania, a finansowanie pojedynczych przedsięwzięć zwykle mieści się w przedziale od kilkuset tysięcy do kilku milionów euro. Emitent podkreśla, że na dzień publikacji niniejszego raportu nie została podjęta żadna decyzja dotycząca przyznania finansowania, a udział w kolejnych programach będzie uzależniony od wyników procesu oceny projektu oraz spełnienia wymogów właściwych dla poszczególnych inicjatyw. W ocenie Zarządu Emitenta zawarcie przedmiotowej umowy stanowi istotny etap realizacji strategii rozwoju działalności MBF Group S.A. w sektorze technologii obronnych oraz umożliwia formalne uczestnictwo Spółki w procesie aplikacyjnym prowadzonym przez Europejską Agencję Obrony. Zarząd uznał informację o zawarciu umowy za informację poufną w rozumieniu art. 7 Rozporządzenia MAR z uwagi na potencjalny wpływ projektu na przyszłą sytuację operacyjną, organizacyjną i gospodarczą Emitenta. | ||||||||||||

| The Management Board of MBF Group S.A., with its registered office in Warsaw (“the Company”, “the Issuer”) announces that on 2 June 2026 it entered into a consortium and project cooperation agreement with a limited liability company (LLC) based in Kyiv, Ukraine, operating in the defence technology and unmanned systems sector. In accordance with the provisions of the agreement, the details identifying the technology partner and the detailed technical specifications of the technologies being developed are subject to confidentiality obligations. The subject of the agreement is to establish formal rules of cooperation between the parties in connection with the preparation, submission and implementation of a joint application for the “Sentinel Strike Challenge” programme run by the European Defence Agency (EDA) as part of the Hub for European Defence Innovation (HEDI), as well as the creation of a framework for further cooperation on projects related to the defence sector, loitering munitions and programmes funded by European Union and NATO institutions. Under the agreement, the Issuer has been designated as the Lead Applicant and the entity responsible for coordinating the application process and representing the project vis-à-vis the EDA. The technology partner is responsible for providing the technology, technical documentation and substantive support required for the project’s qualification process. The agreement also governs the rules on the protection of confidential information, intellectual property, the representation of the project before European institutions, and the possibility of jointly applying for grants, funding, research and development projects, and other programmes supporting the development of defence and dual-use technologies. The current project concerns an advanced unmanned VTOL (Vertical Take-Off and Landing) loitering munition system, designed for reconnaissance missions and precision engagement of targets on the modern battlefield. The solution includes, amongst other things, autonomous flight functions, advanced navigation and communication systems, and the ability to operate in conditions of electromagnetic interference. The project is currently at Technology Readiness Level (TRL) 8, which signifies the completion of essential development work and the conduct of system testing and validation under conditions similar to operational ones. The Issuer’s Management Board notes that the Sentinel Strike Challenge programme forms part of a broader ecosystem of European programmes supporting the development of defence technologies. The current competition provides for a two-stage support pathway involving the funding of projects with a total budget of approximately EUR 2 million, including approximately EUR 200,000 in the first stage and up to approximately EUR 1.8 million in the second stage for projects selected for further work. The parties are working intensively on preparing the complete application documentation required by the EDA. The deadline for submitting applications under the Sentinel Strike Challenge programme is 4 June 2026. Should the project receive a positive assessment and proceed to the next stages of technology development, the Parties’ further cooperation will focus on the European Defence Fund (EDF) and the NATO Defence Innovation Accelerator for the North Atlantic (DIANA) programmes. The EDF has a budget of approximately €8 billion for the period 2021–2027, with the value of individual projects funded under it often ranging from several to tens of millions of euros. NATO DIANA, on the other hand, supports the development of breakthrough dual-use technologies, with funding for individual projects typically ranging from several hundred thousand to several million euros. The Issuer emphasises that, as at the date of publication of this report, no decision has been made regarding the award of funding, and participation in future programmes will depend on the outcome of the project evaluation process and the fulfilment of the requirements specific to each initiative. In the opinion of the Issuer’s Management Board, the conclusion of the agreement in question constitutes a significant step in the implementation of MBF Group S.A.’s business development strategy in the defence technology sector and enables the Company’s formal participation in the application process conducted by the European Defence Agency. The Management Board has classified the information regarding the conclusion of the agreement as confidential within the meaning of Article 7 of the MAR Regulation, given the potential impact of the project on the Issuer’s future operational, organisational and economic situation. | |||
