| Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 19 marca 2026 r. Emitent zawarł Memorandum of Understanding („MoU”) z partnerem technologicznym z siedzibą w Tallinnie (Estonia), działającym przy udziale podmiotu powiązanego z siedzibą w Charkowie (Ukraina) (łącznie „Partner”). Dane Partnera Technologicznego zostały zanonimizowane z uwagi na obowiązujące zobowiązania poufności oraz ochronę interesów gospodarczych Stron. Zawarcie MoU stanowi kolejny etap współpracy rozpoczętej podpisaniem przez Strony w dniu 17 marca 2026 r. umowy o zachowaniu poufności i nieujawnianiu informacji (NDA). Emitent nie publikował informacji o zawarciu NDA, ponieważ na etapie jej podpisania Zarząd nie uznał tego zdarzenia za spełniające przesłanki publikacji raportu bieżącego. NDA stworzyła jednak formalne ramy dla wymiany informacji technicznych, operacyjnych i handlowych oraz umożliwiła wypracowanie kierunków dalszej współpracy. Przedmiotem MoU jest określenie zasad dalszej współpracy Stron w zakresie przygotowania, rozwoju, integracji, ofertowania, wdrażania oraz komercjalizacji rozwiązań technologicznych w obszarze systemów bezpieczeństwa, ochrony granicy, ochrony infrastruktury krytycznej oraz technologii specjalistycznych i dual-use. W szczególności współpraca dotyczy rozwiązań wykorzystujących systemy zdalnego sterowania, rozproszone sieci sensorowe i komunikacyjne typu RF Mesh, technologie sejsmiczne, akustyczne, detekcyjne i ostrzegawcze, a także komponenty elektroniczne, moduły sterujące, urządzenia wykonawcze oraz oprogramowanie towarzyszące. Zawarcie umowy konsorcjum stanowić będzie warunek formalny umożliwiający Stronom wspólne uczestnictwo w postępowaniach i konsultacjach prowadzonych przez instytucje publiczne odpowiedzialne za bezpieczeństwo państwa, obronność i ochronę granic, w szczególności przez Ministerstwo Obrony Narodowej, Agencję Uzbrojenia, Straż Graniczną oraz inne właściwe służby, jednostki organizacyjne i podmioty odpowiedzialne za ochronę infrastruktury krytycznej oraz bezpieczeństwo wewnętrzne państwa. Wymóg ten wynika zarówno z charakteru projektów, jak i formalnych zasad udziału w tego typu postępowaniach. W związku z powyższym Strony wyraziły wolę zawarcia odrębnej umowy konsorcjum, która określi zasady współpracy, podział ról operacyjnych oraz model przygotowania i składania wspólnych ofert. Współpraca ta wpisuje się w rozwój działalności Emitenta poprzez praktyczne połączenie dotychczasowej aktywności handlowej i brokerskiej, generującej przychody w ostatnich latach, z rozwijanym obszarem projektów technologicznych i militarnych. W ocenie Zarządu współpraca ta może w relatywnie krótkim czasie przełożyć się na rozszerzenie oferty Emitenta o gotowe rozwiązania technologiczne oraz umożliwić wejście Spółki do segmentu zamówień publicznych w obszarze bezpieczeństwa i obronności. Strony przewidują, że współpraca może zostać rozwinięta także na rynkach zagranicznych, w tym w państwach, które w ostatnich miesiącach wystąpiły z Konwencji Ottawskiej lub zakończyły procedury wyjścia z tego reżimu prawnego, tj. w szczególności w Polsce, Estonii, Łotwie, Litwie i Finlandii. Potencjalny rozwój współpracy eksportowej będzie jednak każdorazowo uzależniony od dalszych ustaleń Stron, obowiązujących regulacji prawnych, zasad kontroli eksportu oraz charakteru oferowanych rozwiązań. MoU ma charakter ramowy i nie stanowi jeszcze zobowiązania do realizacji konkretnych kontraktów ani nie określa na tym etapie szczegółowych parametrów finansowych poszczególnych projektów. Jednocześnie podpisany dokument tworzy podstawę do dalszych działań operacyjnych, w tym przygotowania projektów ofertowych, prac integracyjnych, rozmów z instytucjami publicznymi oraz wypracowania finalnej struktury współpracy w formie umowy konsorcjum. Emitent informuje, że o ewentualnym zawarciu umowy konsorcjum oraz o faktycznym przystąpieniu do postępowań ofertowych lub złożeniu ofert w ramach wspólnych projektów będzie informował w odrębnych raportach bieżących. Zarząd Emitenta uznał informację o zawarciu MoU za istotną z uwagi na jej potencjalny wpływ na dalszy rozwój działalności Spółki, w szczególności w obszarze technologii bezpieczeństwa oraz rozwiązań dual-use, a także możliwość rozszerzenia działalności Emitenta o nowe segmenty rynku. | ||||||||||||

| Signing of a Memorandum of Understanding in the field of security technology, border protection and dual-use solutions The Management Board of MBF Group S.A., with its registered office in Warsaw (“the Issuer”, “the Company”) announces that on 19 March 2026, the Issuer entered into a Memorandum of Understanding (“MoU”) with a technology partner based in Tallinn (Estonia), operating in conjunction with an affiliated entity based in Kharkiv (Ukraine) (collectively, the “Partner”). The Technology Partner’s details have been anonymised due to applicable confidentiality obligations and the protection of the Parties’ commercial interests. The conclusion of the MoU constitutes the next stage of the cooperation initiated by the Parties’ signing of a non-disclosure agreement (NDA) on 17 March 2026. The Issuer did not publish information regarding the conclusion of the NDA because, at the time of its signing, the Management Board did not consider this event to meet the criteria for the publication of a current report. However, the NDA established a formal framework for the exchange of technical, operational and commercial information and enabled the development of directions for further cooperation. The subject of the MoU is to define the principles of further cooperation between the Parties regarding the preparation, development, integration, tendering, implementation and commercialisation of technological solutions in the fields of security systems, border protection, critical infrastructure protection, and specialist and dual-use technologies. In particular, the cooperation concerns solutions utilising remote control systems, distributed sensor and communication networks of the RF Mesh type, seismic, acoustic, detection and warning technologies, as well as electronic components, control modules, actuators and accompanying software. The conclusion of the consortium agreement will constitute a formal requirement enabling the Parties to participate jointly in procedures and consultations conducted by public institutions responsible for national security, defence and border protection, in particular by the Ministry of National Defence, the Armaments Agency, the Border Guard and other relevant services, organisational units and entities responsible for the protection of critical infrastructure and the internal security of the state. This requirement stems both from the nature of the projects and the formal rules governing participation in such procedures. In view of the above, the Parties have expressed their intention to conclude a separate consortium agreement, which will set out the rules of cooperation, the division of operational roles and the model for the preparation and submission of joint bids. This cooperation forms part of the Issuer’s business development by practically combining its existing commercial and brokerage activities, which have generated revenue in recent years, with the developing area of technological and military projects. In the Management Board’s view, this cooperation may, in a relatively short time, lead to the expansion of the Issuer’s offering to include ready-made technological solutions and enable the Company to enter the public procurement segment in the security and defence sector. The parties anticipate that the cooperation may also be extended to foreign markets, including countries which in recent months have withdrawn from the Ottawa Convention or completed procedures to exit this legal regime, i.e. in particular Poland, Estonia, Latvia, Lithuania and Finland. However, the potential development of export cooperation will in each case depend on further agreements between the Parties, applicable legal regulations, export control rules and the nature of the solutions offered. The MoU is of a framework nature and does not yet constitute a commitment to execute specific contracts, nor does it specify, at this stage, the detailed financial parameters of individual projects. At the same time, the signed document forms the basis for further operational activities, including the preparation of tender proposals, integration work, discussions with public institutions, and the development of the final structure of cooperation in the form of a consortium agreement. The Issuer hereby informs that it will provide updates on the possible conclusion of a consortium agreement and on the actual participation in tender procedures or the submission of bids within the framework of joint projects in separate current reports. The Issuer’s Management Board considered the information regarding the conclusion of the MoU to be material due to its potential impact on the further development of the Company’s operations, particularly in the area of security technologies and dual-use solutions, as well as the possibility of expanding the Issuer’s operations into new market segments. | |||
