| Zarząd BTCS S.A. z siedzibą w Warszawie („Emitent”, „Spółka”), w nawiązaniu do raportu bieżącego nr 38/2025 z dnia 2 grudnia 2025 r. informuje, że w dniu 13 lutego 2026 r. Emitent zawarł z ZIGChain Foundation z siedzibą na Kajmanach („Fundacja”) Aneks nr 1 do umowy Validator Service and Advisory Agreement. Kluczowe postanowienia Aneksu: 1. Zwiększenie skali zaangażowania: Strony uzgodniły dwukrotne zwiększenie wolumenu tokenów udostępnianych Spółce do celów walidacji i stakingu – z pierwotnie planowanych 15.000.000 ZIG do 30.000.000 (trzydziestu milionów) tokenów ZIG. 2. Model ekonomiczny (Yield): Zgodnie z utrzymanymi w mocy postanowieniami Umowy Głównej, Emitent jest uprawniony do zachowania 100% nagród z tytułu stakingu (Staking Rewards) wygenerowanych przez pożyczone aktywa. Stanowi to kluczowy element przychodowy Spółki w ramach ekosystemu ZIGChain. 3. Struktura pożyczki (Token Lending): Aneks ujednolica strukturę przekazania aktywów do modelu pożyczki tokenów (token lending). Prawo własności do tokenów pozostaje po stronie Fundacji, a Emitent występuje w roli „pożyczkobiorcy bez prawa powiernictwa” (non-custodial borrower), wykorzystując aktywa wyłącznie do zabezpieczania sieci jako walidator. 4. Bezpieczeństwo: Doprecyzowano wymogi techniczne i zasady audytu infrastruktury węzła Emitenta, mające na celu eliminację ryzyka zdarzeń typu „slashing”. Cel i istotność informacji: Podwojenie wolumenu pracujących aktywów przy zachowaniu przez Emitenta 100% wypracowanego yield-u bezpośrednio i istotnie zwiększa potencjał przychodowy Spółki z działalności walidacyjnej. Decyzja ta wpisuje się w strategię „Active Treasury” i umacnia pozycję BTCS S.A. jako jednego z kluczowych partnerów infrastrukturalnych sieci ZIGChain, skoncentrowanej na tokenizacji aktywów świata rzeczywistego (RWA). | ||||||||||||

| Conclusion of an amendment to the agreement with ZIGChain Foundation – increase in volume to 30,000,000 ZIG and clarification of economic terms Key provisions of the Amendment: 1. Increased Scale of Engagement: The Parties have agreed to double the volume of tokens provided to the Company for validation and staking purposes, from the originally planned 15,000,000 ZIG to 30,000,000 (thirty million) ZIG tokens. 2. Economic Model (Yield): Pursuant to the surviving provisions of the Principal Agreement, the Issuer is entitled to retain one hundred percent (100%) of all Staking Rewards generated by the loaned assets. This constitutes a primary revenue stream for the Company within the ZIGChain ecosystem. 3. Token Lending Structure: The Amendment unifies the asset provision framework into a token lending arrangement. Legal and beneficial ownership remains with the Foundation, while the Issuer acts as a "non-custodial borrower," utilizing the assets exclusively for network validation and security. 4. Security Measures: The Amendment further specifies technical requirements and audit rules for the Issuer’s node infrastructure to mitigate the risk of slashing events. Purpose and significance of the information: Doubling the volume of active assets while maintaining 100% of the generated yield significantly enhances the Issuer’s revenue potential from validation services. This move aligns with the "Active Treasury" strategy and strengthens BTCS S.A.’s position as a key infrastructure partner for the ZIGChain network, which focuses on Real-World Asset (RWA) tokenization.
