| Zarząd Proguns Group S.A. z siedzibą w Warszawie („Emitent”) informuje, że w dniu 7 lipca 2026 roku Emitent zawarł z Dillon Aero Incorporated z siedzibą w Arizonie, USA („Dillon Aero”) umowę przedstawicielstwa handlowego („Umowa”). Na podstawie Umowy Emitent będzie pełnił funkcję przedstawiciela Dillon Aero na terytorium Polski w zakresie działań związanych z oferowaniem oraz wsparciem sprzedaży systemów uzbrojenia produkowanych przez Dillon Aero, a także komponentów, systemów amunicyjnych, mocowań, akcesoriów, szkoleń oraz wsparcia logistycznego powiązanych z tymi systemami. Umowa została zawarta na okres 2 lat i określa szczegółowe zasady współpracy stron, w tym zakres działań przedstawicielskich Emitenta, zasady komunikacji z potencjalnymi odbiorcami instytucjonalnymi, obowiązki w zakresie zgodności regulacyjnej oraz zasady wynagradzania Emitenta w formule prowizyjnej. Szczegółowe warunki finansowe Umowy nie zostały podane do publicznej wiadomości ze względu na ich handlowy charakter. Dillon Aero jest amerykańskim producentem zaawansowanych systemów uzbrojenia typu Gatling, przeznaczonych do integracji z platformami powietrznymi, lądowymi i morskimi. Kluczowe produkty obejmują w szczególności system M134D kalibru 7,62×51 mm NATO (Minigun), wykorzystywany głównie jako broń wsparcia ogniowego dla śmigłowców, pojazdów specjalnych, transporterów opancerzonych oraz jednostek morskich, a także cięższy system 503D kalibru 12,7×99 mm (.50 BMG). Produkty Dillon Aero są kierowane przede wszystkim do odbiorców instytucjonalnych, w tym wojska, policji oraz innych służb mundurowych. Emitent wskazuje, że zawarcie Umowy stanowi element realizacji strategii Emitenta w zakresie budowania kompetencji w obszarze dystrybucji i przedstawicielstwa handlowego dotyczącego uzbrojenia oraz produktów powiązanych, o której Emitent informował w strategii opublikowanej w dniu 12 marca 2026 roku w raporcie bieżącym ESPI nr 13/2026. W ocenie Emitenta zawarcie Umowy może mieć istotne znaczenie dla dalszego rozwoju działalności Emitenta w segmencie produktów obronnych, przy czym wpływ Umowy na przyszłe wyniki finansowe Emitenta będzie zależał od skuteczności pozyskiwania zamówień oraz realizacji transakcji objętych zakresem współpracy. | ||||||||||||

| The Management Board of Proguns Group S.A. with its registered office in Warsaw (the “Issuer”) hereby announces that on 7th July 2026, the Issuer entered into a commercial representation agreement (the “Agreement”) with Dillon Aero Incorporated, with its registered office in Arizona, USA (“Dillon Aero”). Pursuant to the Agreement, the Issuer will act as Dillon Aero’s representative in the territory of Poland in relation to activities concerning the offering and sales support of weapon systems manufactured by Dillon Aero, as well as components, ammunition systems, mounts, accessories, training, and logistical support related to such systems. The Agreement has been concluded for a period of two years and sets out detailed terms of cooperation between the parties, including the scope of the Issuer’s representation activities, rules of communication with potential institutional customers, regulatory compliance obligations, and the principles of the Issuer’s remuneration under a commission-based model. Detailed financial terms of the Agreement have not been disclosed to the public due to their commercially sensitive nature. Dillon Aero is a U.S.-based manufacturer of advanced Gatling-type weapon systems designed for integration with air, land, and maritime platforms. Its key products include, in particular, the M134D system chambered in 7.62×51 mm NATO (Minigun), used primarily as a fire-support weapon for helicopters, special-purpose vehicles, armored personnel carriers, and naval units, as well as the heavier 503D system chambered in 12.7×99 mm (.50 BMG). Dillon Aero’s products are intended primarily for institutional customers, including military, police, and other uniformed services. The Issuer indicates that the execution of the Agreement constitutes an element of the implementation of the Issuer’s strategy aimed at building competencies in the area of distribution and commercial representation of weapon systems and related products, as announced in the strategy published on 12 March 2026 in ESPI current report No. 13/2026. In the Issuer’s opinion, the execution of the Agreement may be of material importance for the further development of the Issuer’s operations in the defense products segment. However, the Agreement’s impact on the Issuer’s future financial results will depend on the effectiveness of securing orders and completing transactions covered by the scope of cooperation. | |||
