| Zarząd spółki MBF Group S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 22 czerwca 2026 r. otrzymał podpisaną przez obie strony ramową umowę o współpracy zawartą pomiędzy Emitentem a The Blue Falcon z siedzibą w Dhace, Bangladesz („Partner”). The Blue Falcon jest podmiotem prowadzącym działalność w zakresie dostaw sprzętu wojskowego, wyposażenia specjalistycznego oraz rozwiązań związanych z bezpieczeństwem i obronnością. Przedmiotem umowy jest ustanowienie długoterminowych zasad współpracy pomiędzy stronami w zakresie identyfikacji, przygotowania, ofertowania, negocjowania i realizacji projektów handlowych oraz technologicznych związanych z sektorem obronnym, bezpieczeństwa, ochrony infrastruktury krytycznej, systemów bezzałogowych UAV i C-UAS, wyposażenia indywidualnego żołnierza, pojazdów specjalistycznych, systemów telekomunikacyjnych, elektroniki, rozwiązań dual-use oraz innych produktów i usług przeznaczonych dla odbiorców wojskowych, rządowych i instytucjonalnych. Emitent informuje, że za porozumieniem stron The Blue Falcon został ustanowiony preferowanym i autoryzowanym przedstawicielem Emitenta na rynku Bangladeszu w zakresie objętym umową, natomiast Emitent uzyskał możliwość wykorzystania lokalnych kompetencji, kontaktów oraz doświadczenia Partnera w relacjach z instytucjami publicznymi, wojskowymi i zamawiającymi działającymi na rynku Bangladeszu. Zgodnie z informacjami przekazanymi przez Partnera spółka posiada status zarejestrowanego dostawcy Dyrekcji Generalnej ds. Zakupów Obronnych Ministerstwa Obrony Bangladeszu (Directorate General Defence Purchase - DGDP) pod numerem rejestracyjnym 6158 oraz licencję handlową TRAD/DNCC/078538/2022. Partner posiada również uprawnienia dostawcy i współpracuje z szeregiem instytucji wojskowych i państwowych Bangladeszu, w tym Naval Stores Sub Depot (NSSD) Marynarki Wojennej Bangladeszu, Central Ordnance Depot (COD) Wojsk Lądowych Bangladeszu, Directorate General of Medical Services (DGMS), Central Mechanical Transport Depot (CMTD) Wojsk Lądowych Bangladeszu oraz Border Guard Bangladesh (BGB). The Blue Falcon od 2022 roku uczestniczy w dostawach produktów wojskowych i specjalistycznych dla Bangladesh Army, Bangladesh Air Force oraz Bangladesh Navy, posiadając doświadczenie w obsłudze postępowań zakupowych prowadzonych przez instytucje sektora obronnego i bezpieczeństwa Bangladeszu. Umowa została podpisana ze strony Partnera przez Brigadier General A.T.M. Anisuzzaman Bir Protik, ndc, psc, MPhil, MBA, LLB (Retd), założyciela i dyrektora generalnego The Blue Falcon. Generał Anisuzzaman jest emerytowanym oficerem Sił Zbrojnych Bangladeszu, odznaczonym wojskowym odznaczeniem „Bir Protik”, zaliczanym do najwyższych odznaczeń bojowych przyznawanych przez państwo Bangladesz. Zawarcie umowy stanowi kontynuację działań opisanych przez Emitenta w raportach bieżących nr 37/2026 z dnia 5 czerwca 2026 roku oraz 41/2026 z dnia 17 czerwca 2026 roku dotyczących odpowiednio ustalenia ram współpracy z partnerem z Bangladeszu oraz złożenia ofert w postępowaniach zakupowych prowadzonych przez Directorate General Defence Purchase (DGDP) Ministerstwa Obrony Bangladeszu. Zarząd wskazuje, że współpraca z Partnerem doprowadziła już do przygotowania i złożenia dwóch ofert obejmujących systemy przeciwdziałania bezzałogowym statkom powietrznym (C-UAV), a po podpisaniu umowy strony rozpoczęły analizę kolejnych projektów i zapytań zakupowych pochodzących z rynku bangladeskiego. W dniu publikacji niniejszego raportu Emitent otrzymał za pośrednictwem Partnera kolejne zapytanie pochodzące od instytucji wojskowej Bangladeszu, dotyczące możliwości dostawy systemów broni strzeleckiej klasy wyborowej (sniper rifle systems) wraz z wyposażeniem, optyką, częściami zamiennymi, szkoleniem oraz wsparciem technicznym. Niezależnie od udziału w postępowaniach publicznych i wojskowych, strony zamierzają również rozwijać współpracę w zakresie bezpośredniej sprzedaży oraz promocji produktów i rozwiązań oferowanych przez Emitenta i jego partnerów, realizowanych poza procedurami przetargowymi, na rzecz odbiorców wojskowych, rządowych, instytucjonalnych oraz komercyjnych na rynku Bangladeszu. Na dzień publikacji niniejszego raportu Emitent nie jest w stanie oszacować wartości przyszłych przychodów mogących wynikać z realizacji umowy. Zarząd ocenia jednak, że zawarte porozumienie tworzy trwałe podstawy do rozwoju działalności Emitenta na rynku Bangladeszu oraz zwiększa możliwości uczestnictwa Spółki w postępowaniach zakupowych, projektach handlowych i przedsięwzięciach technologicznych realizowanych przez podmioty publiczne, wojskowe i instytucjonalne w regionie Azji Południowej. Zarząd Emitenta uznał informację o zawarciu przedmiotowej umowy za informację poufną ze względu na jej potencjalny wpływ na rozwój działalności Emitenta, budowę międzynarodowych kanałów sprzedaży, możliwość pozyskiwania nowych kontraktów oraz potencjalny wpływ na przyszłą sytuację gospodarczą i finansową Spółki. | ||||||||||||

| The Management Board of MBF Group S.A., with its registered office in Warsaw (the “Issuer”, the “Company”), hereby announces that on 22 June 2026 it received a framework cooperation agreement, signed by both parties, concluded between the Issuer and The Blue Falcon, with its registered office in Dhaka, Bangladesh (the “Partner”). The Blue Falcon is an entity operating in the field of supplying military equipment, specialist equipment and solutions related to security and defence. The purpose of the agreement is to establish long-term principles of cooperation between the parties regarding the identification, preparation, tendering, negotiation and implementation of commercial and technological projects related to the defence sector, security, critical infrastructure protection, unmanned aerial vehicle (UAV) and counter-UAV (C-UAS) systems, individual soldier equipment, specialist vehicles, telecommunications systems, electronics, dual-use solutions and other products and services intended for military, government and institutional customers. The Issuer announces that, by mutual agreement, The Blue Falcon has been appointed as the Issuer’s preferred and authorised representative in the Bangladeshi market within the scope of the agreement, whilst the Issuer has gained access to the Partner’s local expertise, contacts and experience in dealing with public and military institutions and contracting authorities operating in the Bangladeshi market. According to information provided by the Partner, the company holds the status of a registered supplier to the Directorate General of Defence Purchases (DGDP) of the Ministry of Defence of Bangladesh under registration number 6158 and holds trading licence TRAD/DNCC/078538/2022. The Partner also holds supplier authorisations and cooperates with a number of military and state institutions in Bangladesh, including the Naval Stores Sub-Depot (NSSD) of the Bangladesh Navy, the Central Ordnance Depot (COD) of the Bangladesh Army, the Directorate General of Medical Services (DGMS), the Central Mechanical Transport Depot (CMTD) of the Bangladesh Army, and the Border Guard Bangladesh (BGB). Since 2022, The Blue Falcon has been involved in the supply of military and specialist products to the Bangladesh Army, the Bangladesh Air Force and the Bangladesh Navy, and has experience in handling procurement procedures conducted by Bangladesh’s defence and security sector institutions. The agreement was signed on behalf of the Partner by Brigadier General A.T.M. Anisuzzaman Bir Protik, ndc, psc, MPhil, MBA, LLB (Retd), founder and Chief Executive Officer of The Blue Falcon. General Anisuzzaman is a retired officer of the Bangladesh Armed Forces and a recipient of the ‘Bir Protik’ military decoration, one of the highest combat honours awarded by the State of Bangladesh. The conclusion of the agreement follows on from the activities described by the Issuer in current reports No. 37/2026 of 5 June 2026 and No. 41/2026 of 17 June 2026 concerning, respectively, the establishment of a framework for cooperation with a partner from Bangladesh and the submission of tenders in procurement procedures conducted by the Directorate General of Defence Procurement (DGDP) of the Bangladeshi Ministry of Defence. The Management Board notes that the cooperation with the Partner has already led to the preparation and submission of two bids covering counter-unmanned aerial vehicle (C-UAV) systems, and following the signing of the agreement, the parties have commenced an analysis of further projects and procurement enquiries originating from the Bangladeshi market. On the date of publication of this report, the Issuer received, via the Partner, a further enquiry from a Bangladeshi military institution regarding the possibility of supplying sniper rifle systems, together with equipment, optics, spare parts, training and technical support. Apart from participating in public and military tenders, the parties also intend to develop cooperation in the area of direct sales and the promotion of products and solutions offered by the Issuer and its partners, carried out outside tender procedures, to military, government, institutional and commercial customers in the Bangladeshi market. As at the date of publication of this report, the Issuer is unable to estimate the value of future revenue that may arise from the performance of the agreement. However, the Management Board considers that the agreement provides a solid foundation for the development of the Issuer’s operations in the Bangladeshi market and enhances the Company’s opportunities to participate in procurement procedures, commercial projects and technological initiatives carried out by public, military and institutional entities in South Asia. The Issuer’s Management Board has classified the information regarding the conclusion of the agreement in question as confidential, given its potential impact on the development of the Issuer’s business, the establishment of international sales channels, the potential to secure new contracts, and the potential impact on the Company’s future economic and financial position. | |||
