Plac Powstańców Warszawy 2, 00-030 Warszawa, wpisanej do rejestru przedsiębiorców KRS pod numerem 0000390734, o kodzie ISIN PLVKMTK00015 oraz LEI 259400F1ML9OGF3R9703 („Emitent”, „Spółka”), informuje o zawarciu w dniu 17 czerwca 2026 roku z Keyrock SG PTE, Spółką utworzoną zgodnie z prawem Singapuru („Keyrock”), umowy ramowej opartej o standard ISDA (International Swaps and Derivatives Association), regulującej zasady zawierania transakcji OTC dotyczących aktywów cyfrowych, w tym instrumentów pochodnych („Umowa”). Umowa przewiduje, że szczegółowe warunki poszczególnych transakcji będą określane każdorazowo w odrębnych potwierdzeniach transakcyjnych. Zgodnie z Umową współpraca może obejmować w szczególności transakcje terminowe, opcje oraz inne struktury realizowane w formule OTC w odniesieniu do aktywów cyfrowych. Keyrock należy do grona globalnych dostawców płynności i infrastruktury tradingowej dla rynku aktywów cyfrowych, współpracujących z instytucjonalnymi uczestnikami rynku. W ocenie Spółki zawarcie Umowy tworzy podstawę operacyjną i kontraktową do realizacji bardziej zaawansowanych strategii zarządzania aktywami cyfrowymi oraz zarządzania ekspozycją na ryzyko rynkowe związane z posiadanymi przez Spółkę aktywami cyfrowymi. Jednocześnie Umowa rozszerza możliwości współpracy Emitenta z międzynarodowymi uczestnikami rynku aktywów cyfrowych. Zawarcie Umowy nie oznacza automatycznego rozpoczęcia realizacji określonych transakcji ani osiągnięcia określonych wyników ekonomicznych. Decyzje o zawieraniu poszczególnych transakcji będą podejmowane przez Spółkę odrębnie, z uwzględnieniem warunków rynkowych, parametrów ryzyka oraz oceny opłacalności poszczególnych strategii. Zarząd Emitenta uznał powyższą informację za informację poufną z uwagi na jej znaczenie dla dalszego rozwoju działalności Spółki w obszarze aktywów cyfrowych, rozszerzenia dostępnych narzędzi zarządzania aktywami cyfrowymi oraz potencjalny wpływ na sposób realizacji strategii Emitenta. | ||||||||||||

| Execution of a framework agreement with Keyrock SG PTE. regarding OTC transactions in digital assets The Management Board of BTCS Spółka Akcyjna with its registered office in Warsaw, ul. Plac Powstańców Warszawy 2, 00-030 Warsaw, entered into the Register of Entrepreneurs of the National Court Register under KRS number 0000390734, ISIN code PLVKMTK00015 and LEI code 259400F1ML9OGF3R9703 (the "Issuer", the "Company"), hereby announces that on 17 June 2026 it entered into a framework agreement with Keyrock SG PTE, a company incorporated under the laws of Signapore ("Keyrock"), based on the ISDA (International Swaps and Derivatives Association) standard documentation, governing the terms of entering into OTC transactions relating to digital assets, including derivative instruments (the "Agreement"). The Agreement provides that the detailed terms of individual transactions will be specified on a case-by-case basis in separate transaction confirmations. Pursuant to the Agreement, the cooperation may include, in particular, forward transactions, options and other OTC structures relating to digital assets. Keyrock is among the global providers of liquidity and trading infrastructure for the digital asset market, serving institutional market participants. In the Company's opinion, the execution of the Agreement creates an operational and contractual framework for the implementation of more advanced digital asset management strategies and for managing market risk exposure associated with the digital assets held by the Company. At the same time, the Agreement expands the Issuer's ability to cooperate with international participants in the digital asset market. The execution of the Agreement does not automatically result in the commencement of any specific transactions or the achievement of any particular economic results. Decisions regarding the execution of individual transactions will be made separately by the Company, taking into account market conditions, risk parameters and the assessment of the profitability of particular strategies. The Management Board of the Issuer has deemed the above information to constitute inside information due to its significance for the further development of the Company's business in the digital asset sector, the expansion of the available digital asset management tools and its potential impact on the implementation of the Issuer's strategy.
