| Zarząd B-Act S.A. z siedzibą w Bydgoszczy ["Emitent"] informuje, że w dniu 12 maja 2026 r. Emitent zawarł aneks do umowy z ZDI sp. z o.o. z siedzibą w Zamościu ["Inżynier Kontraktu"], dotyczącej realizacji usług w ramach projektu pn. „Świadczenie usług Inżyniera Kontraktu dla prac przygotowawczych przy budowie Centralnego Portu Komunikacyjnego dla realizacji zadań inwestycyjnych w zakresie budowy oraz przebudowy infrastruktury energetycznej i telekomunikacyjnej”, o której Emitent informował raportem bieżącym nr 3/2026 z dnia 5 marca 2026 r. Na podstawie zawartego aneksu zmianie uległ zakres organizacyjny realizacji umowy, obejmujący w szczególności kwestie związane z organizacją personelu. Ponadto strony dokonały zmiany warunków finansowych umowy. W wyniku zawartego aneksu maksymalne wynagrodzenie Emitenta wyniesie 3 069 225,34 zł netto wraz z należnym podatkiem od towarów i usług. Jednocześnie wynagrodzenie za zamówienie podstawowe stanowi wynagrodzenie ryczałtowe w wysokości 2 258 882,34 zł netto wraz z należnym podatkiem od towarów i usług. Pozostałe istotne postanowienia umowy nie uległy zmianie. Emitent wraz z Inżynierem Kontraktu kontynuują działania mające na celu uzgodnienie warunków umożliwiających uzyskanie akceptacji Zamawiającego. Zarząd Emitenta uznał informację o zawarciu aneksu za istotną ze względu na zmianę wartości umowy oraz jej potencjalny wpływ na sytuację finansową i majątkową Emitenta. | ||||||||||||

| The Management Board of B-Act S.A., with its registered office in Bydgoszcz [‘the Issuer’], announces that on 12 May 2026, the Issuer entered into an addendum to the agreement with ZDI sp. z o.o., with its registered office in Zamość [‘the Contract Engineer’], concerning the provision of services under the project entitled “Provision of Contract Engineer services for preparatory works for the construction of the Central Transport Hub for the implementation of investment tasks relating to the construction and reconstruction of energy and telecommunications infrastructure”, as announced by the Issuer in Current Report No. 3/2026 of 5 March 2026. Pursuant to the concluded annex, the organisational scope of the contract’s performance has been amended, covering in particular matters relating to staff organisation. Furthermore, the parties have amended the financial terms of the contract. As a result of the concluded annex, the Issuer’s maximum remuneration will amount to PLN 3,069,225.34 net, inclusive of applicable value added tax. At the same time, the remuneration for the basic contract is a lump sum of PLN 2,258,882.34 net, including applicable VAT. The other material provisions of the contract remain unchanged. The Issuer, together with the Contract Engineer, is continuing efforts to agree on terms that will enable the Client’s approval to be obtained. The Issuer’s Management Board has deemed the information regarding the conclusion of the amendment to be material due to the change in the contract value and its potential impact on the Issuer’s financial and asset position. | |||
