| Zarząd BTCS S.A. z siedzibą w Warszawie („Emitent”, „Spółka”) informuje, że w dniu 8 kwietnia 2026 r. Spółka zawarła z STS Digital Ltd. z siedzibą na Bermudach („STS”) umowę ramową dotyczącą zawierania transakcji OTC na aktywach cyfrowych oraz instrumentach pochodnych odnoszących się do aktywów cyfrowych i rynku walutowego („Umowa”). Umowa przewiduje, że szczegółowe warunki poszczególnych transakcji będą określane każdorazowo w odrębnych potwierdzeniach transakcyjnych. Zgodnie z Umową współpraca może obejmować w szczególności transakcje spot, transakcje opcyjne oraz inne struktury i kombinacje transakcyjne realizowane w formule OTC. W ocenie Spółki zawarcie Umowy tworzy podstawę operacyjną i kontraktową do realizacji bardziej zaawansowanych strategii zarządzania wybranymi aktywami cyfrowymi posiadanymi przez Spółkę, w tym aktywami innymi niż Bitcoin, takimi jak CORE oraz ZIG. Zawarcie Umowy nie oznacza automatycznego rozpoczęcia realizacji określonych transakcji ani osiągnięcia określonych wyników ekonomicznych. Decyzje o zawieraniu poszczególnych transakcji będą podejmowane przez Spółkę odrębnie, z uwzględnieniem warunków rynkowych, płynności danych aktywów, parametrów ryzyka oraz oceny opłacalności danej strategii. Zarząd Emitenta uznał powyższą informację za informację poufną z uwagi na jej znaczenie dla dalszego rozwoju narzędzi zarządzania aktywami cyfrowymi Spółki oraz potencjalny wpływ na sposób realizacji strategii zarządzania aktywami cyfrowymi Emitenta. | ||||||||||||

| Execution of a Framework Agreement with STS Digital Ltd. Regarding OTC Transactions in Digital Assets The Management Board of BTCS S.A., with its registered office in Warsaw (the “Issuer”, the “Company”), hereby announces that on April 8, 2026, the Company entered into a framework agreement with STS Digital Ltd., with its registered office in Bermuda (“STS”), concerning the execution of OTC transactions in digital assets and derivative instruments related to digital assets and the foreign exchange market (the “Agreement”). The Agreement provides that the detailed terms of individual transactions will be specified each time in separate transaction confirmations. Pursuant to the Agreement, the cooperation may include, in particular, spot transactions, options transactions, as well as other structures and transactional combinations executed in the OTC format. In the Company’s opinion, the execution of the Agreement establishes an operational and contractual framework for the implementation of more advanced strategies for managing selected digital assets held by the Company, including assets other than Bitcoin, such as CORE and ZIG. The execution of the Agreement does not imply the automatic commencement of specific transactions or the achievement of any specific economic results. Decisions regarding the execution of individual transactions will be made by the Company separately, taking into account market conditions, the liquidity of the relevant assets, risk parameters, and the assessment of the profitability of a given strategy. The Management Board of the Issuer has classified the above information as inside information due to its significance for the further development of the Company’s digital asset management tools, as well as its potential impact on the manner of implementation of the Issuer’s digital asset management strategy.
