| Zarząd ProGuns Group S.A. z siedzibą w Warszawie („Emitent”) niniejszym informuje, że w dniu 15 grudnia 2025 r.Emitent zawarł umowę o współpracy handlowej („Umowa”) z Aerometals Inc., spółką utworzoną i działającą zgodnie z prawem stanu Kalifornia (USA), z siedzibą w El Dorado Hills, CA. Celem Umowy jest ustanowienie długoterminowych ram współpracy w obszarach marketingu, sprzedaży oraz wsparcia klientów w odniesieniu do produktów Aerometals Inc., obejmujących w szczególności zaawansowane technologicznie filtry barierowe wlotu powietrza do silników śmigłowcowych oraz systemy wylotu spalin (IBF oraz Straight Exhaust), na wyznaczonym terytorium obejmującym Polskę, Portugalię, Chorwację, Turcję, Albanię, Słowację, Republikę Czeską, kraje bałtyckie oraz Ukrainę. Aerometals Inc. jest spółką prowadzącą działalność w zakresie projektowania, produkcji oraz dostaw komponentów i części dla przemysłu lotniczego i obronnego. Zgodnie z postanowieniami Umowy Strony ustanowiły model współpracy oparty na przedstawicielstwie handlowym, w ramach którego Emitent, działając jako agent, zobowiązuje się do promowania, negocjowania oraz finalizowania sprzedaży produktów Aerometals Inc. na wyznaczonym terytorium, a także do zapewniania wsparcia dla pozyskanych klientów. Umowa ma charakter ramowy i określa kluczowe zasady współpracy, w szczególności: mechanizmy wynagrodzenia Emitenta, obowiązki informacyjne i marketingowe Stron oraz zasady obsługi i odpowiedzi na zapytania sprzedażowe. Umowa została zawarta na okres początkowy 24 miesięcy, z możliwością jej przedłużenia za pisemną zgodą obu Stron. Umowa zawiera rozbudowane postanowienia dotyczące poufności, zakazu konkurencji oraz ścisłego przestrzegania obowiązujących przepisów prawa, w szczególności amerykańskich regulacji w zakresie kontroli eksportu (w tym International Traffic in Arms Regulations – ITAR) oraz przepisów antykorupcyjnych (w tym U.S. Foreign Corrupt Practices Act). Zawarcie Umowy stanowi istotny krok w rozwoju działalności Emitenta w sektorze zaawansowanych technologii lotniczych i obronnych. Współpraca z renomowanym producentem z USA, jakim jest Aerometals Inc., umożliwia Emitentowi rozszerzenie portfolio produktów wysokotechnologicznych, wzmocnienie pozycji w międzynarodowym łańcuchu dostaw sektora lotniczego oraz uzyskanie bezpośredniego dostępu do innowacyjnych rozwiązań w zakresie ochrony silników śmigłowcowych. Nawiązanie partnerstwa z dostawcą o ugruntowanej pozycji rynkowej stwarza Emitentowi możliwości dalszego rozwoju kompetencji w obszarze specjalistycznego wyposażenia lotniczego oraz generowania dodatkowych przychodów w kolejnych okresach. | ||||||||||||

| The Management Board of ProGuns Group S.A., with its registered office in Warsaw (the “Issuer”), hereby announces that on December 15, 2025 the Issuer entered into a commercial cooperation agreement (the “Agreement”) with Aerometals Inc., a company incorporated and operating under the laws of the State of California (USA), with its registered office in El Dorado Hills, CA. The purpose of the Agreement is to establish a long-term cooperation framework in the areas of marketing, sales, and customer support for the products of Aerometals Inc., including technologically advanced helicopter engine inlet barrier filters and exhaust systems (IBF and Straight Exhaust), within the designated territory of Poland, Portugal, Croatia, Turkiye, Albania, Slovakia, Czech Republic, Baltics, and Ukraine. Aerometals Inc. is a company engaged in the design, manufacturing, and supply of components and parts for the aviation and defence industries. Pursuant to the provisions of the Agreement, the parties have established a commercial representative model of cooperation, under which the Issuer, acting as an agent, undertakes to promote, negotiate, and finalize the sale of Aerometals Inc.’s products within the designated territory, as well as to provide support to customers acquired under this cooperation. The Agreement is framework in nature and sets out the key principles governing the cooperation, in particular: the remuneration mechanisms for the Issuer, the information and marketing obligations of the parties, and the rules for handling and responding to sales inquiries. The Agreement has been concluded for an initial period of 24 months, with the possibility of extension upon written consent of both parties. The Agreement contains comprehensive provisions regarding confidentiality, noncompetition, and the strict compliance by both parties with applicable laws, in particular U.S. export control regulations (including the International Traffic in Arms Regulations – ITAR) and anti-corruption laws (including the U.S. Foreign Corrupt Practices Act). The execution of the Agreement represents a significant step for the Issuer in the development of its business activities in the advanced aviation and defence technology sector. Cooperation with a reputable U.S. manufacturer such as Aerometals Inc. allows the Issuer to expand its portfolio of high-tech products, strengthen its position within the international aerospace supply chain, and gain direct access to innovative solutions for helicopter engine protection. Establishing a partnership with a supplier of well-established market standing opens up opportunities for the Issuer to further develop expertise in specialised aviation equipment and to generate additional revenue in future periods. | |||
