| Zarząd spółki Corey Europe spółka akcyjna z siedzibą w Warszawie (dalej: "Emitent", "Spółka"), w nawiązaniu do raportu bieżącego ESPI nr 9/2025 z 25 lipca 2025 r., pt. „Podpisanie umowy o współpracy ze Spółką P.H.U. TECHPOL-SYSTEM Sp. z o.o. w zakresie wspólnej sprzedaży i wdrażania systemów magazynowania energii (BESS)” niniejszym informuje, iż Emitent podjął kolejne kroki mające na celu realizację Umowy zawartej pomiędzy Emitentem a P.H.U. TECHPOL-SYSTEM Sp. z o.o. z siedzibą w Bieruniu (dalej: "TECHPOL"), tj. poprzez zaakceptowanie warunków zamówienia i złożenie w dniu 19 sierpnia 2025 r. u Dostawcy, tj. Corey Power (Singapore) PTE. LTD. (dalej: „Dostawca”) zamówienia obejmującego 2 jednostki przemysłowe szaf BESS o parametrach 105 kW/233 kWh (dalej: „Przedmiot Zamówienia”, "System demonstracyjno/inwestycyjny"), o łącznej cenie/wartości (CAPEX) ok. 290.000.00 PLN netto, bez VAT („Cena”). Cenę pokrywa Spółka ze środków własnych. Warunki zapłaty Ceny są następujące: 30% Ceny płatne w ciągu 7 dni roboczych na podstawie potwierdzonego (podpisanego) dokumentu faktury proforma, 60% Ceny - płatne przed wysyłką, pozostałe 10% Ceny - płatne w ciągu 90 dni od daty przybycia towaru do portu docelowego. Emitent ustalił z Dostawcą planowany termin wysyłki: od 15.09.2025 r. do 30.09.2025 r. Zamówione jednostki zostaną dostarczone do lokalizacji wskazanej przez TECHPOL w ramach wspólnej inwestycji Emitenta i TECHPOL. TECHPOL pokrywa lokalne koszty projektu - pozwolenia na budowę, fundamentów, a także podłączenia do sieci. Strony będą eksploatować system demonstracyjny, składający się z dwóch połączonych systemów o parametrach 105/233 kWh, co łącznie daje 210/466 kWh. System, oprócz pełnienia funkcji ogólnego systemu demonstracyjnego, posłuży również do walidacji modelu biznesowego usług systemowych związanych ze stabilizacją częstotliwości, takich jak aFFR w górę, aFFR w dół, FCN itp, Ponieważ większość przychodów w tym modelu biznesowym pochodzi z „rezerwowania” (tylko gotowość do aktywacji), a nie z obrotu fizyczną energią, (ładowanie/rozładowanie) okres amortyzacji/żywotności BESS z tego typu aplikacją wynosi 25 lat zamiast standardowych 15 lat. Biorąc pod uwagę bardzo wysoką stopę zwrotu z tego typu inwestycji (ROI 300 % - 500 % - zwrot < 2 lat), Emitent aktywnie poszukuje kolejnych lokalizacji, w których możliwe będzie podłączenie BESS do sieci (minimum 200 kW), mając na celu zbudowanie portfela wysoce opłacalnych systemów magazynów energii. Emitent zdecydował o publikacji powyższej informacji z uwagi na fakt, iż może mieć ona istotny wpływ na kształtowanie się przyszłej sytuacji gospodarczej, finansowej oraz majątkowej Emitenta oraz wycenę instrumentów finansowych Spółki notowanej w alternatywnym systemie obrotu na rynku NewConnect. | ||||||||||||

| Subject: Commencement of the cooperation agreement with P.H.U. TECHPOL-SYSTEM Sp. z o.o. The Management Board of Corey Europe S.A. with its registered office in Warsaw (hereinafter: “Issuer”, ‘Company’), in reference to the current report ESPI No. 9/2025 of July 25, 2025, entitled "Signing of a cooperation agreement with P.H.U. TECHPOL-SYSTEM Sp. z o.o. for the joint sale and implementation of energy storage systems (BESS)", hereby announces that the Issuer has taken further steps to implement the Agreement concluded between the Issuer and P.H.U. TECHPOL-SYSTEM Sp. z o.o. with its registered office in Bieruń (hereinafter: “TECHPOL”), i.e. by accepting the terms and conditions of the order and placing an order on August 19, 2025 with the Supplier, i.e. Corey Power (Singapore) PTE. LTD. (hereinafter: “Supplier”) for 2 industrial BESS cabinets with parameters of 105 kW/233 kWh (hereinafter: “Subject of the Order”, “Demonstration/Investment System”), with a total price/value (CAPEX) of approx. PLN 290,000.00 net, excluding VAT (“Price”). The Price shall be covered by the Company from its own funds. The terms of payment of the Price are as follows: 30% of the Price payable within 7 business days on the basis of a confirmed (signed) pro forma invoice, 60% of the Price payable before shipment, and the remaining 10% of the Price payable within 90 days from the date of arrival of the goods at the port of destination. The Issuer has agreed with the Supplier on the planned shipping date: from September 15, 2025, to September 30, 2025. The ordered units will be delivered to the location indicated by TECHPOL as part of a joint investment by the Issuer and TECHPOL. TECHPOL covers the local costs of the project - building permits, foundations, and connection to the grid. The parties will operate a demonstration system consisting of two connected systems with parameters of 105/233 kWh, which together give 210/466 kWh. In addition to serving as a general demonstration system, the system will also be used to validate the business model for system services related to frequency stabilization, such as aFFR up, aFFR down, FCN, etc. Since most of the revenue in this business model comes from “reservation” (readiness for activation only) rather than physical energy trading (charging/discharging), the depreciation/lifespan of BESS with this type of application is 25 years instead of the standard 15 years. Given the very high return on investment (ROI 300% - 500% - return < 2 years), the Issuer is actively seeking further locations where it will be possible to connect BESS to the grid (minimum 200 kW) with the aim of building a portfolio of highly profitable energy storage systems. The Issuer has decided to publish the above information due to the fact that it may have a significant impact on the future economic, financial and property situation of the Issuer and the valuation of the financial instruments of the Company listed in the alternative trading system on the NewConnect market. | |||
