Management Board of Gi Group Poland S.A. (hereinafter referred to as "the Issuer" or "the Company") informs that today the Supervisory Board of the Issuer, acting pursuant to § 16 sec. 2 letter b) the Articles of Association of the Company and § 14 sec. 2 letter b) of the Regulations of the Supervisory Board adopted a resolution on the appointment of Mr. Antonio Carvelli as the Vice-President of the Management Board of the Company starting from 2 December 2021. Mr. Antonio Carvelli has over 17 years of experience in the HR services industry. In 2010 - 2018, as the Country Manager of Gi Group in Poland, he was responsible for the development and implementation of the strategy and the achievement of business goals in all companies of the Gi Group. Since 2019, he has been Deputy Country Manager at Gi Group. In the years 2010 - 2020, Mr. Antonio Carvelli was a Member of the Management Board of Gi Group sp. z o.o. In 2020, he was appointed as the President of the Management Board in Gi Group sp. z o.o. and in Generale Industrielle Polska sp. z o.o. Until November 2021, he was also the President of the Management Board at Grafton sp. z o.o. and Wyser sp. z o.o. Before joining Gi Group, he was: Country Manager in Poland at Quanta Agencja Zatrudnienia sp.z o.o. and a board member of other companies supporting the business activities of foreign investors in Poland. Mr. Antonio Carvelli is a graduate of the University of Pisa, major: aerospace engineering. He has participated in many courses at the SDA Bocconi School of Management. Mr. Antonio Carvelli stated that he is not aware of any circumstances that would cause his appointment to perform the duties of a member of the Company's Management Board in breach of the law or the Company's Articles of Association and that he: 1) has full legal capacity; 2) has not been penalized for the offences referred to in the provisions of Chapters XXXIII - XXXVII of the Penal Code and Articles 585, 587, 590 or 591 of the Commercial Companies Code; 3) does not conduct any activity competitive to the Company and does not participate in companies competitive to the Company as a partner in a civil partnership, partnership or as a member of a body of a capital company and do not participate in any other legal person competitive to the Company as a member of its body; 4) is not entered in the Register of Insolvent Debtors maintained pursuant to the provisions of the Act of 20 August 1997 of the National Court Register; 5) does not perform the function or hold the position as referred to in Article 1 and Article 2 of the Act of 21 August 1997 on the reduction of economic activity by the people who perform public functions. Legal basis: - article 56 section 1 item 2 of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies; - § 10 in connection with § 5 item 5 of the Ordinance of the Minister of Finance dated 19 February 2009, on current and periodic information submitted by issuers of securities and conditions for recognizing as equivalent information required by laws of non-member state.
