| Zarząd BTCS Spółka Akcyjna z siedzibą w Warszawie, Plac Powstańców Warszawy 2, 00-030 Warszawa, wpisanej do rejestru przedsiębiorców Krajowego Rejestru Sądowego pod numerem KRS 0000390734, o kodzie ISIN: PLVKMTK00015 oraz kodzie LEI: 259400F1ML9OGF3R9703 („Emitent”, „Spółka”), informuje, że w dniu 20 lipca 2026 roku Emitent zawarł z podmiotem wyspecjalizowanym w profesjonalnym zarządzaniu portfelem aktywów cyfrowych - Crest Portfolio Management Limited, spółką prawa Kajmanów z siedzibą w George Town, Cayman Islands, występującą jako Investment Manager (zarządzający aktywami), umowę o zarządzanie portfelem aktywów cyfrowych (Investment Management Agreement). Na podstawie Umowy Emitent, z własnej inicjatywy, powierzył Investment Managerowi zarządzanie częścią własnych aktywów cyfrowych w formule Separately Managed Account (SMA). Zarządzanie prowadzone będzie zgodnie z uzgodnioną polityką inwestycyjną opartą na strategii rynkowo-neutralnej (market neutral), denominowanej w BTC. Aktywa objęte Umową pozostają przez cały okres jej obowiązywania wyłączną własnością Emitenta. Investment Manager wykonuje wyłącznie czynności związane z zarządzaniem portfelem w granicach określonych Umową i nie posiada prawa do swobodnego dysponowania aktywami Emitenta ani ich transferowania poza wskazaną przez Emitenta infrastrukturę powierniczą. Crest Portfolio Management Limited jest podmiotem należącym do grupy CMCC Global, międzynarodowej grupy specjalizującej się w zarządzaniu aktywami cyfrowymi oraz inwestycjach w sektor technologii blockchain. Umowa została zawarta na czas nieokreślony i może zostać rozwiązana przez każdą ze stron zgodnie z jej postanowieniami. Zawarta Umowa dotyczy wyłącznie zarządzania częścią własnych aktywów cyfrowych Emitenta i nie obejmuje świadczenia przez Emitenta usług w zakresie aktywów kryptograficznych na rzecz osób trzecich. Emitent pozostaje właścicielem zarządzanych aktywów oraz klientem profesjonalnego zarządzającego. Zawarcie Umowy wpisuje się w realizację strategii Emitenta zakładającej rozwój działalności w obszarze aktywów cyfrowych oraz współpracę z wyspecjalizowanymi partnerami instytucjonalnymi. | Execution of an Investment Management Agreement with Crest Portfolio Management Limited The Management Board of BTCS Spółka Akcyjna with its registered office in Warsaw, Plac Powstańców Warszawy 2, 00-030 Warsaw, entered into the Register of Entrepreneurs of the National Court Register under KRS No. 0000390734, ISIN: PLVKMTK00015, LEI: 259400F1ML9OGF3R9703 (the "Issuer" or the "Company"), hereby announces that on 20 July 2026 the Issuer entered into an Investment Management Agreement with Crest Portfolio Management Limited, a company incorporated under the laws of the Cayman Islands with its registered office in George Town, Cayman Islands, acting as the Investment Manager and specialising in professional digital asset portfolio management. Pursuant to the Agreement, and at its own initiative, the Issuer has entrusted the Investment Manager with the management of a portion of the Issuer's own digital assets under a Separately Managed Account (SMA) structure. The portfolio will be managed in accordance with an agreed investment policy based on a BTC-denominated market-neutral investment strategy. The digital assets covered by the Agreement shall remain the exclusive property of the Issuer throughout the term of the Agreement. The Investment Manager is authorised solely to perform portfolio management activities within the scope specified in the Agreement and is not entitled to freely dispose of the Issuer's assets or transfer them outside the custodial infrastructure designated by the Issuer. Crest Portfolio Management Limited is a member of the CMCC Global group, an international group specialising in digital asset management and investments in the blockchain technology sector. The Agreement has been concluded for an indefinite term and may be terminated by either party in accordance with its provisions. The Agreement relates exclusively to the management of a portion of the Issuer's own digital assets and does not involve the provision by the Issuer of crypto-asset services to third parties. The Issuer remains the sole owner of the managed assets and acts solely as the client of a professional investment manager. The execution of the Agreement is consistent with the Issuer's strategy of expanding its operations in the digital assets sector and cooperating with specialised institutional partners. The Issuer will disclose, by way of separate current reports, any further material events relating to the implementation of the cooperation, in accordance with the applicable laws.
