| Zarząd Proguns Group S.A. z siedzibą w Warszawie (Emitent) informuje, że w dniu 9 stycznia 2026 roku Emitent zawarł aneks do umowy nabycia 330.000 akcji Fabryka Amunicji Pocisk S.A. z siedzibą w Warszawie, o zawarciu której to umowy Emitent poinformował raportem bieżącym ESPI nr 34/2025 z dnia 11 grudnia 2025 roku. Na podstawie przedmiotowego aneksu zmianie uległa cena nabycia akcji, która po zmianie wynosi 891.000 zł (łącznie za wszystkie akcje). Pozostałe postanowienia umowy nabycia 330.000 akcji Fabryka Amunicji Pocisk S.A., o której mowa powyżej, nie uległy zmianie. Emitent wyjaśnia, że nabycie akcji Fabryka Amunicji Pocisk S.A. jest przejawem realizacji postanowień Term Sheet zawartego przez Forum 119 Fundusz Inwestycyjny Zamknięty, Niewiadów Polska Grupa Militarna S.A., Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. oraz Emitenta, o którym Emitent informował raportem bieżącym ESPI nr 25/2025 z dnia 21 października 2025 roku, a zawarcie przedmiotowego aneksu wynika z ustaleń stron, poczynionych w ramach przygotowań do realizacji kolejnych postanowień Term Sheet. | ||||||||||||

| The Management Board of Proguns Group S.A. with its registered office in Warsaw (the “Issuer”) announces that on 9 January 2026 the Issuer executed an annex to the agreement for the acquisition of 330,000 shares in Fabryka Amunicji Pocisk S.A. with its registered office in Warsaw, the conclusion of which was reported by the Issuer in current report ESPI No. 34/2025 of 11 December 2025. Pursuant to this annex, the purchase price of the shares has been amended and now amounts to PLN 891,000 (in total for all the shares). All other provisions of the agreement for the acquisition of the 330,000 shares in Fabryka Amunicji Pocisk S.A. remain unchanged. The Issuer explains that the acquisition of the shares in Fabryka Amunicji Pocisk S.A. constitutes an element of the implementation of the Term Sheet concluded by Forum 119 Closed-End Investment Fund, Niewiadów Polska Grupa Militarna S.A., Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. and the Issuer, which the Issuer reported in current report ESPI No. 25/2025 of 21 October 2025. The execution of this annex results from arrangements made by the parties in the course of preparations for the implementation of further provisions of the Term Sheet. | |||
